5.LIABILITYANDINDEMNIFICATION
5.1PartyAshallbeliableforanydefectsinthegoodsorfailuretocomplywiththeagreedspecifications,andshallrectifysuchdefectsatitsownexpense.
5.2PartyBshallindemnifyandholdharmlessPartyAagainstanyclaims,damages,orlossesarisingoutofPartyB'sbreachofthisContract.
6.TERMANDTERMINATION
6.1ThetermofthisContractshallcommenceontheeffectivedateandcontinueforaperiodof[durationoftheContract].
6.2EitherpartymayterminatethisContractinwriting,upon[reasonfortermination,e.g.,breachofContract,forcemajeure].
7.DISPUTERESOLUTION

10.DISPUTERESOLUTION

12.CONSIDERATIONS
12.1ThepartiesacknowledgethattheinvolvementoftheThirdPartyisessentialforthesuccessfulexecutionofthistransactionandagreetocompensatetheThirdPartyforitsservicesasmutuallyagreedupon.
13.THIRDPARTYINTERVENTIONMEANINGANDPURPOSE
13.1TheinvolvementoftheThirdPartyservestofacilitateasmoothertransactionprocess,ensurecompliancewithlegalrequirements,andprovideanadditionallayerofsupportandexpertise.
14.APARTYDOMINANCEANDPURPOSE
14.1ThepurposeofthisContract,withPartyAasthedominantparty,istoprotecttheinterestsofPartyA,ensurethetimelyandcompliantsupplyofgoods,andmaintaintheintegrityofthetransaction.
