委托銷售協議英文
ThisAgreementismadeandenteredintoasof[Date],byandbetween[FullLegalNameofPrincipal],hereinafterreferredtoas“Principal”,and[FullLegalNameofAgent],hereinafterreferredtoas“Agent”,collectivelyreferredtoasthe“Parties”(thePrincipalandtheAgent).
RECITALS
WHEREAS,thePrincipalisengagedinthebusinessof[Principal'sBusinessDescription],anddesirestosellcertainproductsorservices,hereinafterreferredtoasthe“Products”;
WHEREAS,theAgentisa[Agent'sBusinessDescription],andisengagedinthebusinessofsellingproductsandservicessimilartotheProducts;
WHEREAS,thePrincipaldesirestohavetheAgentactasitsexclusivesalesagentforthesaleoftheProductsin[Territory];
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:
1.EXCLUSIVESALESAGENT
TheAgentagreestoactastheexclusivesalesagentforthePrincipalinthesaleoftheProductswithintheTerritory,subjecttothetermsandconditionssetforthinthisAgreement.TheAgentshallnotsell,offerforsale,orotherwisedistributetheProductsoutsideoftheTerritorywithoutthepriorwrittenconsentofthePrincipal.
2.TERM
ThisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[TermLength],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
3.OBLIGATIONSOFTHEPRINCIPAL
ThePrincipalagreesto:
a.ProvidetheAgentwithallnecessaryinformation,materials,andsupportrequiredfortheproperpromotionandsaleoftheProducts.
b.DelivertheProductstotheAgentinaccordancewiththespecifications,quantities,anddeliveryschedulesagreeduponbetweentheParties.
c.EnsurethattheProductsarefreefromanyliens,claims,orencumbrancesthatwouldimpairtheAgent’sabilitytoselltheProducts.
d.PaytheAgentthecommissionsandfeesassetforthinSection4below.
4.OBLIGATIONSOFTHEAGENT
TheAgentagreesto:
a.UsereasonableeffortstoselltheProductsintheTerritoryandtopromotethePrincipal’sbusiness.
b.MaintainappropriatestandardsofbusinessconductandethicsintheperformanceofitsdutiesasAgent.
c.KeepconfidentialallinformationconcerningthePrincipal,itscustomers,anditsbusiness,exceptasmayberequiredbylaworasagreeduponinwritingbytheParties.
d.PromptlyprovidethePrincipalwithallordersreceivedfromcustomersandshallremittheproceedsfromthesaleoftheProductstothePrincipalwithin[NumberofDays]followingthereceiptofsuchorders.
5.COMMISSIONSANDFEES
TheAgentshallbeentitledtoreceiveacommissionof[Percentage]%onthenetsalespriceoftheProductssoldbytheAgent.ThenetsalespriceshallbecalculatedasthesalespriceoftheProductslessanydiscounts,rebates,orallowancesgivenbythePrincipaltothecustomers.ThePrincipalshallpaytheAgentthecommissionsduewithin[NumberofDays]followingtheendofeachcalendarmonth.
6.PRICEANDPAYMENTTERMS
ThepricefortheProductsshallbeassetforthonthePrincipal’spricelist,whichisattachedheretoasExhibitAandmadeapartofthisAgreement.PaymenttermsfortheProductssoldbytheAgentshallbeinaccordancewiththePrincipal’sstandardtermsandconditionsofsale.
7.MARKETINGANDPROMOTION
ThePartiesagreetocollaborateonthedevelopmentandimplementationofamarketingandpromotionplanfortheProducts.ThePrincipalshallprovidetheAgentwithmarketingmaterials,brochures,andotherpromotionalitemsasnecessaryfortheAgent’suseinsellingtheProducts.
8.CONFIDENTIALITY
ThePartiesagreetokeepconfidentialallproprietaryinformation,tradesecrets,andotherconfidentialinformationdisclosedbyeitherPartytotheother,exceptasrequiredbylaworasagreeduponinwritingbytheParties.
9.INDEMNIFICATION
ThePrincipalshallindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,actions,demands,liabilities,damages,costs,andexpensesarisingoutoforinconnectionwiththeProductsortheAgent’sperformanceofitsdutiesunderthisAgreement.
10.LIMITATIONOFLIABILITY
ThePrincipal’sliabilityunderthisAgreementshallbelimitedtodirectdamagesactuallysustainedbytheAgentasaresultofthePrincipal’sbreachofthisAgreement.InnoeventshallthePrincipalbeliableforanyindirect,special,incidental,orconsequentialdamages.
11.TERMINATION
ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,withorwithoutcause,upon[NoticePeriod]days’priorwrittennotice.
12.CONTINUATIONOFOBLIGATIONS
UponterminationofthisAgreement,thefollowingprovisionsshallsurvive:Sections8(Confidentiality),9(Indemnification),10(LimitationofLiability),and11(Termination).
13.DISPUTERESOLUTION
AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtobindingarbitrationinaccordancewiththerulesofthe[ArbitrationBody].
14.AMENDMENTS
ThisAgreementmayonlybeamendedbyawritteninstrumentexecutedbybothParties.
15.ENTIREAGREEMENT
ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understa
