2.QuantitiesandSpecifications

3.DeliveryandShipment

5.QualityandWarranties

6.2PartyBshallindemnifyPartyAagainstanyclaimsorliabilitiesarisingoutoforinconnectionwiththeperformanceofthisContract,exceptforthosearisingfromthenegligenceorwillfulmisconductofPartyA.

7.ForceMajeure

IntheeventofanydelayorfailureintheperformanceofthisContractduetocircumstancesbeyondthereasonablecontrolofeitherparty,suchasnaturaldisasters,war,strikes,orgovernmentregulations,theaffectedpartyshallhavetherighttoterminatethisContractwithoutliability.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

TheinvolvementofPartyCasthethird-partylogisticsproviderservestoenhancetheefficiencyandreliabilityofthesupplychain.Byoutsourcingthelogisticsfunction,PartyAcanfocusonitscorebusinessactivitiesandensuretimelydeliveryoftheGoodstoPartyB.TheprimaryobjectiveofPartyA,asthedominantpartyinthisContract,istosafeguarditsinterestsandensurethesmoothexecutionofthetransaction.TheinclusionofPartyCallowsforamorestreamlinedandefficientlogisticsprocess,whiletherightsandobligationsofthepartiesareclearlydefinedtoprotecttheinterestsofallinvolved.
