會(huì)展場(chǎng)地租賃合同中英文對(duì)照CONTRACTOFEXHIBITIONPLACELEASE合同編號(hào):ContractNumber:出租方(甲方):Lessor(PartyA):承租方(乙方)Lessee(PartyB):根據(jù)《中華人民共和國(guó)合同法》及其他法律法規(guī)的規(guī)定,甲乙雙方在自愿、平等、公平、誠(chéng)實(shí)信用的基礎(chǔ)上,就會(huì)展場(chǎng)地租賃的有關(guān)事宜達(dá)成如下協(xié)議。Inaccordancewith“ContractLawofthePeople’sRepublicofChina”andotherrelevantlawsandregulations,thePartieshave,basedontheprinciplesofequality,willingness,fairness,honestandcredit,enteredintotheContractconcerningissuesrelatedtoleaseofexhibitionplaceandagreedasfollows:第一條租賃場(chǎng)地及用途Article1LeasePlaceandPurpose1.具體位置:Location:2.用途:用于乙方舉辦活動(dòng)。Purpose:tousefortheactivitiesofbyPartyB.第二條租賃期限Article2TermofLease1.租賃期限為:至;.Thetermofleaseshallstartfromandendon;第三條使用時(shí)限Article3TimeLimitedofUse1.乙方使用租賃區(qū)域的時(shí)限為時(shí)至?xí)r。在租賃期限內(nèi),乙方應(yīng)在約定的時(shí)限內(nèi)使用租賃區(qū)域;如乙方需在約定時(shí)限之外使用租賃區(qū)域的,應(yīng)提前征得甲方同意并向甲方支付超時(shí)使用費(fèi),超時(shí)費(fèi)用按照方式計(jì)算。PartyBwillusetheleaseareafrom’clockto’clock.Withinthetermoflease,PartyBshallusetheleaseareawithinthestipulatedtime,andshallobtainPartyA’sapprovalinpriorandpayovertimeusefeetoPartyAincasePartyBusestheleaseareabeyondthestipulatedtime.第四條租金支付Article4RentalPayment1.租金的計(jì)算按照以下標(biāo)準(zhǔn)計(jì)算:Therentalshallbecalculatedas:2.租金預(yù)付PrepaymentofRental3.定金:甲方在前向乙方支付定金元(最高不得超過(guò)總價(jià)款(20%)。Earnestmoney:PartyAshallpayPartyBtheearnestmoneyof(notmorethan20%ofthetotalcontractpriceatmost)before.預(yù)付款:甲方在前向乙方支付預(yù)付款元。Advancepayment:PartyAshallpayPartyBtheadvancepaymentofbefore4余款支付:Paymentofremainingmoney:5支付方式:Paymentmethod:第五條甲方提供的基本服務(wù)Article5BasicServicesProvidedbyPartyA1.在租賃期限內(nèi)甲方向乙方提供以下基本服務(wù):PartyAwillprovidePartyBwiththefollowingbasicserviceswithinthetermoflease:(1)租賃區(qū)域和公共區(qū)域的原建筑照明。Lightingoftheoriginalbuildingsintheleaseareaandpublicarea;(2)15-20名服務(wù)人員。15-20waiter;(3)音響系統(tǒng)及燈光系統(tǒng)AcousticsystemandLightingsystem;(4)其他:提供DJ一名Otherstipulations:SupplyaDJforLessee;2.如乙方需甲方提供基本服務(wù)之外的其他服務(wù),雙方應(yīng)另行達(dá)成補(bǔ)充協(xié)議。AsupplementagreementshallbeenteredintobetweenthePartiesincasePartyBneedsotherservicesprovidedbyPartyAinadditiontobasicservices.第六條設(shè)施的使用Article6UseofFacilities1.甲方應(yīng)在簽約前向乙方如實(shí)說(shuō)明與租賃區(qū)域有關(guān)的場(chǎng)地情況,并向乙方提供場(chǎng)地設(shè)施技術(shù)數(shù)據(jù)等書(shū)面資料。乙方應(yīng)向甲方如實(shí)說(shuō)明會(huì)展情況,并根據(jù)甲方提供的數(shù)據(jù)資料判斷場(chǎng)地是否滿(mǎn)足會(huì)展需求。PartyAshallprovidetrueinformationregardingsituationoftheleaseareatoPartyBbeforesigningtheContract,togetherwithwrittenmaterialsincludingon-sitefacilitiesandtechnicaldata.PartyBshallprovidetrueinformationoftheexhibitiontoPartyA,andtojudgeiftheplacecouldmeettheexhibitionrequirementsinaccordancewiththedatamaterialsprovidedbyPartyA.甲方未如實(shí)提供場(chǎng)地、設(shè)施的有關(guān)情況而造成乙方辦展活動(dòng)無(wú)法順利進(jìn)行的,應(yīng)賠償由此給乙方造成的損失;乙方未如實(shí)說(shuō)明展品情況,造成場(chǎng)地設(shè)施無(wú)法滿(mǎn)足展品需要的,乙方自行承擔(dān)損失,造成甲方場(chǎng)地設(shè)施損壞的,應(yīng)承擔(dān)賠償責(zé)任。IncasePartyAfailstoprovidetrueinformationoftheplaceandfacilities,whichcausesPartyBafailureintheexhibition,PartyAshallcompensatePartyBforanylossincurred;PartyBshallbearthelossifPartyBfailstostateclearlythesituationofexhibitssothatthesitefacilitiescouldnotmeettheneeds,andshallundertaketheliabilityofcompensationincaseofdamagetoPartyA’sfacilities.2.甲方協(xié)助乙方進(jìn)行展臺(tái)搭建、安裝、拆卸、搬遷及善后等工作。乙方進(jìn)行上述活動(dòng)時(shí)不應(yīng)妨礙甲方場(chǎng)地內(nèi)的其他展覽和活動(dòng)。PartyAmayassistPartyBwithbuilding,installation,dismantling,removingoftheboothandafter-treatmentatitsowncost,whichshallnotinterferewithotherexhibitionsandactivitiesinsidePartyA’splace.3.在租賃期限內(nèi),雙方應(yīng)共同保持租賃區(qū)域和公共區(qū)域的清潔和暢通。Withinthetermoflease,thePartiesshalltogetherkeeptheleaseareaandpublicareacleanandunobstructed.4.如無(wú)甲方書(shū)面特別許可,下列物品禁止進(jìn)入甲方場(chǎng)館:ThefollowingarticlesshallnotbeallowedintoPartyA’splacewithoutPartyA’sspecialpermissioninwriting:(1)危險(xiǎn)物,包括但不限于武器、槍支、刀、劍、彈藥、炸藥易燃物、放射物或其他危險(xiǎn)物品。Dangerousarticlesincludingbutnotlimitedtoanyweapon,gun,knife,sword,cartridge,explosiveflammablearticles,radioactivearticlesorotherdangerousarticles.(2)未經(jīng)海關(guān)同意的進(jìn)口物品。ImportedgoodswithouttheCustoms’permission.(3)任何影響甲方正常運(yùn)作或被有關(guān)部門(mén)禁止的物品。AnyarticleaffectingnormaloperationofPartyAorforbiddenbyrelevantauthorities.第七條甲方權(quán)利義務(wù)Article7RightsandObligationsofPartyA1.甲方有權(quán)監(jiān)督乙方在租賃期限內(nèi)遵守本合同約定及甲方的有關(guān)規(guī)章制度,并對(duì)乙方違反有關(guān)約定的行為予以制止。PartyAshallbeentitledtomonitorPartyB’sacttoconformwithstipulationscontainedhereinandrelevantrulesandregulationsofPartyAwithinthetermoflease,andprohibitanyPartyB’sactagainstrelevantstipulations.2.甲方應(yīng)按約定為乙方提供場(chǎng)地及相關(guān)配套設(shè)施和經(jīng)營(yíng)條件,保障乙方正常的會(huì)展活動(dòng)。PartyAshallprovidetheplaceandrelevantsupportingfacilitiesandoperationconditionsasstipulatedtoensurethenormaloperationofexhibitionbyPartyB.3.除有明確約定外,甲方不得不干涉乙方正常的會(huì)展活動(dòng)。Exceptasotherwiseclearlystipulated,PartyAshallnotinterferewithPartyB’snormalexhibitionactivities.4.甲方應(yīng)對(duì)市場(chǎng)進(jìn)行物業(yè)管理,并負(fù)責(zé)場(chǎng)內(nèi)的安全防范和經(jīng)營(yíng)設(shè)施的建設(shè)及維護(hù)、包括:建筑物(包括公共區(qū)域及租賃場(chǎng)地)的管理及維修保養(yǎng);對(duì)乙方裝修的審查和監(jiān)督;水、電、氣、空調(diào)、電梯、扶梯等設(shè)備、管道、線(xiàn)路、設(shè)施及系統(tǒng)的管理、維修及保養(yǎng);清潔管理;保安管理并負(fù)責(zé)市場(chǎng)的公共安全;消防管理;內(nèi)外各種通道、道路、停車(chē)場(chǎng)的管理。PartyAshallconductpropertymanagementtothemarket,andtakechargeofsecurityinsidetheplaceandconstructionandmaintenanceofoperationfacilities,includingmanagement,repairandmaintenanceofbuildings(includingthoseinpublicareaandleasearea),inspectingandmonitoringPartyB’sdecoration,management,repairandmaintenanceofequipment,pipelines,lines,facilitiesandsystemsuchaswater,power,gas,airconditioning,escalators,andetc.,cleaningmanagement,securitymanagementandpublicsecurityofthemarket,fireprotectionmanagement,andmanagementofallpassageways,roadsandparkinglotsinsideandoutside.第八條乙方權(quán)利義務(wù)Article8RightsandObligationsofPartyB1.乙方應(yīng)按照約定用途使用甲方場(chǎng)地,自覺(jué)遵守甲方依法制訂的各項(xiàng)規(guī)章制度,服從甲方的監(jiān)督。PartyBshallusePartyB’splaceforthepurposeasstipulatedandobservePartyA’srulesandregulationsestablishedinaccordancewithlawsandacceptPartyA’ssupervision.2.乙方應(yīng)按合同約定及時(shí)支付甲方租金。PartyBshallpaytherentaltoPartyAintimeasstipulatedherein.3.乙方有責(zé)任維護(hù)租賃區(qū)域和公共區(qū)域的整潔。租賃期限屆滿(mǎn),乙方應(yīng)按時(shí)把自己及參展商的所有物品(展臺(tái)、展架、遺棄物以及垃圾)移出租賃區(qū)域。有關(guān)物品未能按時(shí)移出的,甲方將視為遺棄物進(jìn)行處理。乙方也可以委托甲方對(duì)上述物品進(jìn)行清理,所需費(fèi)用由乙方承擔(dān)。PartyBshallhavetheliabilitytomaintaintheleaseareaandpublicareainacleanstatus.Uponexpirationofthetermoflease,PartyBshallremoveallitsortheparticipatingexhibitors’articlesforexhibition(booth,display,derelictsandgarbage)outoftheleasearea.Anyarticlethathasnotbeenremovedoutintimeshallbetreatedasderelicts.PartyBmayalsoentrustPartyAtotreattheabovearticlesatPartyB’scost.4.乙方應(yīng)合理使用場(chǎng)內(nèi)的各項(xiàng)設(shè)施,如需安裝設(shè)備、擺放展品、設(shè)置宣傳廣告等,應(yīng)先征得甲方同意,造成損壞的應(yīng)承擔(dān)修復(fù)或賠償責(zé)任。PartyBshallusefacilitiesinsidetheareainareasonableway,andshallobtainPartyA’spriorpermissionincaseofneedforequipmentinstallation,exhibitsdisplayandpublicizingadvertisementsetup,andshallundertaketheliabilityforrepairorcompensationtoanydamage.5.乙方保證自己和自己的客戶(hù)不會(huì)對(duì)甲方或甲方場(chǎng)所進(jìn)行的其他展覽會(huì)有任何攻擊、損害或干擾的不正當(dāng)競(jìng)爭(zhēng)行為。PartyBshallpledgethatitoritscustomerswillnothaveanyunfaircompetitionactssuchasattack,damageorinterferenceagainstPartyAorotherexhibitionsatPartyA’splace.6.乙方負(fù)責(zé)對(duì)自己財(cái)產(chǎn)進(jìn)行妥善保管,并保證其展品或其他物品,將不占用或堆放在非租賃區(qū)域(包括室外場(chǎng)地);否則甲方有權(quán)予以處理,所需費(fèi)用由乙方承擔(dān)。PartyBshallproperlykeepitsownproperties,andensureitsexhibitsorotherarticleswouldnotoccupyorpileupatthenon-leasearea(includingoutdoorfield);otherwisePartyAshallbeentitledtohandlesuchexhibitsandarticlesatPartyB’scost.7.乙方如為宣傳會(huì)展活動(dòng)而需使用甲方名稱(chēng)、商標(biāo)和標(biāo)識(shí),應(yīng)事先取得甲方書(shū)面同意,否則乙方應(yīng)承擔(dān)由此產(chǎn)生的法律責(zé)任。PartyBshallobtainPartyA’spriorapprovalincaseofneedsofusingPartyA’sname,trademarkandlogoforpublicizingtheexhibition;otherwisePartyBshallundertakethelegalliabilitiesincurredhereby.第九條違約責(zé)任Article9DefaultLiabilities1.甲方未按約定提供場(chǎng)地或用水、用電等市場(chǎng)內(nèi)的經(jīng)營(yíng)設(shè)施或條件致使乙方不能正常經(jīng)營(yíng)的,應(yīng)減收相應(yīng)租金,乙方有權(quán)要求甲方繼續(xù)履行合同或解除合同,并要求甲方賠償相應(yīng)的損失。IncasePartyAfailstoprovidetheplaceorwater,powerandotheroperationfacilitiesorconditionsinthemarket,whichcausesPartyBafailureinnormaloperation,PartyAshallreducetheamountofrental,andPartyBshallbeentitledtorequestPartyAtocontinuetoperformtheContractorterminatetheContract,andtocompensateforrelevantloss.2.乙方未按照約定支付租金及其他費(fèi)用的,應(yīng)每日向甲方支付遲延金額的%的違約金。IncasePartyBfailstopaytherentalandotherexpensesasstipulated,itshallpayPartyAtheliquidateddamagesasper%oftheamountnotdulypaidforeachdayoverdue.第十條爭(zhēng)議解決Article10SettlementofDisputes本合同項(xiàng)下發(fā)生的爭(zhēng)議,由雙方當(dāng)事人協(xié)商解決,或向有關(guān)部門(mén)申請(qǐng)調(diào)解解決;協(xié)商或調(diào)解解決不成的,按下列第種方式解決。AnydisputearisingfromorinconnectionwiththeContractshallbesettledbythePartiesthroughconsultation,ormaybesubmittedtorelevantdepartmentformediation;failingthesame,ofthefollowingwaysshallbeadopted.(一)依法向人民法院起訴;FilealawsuittoPeople’sCourtinaccordancewithlaws;(二)提交仲裁委員會(huì)仲裁。SubmitthedisputetoArbitrationCommitteeforarbitration.第十一條不可抗力Article11ForceMajeure因發(fā)生自然災(zāi)害、重大疫情等不可抗力或突發(fā)事件的,經(jīng)核實(shí)可全部或部分免除責(zé)任,但應(yīng)及時(shí)通知對(duì)方,并在合理期限內(nèi)提供有效證明。Incaseofanyforcemajeureoremergencysuchasnaturaldisastersandkeyepidemicsituations,liabilitiesmay,uponverification,beexemptedwhollyorpartly;however,itshallbenotifyedtothe
