編號： 進口代理合同甲方： 乙方： 簽訂日期： 年 月 日甲方： PartyA: Co.,Ltd.乙方： PartyB: Co.,Ltd經甲乙雙方共同協商，就甲方 委托乙方代理清關、運輸等事宜，達成協議如下：Throughfriendlynegotiation,aboutPartyAentrustingPartyBasP artyA'sagentofcustomsclearanceandshipmentof ,aswellas thingsrelated,PartyAandPartyBhasreachedthefollowingagreement:第一條：委托事項Article1:ItemsofTrust甲方的 委托乙方代理的行為，由乙方登記建檔，隨時接受海關稽查，雙方必須遵守《海關法》和其他相關的法律法規。TheactionthatPartyAentrustsPartyBasitsconsigneeshallberegisteredandfiledbyPartyBforthesakeofcustomsinspectionatanytime,andbothParties shallabidebyTheCustomsLawandothercorrespondinglawsandregulations.第二條：甲方的責任和義務Article2:PartyA'sResponsibilitiesandObligations甲方在貨物運抵口岸前向乙方提供報關合同、報關發票、委托書及貨物流向等報關所需文件和相關資料。 運單收貨人及到站地址需準確無誤，如因甲方提供運單、文件及收貨人等單證不齊、有誤造成不能及時通關，產生的滯留費、變更費及口岸相關費用由甲方承擔。PartyAshallprovidecustomsclearancedocumentsandmaterials,suchascontract,invoice,proxyanddistributiondestination,andsoon,toPartyBbeforegoodsarriveshallbeaccuratewithoutanymistake.PartyAshallcoverretentioncharge,changefeeandalternationcostcausedbydelayedcustomsclearance,incasethedelayedcustomsclearancearecausedbyincomplete,wrongdocuments, suchasdeliverysheet,filesandconsignee,providedbyPartyA.貨物進入中國口岸前，甲方必須把所需資金一次性轉入乙方指定賬戶，用于交納貨物通關等各項費用。PartyAshalltransfermoneyrequired,whichshallbeusedascustomsclearancefee,intothedesignatedaccountofPartyBatatimebeforegoodsarriveinChina.如因甲方資金原因所產生的口岸滯留、倉儲、海關滯報等費用，由甲方承擔。PartyAshallcoverthefeesofportretention,storageanddelayeddeclaration,incasethefeesarecausedbyPartyA 'sfinancialmatter.第三條：乙方的責任和義務Article3:PartyB'sResponsibilitiesandObligations乙方負責審核甲方提供的合同及文件等單證是否齊全、有效。PartyBshallberesponsibleforauditingwhetherdocuments,likecontractandfiles,providedbyPartyAarecompleteandvalidornot.由于乙方對合同條款執行不力，或因不能及時辦理清關手續給甲方造成損失，甲方有權向乙方追索給甲方造成的損失。PartyAshallhavetherighttoclaim compensationondamagecausedbyPartyB'sinsufficientexecutionanddelayedcustomsclearanceprocedure.乙方在辦理甲方所委托業務時，按每柜收取費用。PartyBshallchargebypercontainerwhenprocessingtheentrustbusiness.乙方負責代理甲方報關、運輸等工作，如因乙方原因未能及時報送、發運所產生的口岸滯留、倉儲、報關滯報費用由乙方承擔。PartyBshallberesponsibleforcustomsclearance，shipmententrusted，andsoonbyPartyA.PartyBshallcoverthecostofportretention,storageanddelayedcustomsclearance,incasethesituationofdelayedcustomsclearanceandshipmentarecausedbyPartyB.乙方應及時向甲方提供到貨及發運情況，包括：數量、發運時間等。PartyBshallprovideinformationaboutarrivalandshipmentstatus,includingquantities,deliveringtime,andsoon.第四條：在執行本協議過程中，甲乙雙方發生糾紛應共同協商解決，協商不能達成一致時可通過法律途徑解決。Article4: Intheeventofanydisputeordifferenceofopinion,bothpartiesshallusetheirbesteffortstosettlesuchdisputeordifferenceofopinionamicablybynegotiation.However,anydisputeordifferenceofopinionwhichcannotbeamicablyandsatisfactorilybynegotiationinspiteofthebesteffortsusedbytheparties,shallbefinallysettledbylocalArbitrationcommittee.第五條：本協議一式 份，雙方各持 份。Article5:Theagreementisin ,whileeachPartykeeps copy.第六條：本協議自簽字蓋章之日起生效，有效期 年。Article6:Theagreementshall cometoeffectaftersigning andsealing,andtheperiodofvalidityshalllastfor year.第七條：本協議中未盡事宜，雙方協商解決，并另行簽字補充
