RecipientshallholdConfidentialInformationinstrictconfidenceandshallnotdisclosesametootherswithoutAAA’spriorwrittenconsent.Notwithstandingthis,RecipientshallbepermittedtodiscloseConfidentialInformationtoRecipient’semployeesidentifiedinScheduleA(“ApprovedIndividuals”).RecipientfurtheragreestoabidebythefollowingConfidentialInformationhandlingrequirements:(A)theConfidentialInformationwill(i)beusedsolelyat_____________________________[yourlocation](“Facility”)andwillnotberemovedfromtheFacility,(ii)notbecopiedorotherwiseduplicatedwithoutAAA’spriorwrittenconsent;(B)toidentifyandobligateoneoftheApprovedIndividualstoserveasaConfidentialInformationdocumentmanagerwithresponsibilityfor(i)collectingwhennotinuseandstoringinlockedfilessuchConfidentialInformationandissuingsuchConfidentialInformationtoApprovedIndividualsand(ii)making,numbering,loggingtoidentifyrecipient,andissuinganycopyofConfidentialInformationapprovedbyAAAinwriting;(C)log-inandlog-outanyConfidentialInformation,notcopyorpermitthecopyingofConfidentialInformationandwilldistributeConfidentialInformationinhardcopyformonly(D)ConfidentialInformation,includinginformationderivedfromsuchasdescribedinparagraph6hereinwillnotbestoredinanyelectronicmediawithoutAAA’spriorconsent,(E)derivativeencryptallelectronicmailcommunicationsrelatingtotheProject;and(F)allcommunicationsbetweenRecipientortheAuthorizedIndividualsandAAAregardingthisquoteandtheprojectshallbedirectedonlyto____________.RecipientshallregularlymonitortheApprovedIndividualsforcompliancewithsuchrequirements.接受人嚴格保密機密信息，未經AAA事先書面同意，不得向其他方公開。不過，接受人可以向附表A認定的員工（如下簡稱“同意的個人”）公開機密信息。接受人還同意遵守機密信息的如下處理規定：（A）機密信息：(i)僅限在__________________[你的地址](如下簡稱“工廠”)使用，不得帶出工廠；(ii)未經AAA事先書面同意，不得復制；（B）確定一名同意的人員做為機密信息經理，負責：(i)保管機密信息，僅向經同意的個人發放機密信息；(ii)編制收發記錄，經AAA書面同意，公布機密信息的副本；（C）登機機密信息，不對機密信息進行復制，公布機密信息時僅限打印版；（D）未經AAA事先同意，不得以電子介質存儲機密信息，包括本協議第6章節所述內容的衍生信息；（E）所有與本項目有關的電子郵件的衍生信息；（F）在接受人或授權人員與AAA之間就本報價與本項目的所有溝通，唯一聯絡人為____________。接受人應定期監控同意的人員與否遵守了這些規定。2. Specificinformation(orthecombinationofinformation)isnotwithintheexclusionsofparagraph2merelybecauseitisembracedbymoregeneralinformationthatfallswithintheexclusions.ConfidentialInformationshowntofallwithintheforegoingexclusionsshallnotbeidentifiedbyRecipientasinformationwhichwasreceivedfrom,isusedbyorconsideredproprietarybyAAA.特殊信息（或信息組合）不屬于第2段落的除外條款，由于除外條款中的更多一般信息包括了此信息。上述除外條款中的機密信息不再屬于AAA的財產。4. RecipientshalluseConfidentialInformationonlyforthepurposeorpurposesstatedaboveandshallmakenootheruseofthesamewithoutthepriorwrittenconsentofAAA.ConfidentialInformationincludesanyknowledgeorinformationdevelopedandtheresultsofanyevaluationorworkconductedbyRecipientunderthisAgreementaswellasthefact,natureandtermsofthisoranyrelatedAgreementbetweenRecipientandAAA.接受人僅應將機密信息用于上述目的，未經AAA事先書面同意，不得用于其他目的。機密信息還包括接受人根據本協議以及接受人與AAA之間的任何有關協議執行工作的成果以及開發的知識或信息。5 AAAAffiliatesmaydiscloseConfidentialInformationtoRecipient.Suchdisclosuresarenotsubjecttotheexceptionofparagraph2(c)andshallbemaintainedinconfidenceasiftheyhadbeendiscloseddirectlytoRecipientbyAAA.“AAAAffiliates”meansanycompanyorentitydirectlyorindirectlyownedorcontrolledbyAAAthroughownershipofatleastfiftypercent(50%)ofthesharesorotherownershipinterestofthatcompanynormallyentitledtovotefortheelectionofdirectors.AAA的子企業可以將機密信息公開給接受人，且無需根據第2段落(c)部分的除外條款，接受人也應保密，就象AAA向接受人公開機密信息同樣?！癆AA子企業”是指由AAA直接或間接控制的任何企業或實體，至少擁有50%的股份或所有權，并有權投票選舉董事。6. RecipientagreesthatallConfidentialInformation,includingtangibleinformationsuchasdrawings,formulations,designs,specifications,flowsheets,sketches,descriptions,data,samplesandothermaterialpertainingtoConfidentialInformationandobtainedfromorthroughAAAshallremainthepropertyofAAA.RecipientagreestoreturntoAAAallsuchConfidentialInformation,allapprovedcopiesthereof,andanydocumentsgeneratedbyRecipientunderthisAgreementonthefirsttooccurof(i)projectnotawardedtoRecipient;(ii)conclusionoftheprojector(iii)atAAA’srequest.Intheeventofloss,theft,unauthorizeddisclosureoruseoftheConfidentialInformationorotherviolationofthetermsofthisagreementrelatingtotheprotectionofConfidentialInformation,RecipientwillimmediatelynotifyAAAinwritingandtakeallreasonableandappropriatesteps,atitsexpense,necessarytoremedythebreachincludingwithoutlimitationtoenjoinand/orprosecutetheviolatingactivityandtorecoverConfidentialInformationthathasbeencompromised.Uponreasonablerequest,andduringnormalbusinesshours,RecipientwillallowAAA’sauthorizedrepresentativestohaveaccesstotheRecipient’sFacilityatanyreasonabletimeforthepurposeofreviewingcompliancewiththeconfidentiality,limiteduseandConfidentialInformationhandlingprovisionsofthisAgreement.IntheeventAAAhasconcernswithRecipient’ssecurityprocedures,RecipientagreestopromptlyimplementanyadditionalreasonablesecuritymeasuresidentifiedbyAAA.接受人同意所有的機密信息，包括有形資產，例如圖紙、規劃、設計、規范、工藝流程圖、示意圖、闡明、數據、樣品或其他與機密信息有關的資料以及從AAA或通過AAA獲取的資料，都屬于AAA的財產。接受人同意在如下條件下向AAA償還所有此類機密信息及其所有同意的副本以及接受人根據本協議導出的所有文獻：(i)項目未授予接受人；(ii)項目結束了；(iii)AAA規定。假如發生損失、失竊、未經授權的公開或使用機密信息，或其他違反本協議保密條款的行為，接受人應立即以書面形式告知AAA，并自費采用所有合理且合適的措施進行補救，包括但不限于嚴禁和/或起訴違約行為，收回有關的機密信息。如有合理規定，在正常工作時間，接受人應容許AAA的授權代表在合理時間進入接受人的工廠，以審核其與否遵守了本協議的保密規定、有限使用以及機密信息的處理規定。假如AAA對接受人的保密規程有提議，接受人同意立即執行任何由AAA認定的額外且合理的保密措施。7. RecipientrepresentsandwarrantsthatithastheauthorityandtherighttoenterintothisAgreementandprepareaquotation,andthatitsobligationshereunderarenotinconflictwithanyotherobligationsorinterestsofRecipient.接受人保證其有權簽訂本協議并編制投標文獻，并保證本協議中接受人的義務沒有與接受人的任何其他義務或利益有沖突。8. ToprotectAAA’sinterestswithregardtoConfidentialInformationspecificallycoveredbythisAgreement,Recipientagreesthat(a)foraperiodoffive(5)yearsfromtheEffectiveDate,or(b)intheeventtheProjectisawardedtoRecipient,forthedurationoftheProjectandafurtherperiodoffive(5)yearthereafter.Inaddition,iftheProjectisawardedtoRecipient,allApprovedIndividualsmustexecutetheformNon-DisclosureAgreementattachedheretoasExhibit1andimplementothersecurity/protectionproceduresasidentifiedbyAAA.為了保護本協議規定的與機密信息有關的AAA的利益，接受人同意保密期限為：(a)自生效日期起五(5)年內，或(b)假如項目授予接受人，在項目期間及其之后的五(5)年內。此外，假如項目授予接受人，所有同意的人員必須履行本協議后附的作為附錄1的保密協議，并履行AAA認定的其他保密規程。9. NorightorlicenseisgrantedherebytoRecipient,expresslyorbyimplication,withrespecttotheConfidentialInformationoranypatent,patentapplicationorotherproprietaryrightofAAA,notwithstandingtheexpirationoftheconfidentialityobligationsofthisAgreement.雖然在本協議的保密義務期滿之后，接受人也無權使用AAA的機密信息、專利、專利應用或其他所有權。10. TheamountandtypeofinformationdisclosedbyAAAhereundershallbeinthesolediscretionofAAA.RecipientacknowledgesthatConfidentialInformationisprovidedbyAAA“ASIS”withoutguaranteeorwarrantyofanykind,expressorimplied.Withoutlimitingthegeneralityoftheforegoing,DISCLOSERdisclaimstheWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSEANDNONINFRINGEMENT.本協議中AAA公開的信息數量與類型僅由AAA自行決定。接受人確認AAA對其提供的機密信息并不做任何擔保。除上述內容的普遍性以外，公開者還不保證其合用性，也不保證其沒有侵權。11. RecipientshalladheretotheUnitedStatesExportAdministrationLawsandRegulationsandshallnotexportorre-exportanytechnicaldataorproductsreceivedfromDiscloserorthedirectproductofsuchtechnicaldatatoanyproscribedcountrylistedintheUnitedStatesExportAdministrationRegulationsunlessproperlyauthorizedbytheUnitedStatesGovernment.接受人應遵守美國的出口管制法，不得向美國出口管制法規定的國家出口或再出口任何技術資料或產品或從公開者收到的產品以及此類技術資料自身，除非得到美國政府的授權。12. IntheeventofabreachorthreatenedbreachofthisAgreement,RecipientacknowledgesandagreesthatAAAwillhavenoadequateremedyatlawand,accordingly,inadditiontoallremediesavailableatlaworinequity,AAAwillbeentitledtoaninjunctionagainstabreachorthreatenedbreach.RecipientherebywaivestheobligationforAAAtopostabondasapre-requisitetoobtaininginjunctiverelief.假如違反本協議或不得不違反本協議，接受人承認并同意除依法或公平地采用所有補救措施以外，AAA仍然無法得到足夠的補救；AAA有權制止違約。接受人特此免除AAA交納保證金的義務，作為獲得強制補救的首要措施。13. ThisAgreementandanycounterpartoriginalthereofmaybeexecutedandtransmittedbyfacsimile.Thefacsimilesignatureshallbevalidandacceptableforallpurposesasifitwereanoriginal.本協議及其任何副本的傳真件同樣有效。本協議原件經簽訂之后，其傳真件同樣有效。14. AAAmayfreelyassignthisAgreementwithoutRecipient’sconsent.ThisAgreementshallnotbeassignedbyRecipientexceptwiththepriorwrittenconsentofAAA,nottobeunreasonablywithheld.AAA可以自由轉讓本協議，無需接受人同意。除非經AAA事先書面同意，接受人不得轉讓本協議，也不得無理扣留。15. RecipientshalluseConfidentialInformationonlyforthepurposeorpurposesstatedaboveandshallmakenootheruseofthesamewithoutthepriorwrittenconsentofAAA.ConfidentialInformationincludesanyknowledgeorinformationdevelopedandtheresultsofanyevaluationorworkconductedbyRecipientunderthisAgreementaswellasthefact,natureandtermsofthisoranyrelatedAgreementbetweenRecipientandAAA.接受人僅應將機密信息用于上述目的，未經AAA事先書面同意，不得用于其他目的。機密信息還包括接受人根據本協議以及接受人與AAA之間的任何有關協議執行工作的成果以及開發的知識或信息。5 AAAAffiliatesmaydiscloseConfidentialInformationtoRecipient.Suchdisclosuresarenotsubjecttotheexceptionofparagraph2(c)andshallbemaintainedinconfidenceasiftheyhadbeendiscloseddirectlytoRecipientbyAAA.“AAAAffiliates”meansanycompanyorentitydirectlyorindirectlyownedorcontrolledbyAAAthroughownershipofatleastfiftypercent(50%)ofthesharesorotherownershipinterestofthatcompanynormallyentitledtovotefortheelectionofdirectors.AAA的子企業可以將機密信息公開給接受人，且無需根據第2段落(c)部分的除外條款，接受人也應保密，就象AAA向接受人公開機密信息同樣?！癆AA子企業”是指由AAA直接或間接控制的任何企業或實體，至少擁有50%的股份或所有權，并有權投票選舉董事。6. RecipientagreesthatallConfidentialInformation,includingtangibleinformationsuchasdrawings,formulations,designs,specifications,flowsheets,sketches,descriptions,data,samplesandothermaterialpertainingtoConfidentialInformationandobtainedfromorthroughAAAshallremainthepropertyofAAA.RecipientagreestoreturntoAAAallsuchConfidentialInformation,allapprovedcopiesthereof,andanydocumentsgeneratedbyRecipientunderthisAgreementonthefirsttooccurof(i)projectnotawardedtoRecipient;(ii)conclusionoftheprojector(iii)atAAA’srequest.Intheeventofloss,theft,unauthorizeddisclosureoruseoftheConfidentialInformationorotherviolationofthetermsofthisagreementrelatingtotheprotectionofConfidentialInformation,RecipientwillimmediatelynotifyAAAinwritingandtakeallreasonableandappropriatesteps,atitsexpense,necessarytoremedythebreachincludingwithoutlimitationtoenjoinand/orprosecutetheviolatingactivityandtorecoverConfidentialInformationthathasbeencompromised.Uponreasonablerequest,andduringnormalbusinesshours,RecipientwillallowAAA’sauthorizedrepresentativestohaveaccesstotheRecipient’sFacilityatanyreasonabletimeforthepurposeofreviewingcompliancewiththeconfidentiality,limiteduseandConfidentialInformationhandlingprovisionsofthisAgreement.IntheeventAAAhasconcernswithRecipient’ssecurityprocedures,RecipientagreestopromptlyimplementanyadditionalreasonablesecuritymeasuresidentifiedbyAAA.接受人同意所有的機密信息，包括有形資產，例如圖紙、規劃、設計、規范、工藝流程圖、示意圖、闡明、數據、樣品或其他與機密信息有關的資料以及從AAA或通過AAA獲取的資料，都屬于AAA的財產。接受人同意在如下條件下向AAA償還所有此類機密信息及其所有同意的副本以及接受人根據本協議導出的所有文獻：(i)項目未授予接受人；(ii)項目結束了；(iii)AAA規定。假如發生損失、失竊、未經授權的公開或使用機密信息，或其他違反本協議保密條款的行為，接受人應立即以書面形式告知AAA，并自費采用所有合理且合適的措施進行補救，包括但不限于嚴禁和/或起訴違約行為，收回有關的機密信息。如有合理規定，在正常工作時間，接受人應容許AAA的授權代表在合理時間進入接受人的工廠，以審核其與否遵守了本協議的保密規定、有限使用以及機密信息的處理規定。假如AAA對接受人的保密規程有提議，接受人同意立即執行任何由AAA認定的額外且合理的保密措施。7. RecipientrepresentsandwarrantsthatithastheauthorityandtherighttoenterintothisAgreementandprepareaquotation,andthatitsobligationshereunderarenotinconflictwithanyotherobligationsorinterestsofRecipient.接受人保證其有權簽訂本協議并編制投標文獻，并保證本協議中接受人的義務沒有與接受人的任何其他義務或利益有沖突。8. ToprotectAAA’sinterestswithregardtoConfidentialInformationspecificallycoveredbythisAgreement,Recipientagreesthat(a)foraperiodoffive(5)yearsfromtheEffectiveDate,or(b)intheeventtheProjectisawardedtoRecipient,forthedurationoftheProjectandafurtherperiodoffive(5)yearthereafter.Inaddition,iftheProjectisawardedtoRecipient,allApprovedIndividualsmustexecutetheformNon-DisclosureAgreementattachedheretoasExhibit1andimplementothersecurity/protectionproceduresasidentifiedbyAAA.為了保護本協議規定的與機密信息有關的AAA的利益，接受人同意保密期限為：(a)自生效日期起五(5)年內，或(b)假如項目授予接受人，在項目期間及其之后的五(5)年內。此外，假如項目授予接受人，所有同意的人員必須履行本協議后附的作為附錄1的保密協議，并履行AAA認定的其他保密規程。9.
