GeneralProvisionsRelatingtoLoansandGuarantees

SECTION1.UseofResources

TheresourcesandthefacilitiesoftheBankshallbeusedexclusivelyforthebenefitofmemberswithequitableconsiderationtoprojectsfordevelopmentandprojectsforreconstructionalike.(b)Forthepurposeoffacilitatingtherestorationandreconstructionoftheeconomyofmemberswhosemetropolitanterritorieshavesufferedgreatdevastationfromenemyoccupationorhostilities,theBank,indeterminingtheconditionsandtermsofloansmadetosuchmembers,shallpayspecialregardtolighteningthefinancialburdenandexpeditingthecompletionofsuchrestorationandreconstruction.WB組織機構理事會－權力機構執行董事會－執行機構行長理事：政府官員，如財政部或發展部部長職責：理事們接受成員國或中止成員國地位；增加或減少經批準的資本存量；決定凈收入的分配；審查財務報表和預算；以及行使未授予執行董事的其他權力。理事會每年在世行年會期間舉行會議。行長：最大股東國（美國）國民主持董事會會議，負責世行全面管理

原高盛集團負責國際事務的副董事長、副總裁和高盛集團國際顧問委員會主席。曾在幾屆美國政府中擔任要職，包括美國副國務卿和美國貿易代表（2001－05年）。也曾擔任美國財政部財政機構政策助理部長和美國國務院負責經濟和農業問題的助理國務卿。

曾擔任美國海軍學院客座教授、高盛公司高級顧問、哈佛大學貝爾弗中心研究員，此前曾擔任三家公司董事會以及若干研究和非營利性機構董事會成員。

哈佛法學院法學博士學位和哈佛肯尼迪政府學院公共管理和國際事務碩士學位。此外還是若干杰出服務獎得主。世行行長依照職權也是國際開發協會（IDA）的行長以及國際金融公司（IFC）董事會、多邊投資擔保機構（MIGA）和解決投資爭端國際中心（ICSID）行政管理理事會主席。

WB的資金來源及貸款條件

資金來源（1）各成員國繳納的股金；（２）向國際金融市場借款；（３）發行債券和收取貸款利息貸款條件（硬貸款）（１）只有IMF成員國才允許申請成為世界銀行成員，貸款是長期的，一般為１５—２０年不等，寬限期為５年左右，可變利率，６.３％左右。（２）成員國才能申請貸款，私人生產性企業申請貸款由政府擔保。（３）成員國申請貸款一定要有工程項目計劃，貸款專款專用，世界銀行每隔兩年要對其貸款項目進行一次大檢查。SECTION4.ConditionsonwhichtheBankmayGuaranteeorMakeLoans

TheBankmayguarantee,participatein,ormakeloanstoanymemberoranypoliticalsub-divisionthereofandanybusiness,industrial,andagriculturalenterpriseintheterritoriesofamember,subjecttothefollowingconditions:(i)Whenthememberinwhoseterritoriestheprojectislocatedisnotitselftheborrower,thememberorthecentralbankorsomecomparableagencyofthememberwhichisacceptabletotheBank,fullyguaranteestherepaymentoftheprincipalandthepaymentofinterestandotherchargesontheloan.(ii)TheBankissatisfiedthatintheprevailingmarketconditionstheborrowerwouldbeunableotherwisetoobtaintheloanunderconditionswhichintheopinionoftheBankarereasonablefortheborrower.(iii)Acompetentcommittee,asprovidedforinArticleV,Section7,hassubmittedawrittenreportrecommendingtheprojectafteracarefulstudyofthemeritsoftheproposal.(iv)IntheopinionoftheBanktherateofinterestandotherchargesarereasonableandsuchrate,chargesandthescheduleforrepaymentofprincipalareappropriatetotheproject.(v)Inmakingorguaranteeingaloan,theBankshallpaydueregardtotheprospectsthattheborrower,and,iftheborrowerisnotamember,thattheguarantor,willbeinpositiontomeetitsobligationsundertheloan;andtheBankshallactprudentlyintheinterestsbothoftheparticularmemberinwhoseterritoriestheprojectislocatedandofthemembersasawhole.(vi)Inguaranteeingaloanmadebyotherinvestors,theBankreceivessuitablecompensationforitsrisk.(vii)LoansmadeorguaranteedbytheBankshall,exceptinspecialcircumstances,beforthepurposeofspecificprojectsofreconstructionordevelopment.世行貸款協定《IBRD貸款協定和擔保協定通則》（成員國與WB）

IBRD貸款協定與私人貸款區別協定需借款國政府批準協定屬于國際組織與成員國雙邊條約協定優先適用于《通則》只有在項目需要支付時才可提取WB與中國1980年5月，中國恢復世界銀行合法席位。１９８１年起中國開始借用該行資金截止至２００２年４月成員國：186資本（美元）：

1700億雇員：6400顧問：1100年度預算（美元）：14億中國與世界銀行集團合作簡況1980年5月恢復在世界銀行（簡稱“世行”）的合法席位以來，項目貸款截至2004年12月底，世行總承諾額累計超過381億美元，支持257個項目，我國的貸款余額在世行各借款國中居首位。投資結構：貸款主要用于能源、交通等國民經濟瓶頸部門及相對落后的地區競爭性招標機制、工程師監理制度、業主負責制已成為我國重大工程項目的標準作法。經濟調研和技術援助領域的合作截至2004年年底，120多篇經濟和部門研究報告，如《中國：國家發展與地方財政》（2002）、《改善投資環境，提高城市競爭力：中國23個城市排名》（2003）

新進展及合作設想

貸款合作向中西部地區與重點領域傾斜

短期資金融通國際收支不平衡IBRD貸款條件嚴格IDA(1960)貸款條件寬松，靈活最不發達國家V.V.國際投資爭端解決中心

（InternationalCentreforSettlementofInvestmentDisputes,ICSID）是世界銀行集團的一個投資促進機構，仲裁投資爭端的國際性機構，成立于1966年10月，總部設在華盛頓。法律基礎：1965《解決國家與他國國民之間投資爭議公約》（華盛頓公約）性質常設性國際組織非聯合國專門機構具有獨立法人格享有國際組織特權與豁免權管轄權基礎：東道國政府與他國投資商的同意調解人小組、仲裁人小組國際投資爭端解決中心的宗旨和任務是，制定調解或仲裁投資爭端規則，受理調解或仲裁投資糾紛的請求，處理投資爭端等問題，為解決會員國和外國投資者之間爭端提供便利，促進投資者與東道國之間的互相信任，從而鼓勵國際私人資本向發展中國家流動。該中心解決爭端的程序分為調停和仲裁兩種。

國際投資爭端解決中心組織機構有：理事會，為最高權力機構，由各成員國派1名代表組成，每年舉行一次會議，世界銀行行長為理事會當然主席；秘書處，由秘書長負責，處理日常事務。其成員包括世界銀行成員國和其他被邀請國。中國1990年簽署，1992年加入多邊投資擔保機構（MIGA）

/1988年根據《建立多邊投資擔保機構公約》設立，截止2007年8月底，有171年成員國。宗旨：鼓勵生產性投資在會員國之間的流動，尤其是向發展中國家的流動，補充IBRD、IFC等金融機構的活動業務：為成員國之間私人投資提供政治風險擔保MIGA法律地位：國際組織具有法律人格

擔保一般特點對在發展中成員國的投資提供擔保承保風險：外匯險、征收險、戰爭險、違約險（非商業險或政治險）投保人原則為東道國以外成員國國民擔保需東道國認可CoveredRisks

（i）CurrencyTransfer

adevelopingmembercountryHostCountryApprovalTheAgencyshallnotconcludeanycontractofguaranteebeforethehostgovernmenthasapprovedtheissuanceoftheguaranteebytheAgencyagainsttherisksdesignatedforcover.

EligibleInvestments

equityinterest,includingmedium-orlong-termloansmadeorguaranteedbyholdersofequityintheenterpriseconcerned,andsuchformsofdirectinvestmenttheBoardmayextendeligibilitytoanyothermedium-orlong-termformofinvestmentberestrictedtoinvestmentstheimplementationofwhichbeginssubsequenttotheregistrationoftheapplicationfortheguaranteebytheAgency.theAgencyshallsatisfyitselfasto:theeconomicsoundnessoftheinvestmentandcontributiontothedevelopmentofthehostcountrycomplianceoftheinvestmentwiththehostcountry'slawsandregulationsconsistencyoftheinvestmentwiththedeclareddevelopmentobjectivesandprioritiesofthehostcountry;andtheinvestmentconditionsinthehostcountry,includingtheavailabilityoffairandequitabletreatmentandlegalprotectionfortheinvestment.

EligibleInvestors

nationalofamemberotherthanthehostcountryjuridicalpersonincorporatedandhasitsprincipalplaceofbusinessinamemberorthemajorityofitscapitalisownedbyamemberormembersornationalsthereof,notthehostcountrycommercialbasisforinvestorshavingmorethanonenationality,thenationalityofamembershallprevailoverthenationalityofanon-member,andthenationalityofthehostcountryshallprevailoverthenationalityofanyothermember.

theBoard,byspecialmajority,mayextendeligibilitytoanaturalpersonwhoisanationalofthehostcountryorajuridicalpersonwhichisincorporatedinthehostcountryorthemajorityofwhosecapitalisownedbyitsnationals,providedthattheassetsinvestedaretransferredfromoutsidethehostcountry.資本擔保的資金來源法定資本：10億特別提款權（SDRs),10萬股、每股1萬SDRs。由成員國認繳代位求償MIGA向投資者賠償后，有權向東道國索賠。機構的代位權免于適用東道國外匯管制、限制，但不能享有機構財產的豁免權PrivilegesandImmunities

ActionsmaybebroughtagainsttheAgencyonlyinacourtofcompetentjurisdictionintheterritoriesofamemberinwhichtheAgencyhasanofficeorhasappointedanagentforthepurposeofacceptingserviceornoticeofprocess.

NosuchactionagainsttheAgencyshallbebrought(i)bymembersorpersonsactingfororderivingclaimsfrommembersor(ii)inrespectofpersonnelmatters.

ThepropertyandassetsoftheAgencyshall,whereverlocatedandbywhomsoeverheld,beimmunefromallformsofseizure,attachmentorexecutionbeforethedeliveryofthefinaljudgmentorawardagainsttheAgency.Assets－Article45.

ThepropertyandassetsoftheAgency

shallbeimmunefromsearch,requisition,confiscation,expropriationoranyotherformofseizurebyexecutiveorlegislativeaction.allpropertyandassetsoftheAgencyshallbefreefromrestrictions,regulations,controlsandmoratoriaofanynaturepropertyandassetsacquiredbytheAgencyassuccessortoorsubrogeeofaholderofaguarantee

美洲開發銀行

(Inter-AmericanDevelopmentBank,IDB)

成立于１９５９年１２月３０日，世界上最早和最大的區域性、多邊開發銀行。總行設在華盛頓。是美洲國家組織的專門機構，其他地區的國家也可加入，但非拉美國家不能利用該行資金，只可參加該行組織的項目投標。宗旨：集中各成員國的力量，對拉丁美洲國家的經濟、社會發展計劃提供資金和技術援助，并協助它們單獨地和集體地為加速經濟發展和社會進步作出貢獻。
