5、支付申 請表 為依據結算，甲方將分兩次將服 務費用的100%支付乙方，即： 項目成果通 過甲方最 終驗收后20個 工作日內，甲方向乙方支付 該項目成果 報酬的70%作為成果 驗收款； 該項 目成果通 過 甲方最終驗收后三個月內，甲方向乙方支付該項目成果報酬剩余的30%;甲方付款前乙方 應向甲方出具等 額增值專用稅發票。4.4.支付方式： 銀行轉賬 支付。4.5.乙方 賬戶信息：人民 幣帳戶 ：5.對甲方的要求：5.1.及時提供項目進展所必 須的資源及設施。5.2.與客 戶單位的良好溝通，以保障 進度及 質量要求。5.3.甲方 須保證在本合同 執行期限 內及合同期 滿 兩年內，未 經乙方許可，不

6、得與乙方參與此項目的技 術人 員有任何形式的合作。3.%2乙方提交成果的 檢查驗 收應于乙方提交成果后7個工作日內完成，并向乙方出具 檢查驗 收意見，檢查驗 收未通 過均視為 成果不 滿足驗收標準。4.%2按合同 約定及 時足額支付合同 報酬。6.對乙方的要求：6.1.乙方 應根據甲方 認可的方案和本合同的要求 實施服 務。6.2.乙方依合同 約定向甲方提交 項目成果。6.3.乙方 對甲方提供 資料負有保密 義務。6.4.乙方 應提供此 項目涉及的服 務的專業 人員。6.5.非經甲方同意，不得隨意更 換此項目涉及的服 務專業 人員。6.6.乙方需每月底前提交下一個月（周、季度）的工作 實施計劃

7、。6.7.乙方 應按照雙方確 認的工作期限完成相關服 務的各 項工作，并按照 約定的期限及 時提 供相關 進展記錄 。6.8.乙方 應積極配合甲方的工作，在必要 階段及時提供 專業的建 議，并能按照要求及 時改善服務質 量。6.9.為甲方提供培 訓、指導、咨 詢、審核等服 務過程中， 對甲方就相關工作提出的 問題 及 時給予解答。6.10.乙方的 員工不得收受甲方的客 戶的任何 財 物，不能用 語言或暗示的手段做有 損于甲 方 形象的事情6.11.乙方的 審核員參與此 項目的審核，必 須簽訂 保密及廉 潔條約，保證做到公平、公正、 公開 執行審核，不因外界因素影響 審核的結果。7.保密 協議7

8、.1.雙方 應遵守如下的保密條款7.1.1.從本合同生效日期起的五年之內，乙方不得使用或向他人透露甲方的機密信息；此 機密信息 僅限于甲方（或甲方的客 戶）向乙方所透露的機密信息或乙方在履行服 務時 通過觀 察等途徑 獲得的信息，以及甲方以 書面形式指明 為機密的 資料。7.1.2.任一方除非事前 經他方以 書面同意，否 則均不得將雙方有關本合同以及 項目實施后 之合作內容、合作條件及其他與本合作有關之相關 資料泄露予與 執行本 項目無關之第三者知 悉。雙方 應負責 使所屬之受雇人、受任人、代理人等亦同 負 本合同以及 項目實施成果之保 密義務。7.1.3.經任一方以 書面方式特 別標明為機密

9、之文件或 資料（包括甲乙雙方的知 識資本和商 業秘密），另一方同意善盡保密 義務。但對于下列 資訊不適用：7.1.3.1.一方于 簽署本合同前已合法持有或知悉之 資訊 。7.1.3.2.非因收受方之故意或 過失，已公開 為眾所周知之 資訊 。7.1.3.3.收受方自無保密 義務之第三人合法取得或知悉之 資訊 。7.1.3.4.收受方（包括但不限于收受方之 員工、顧問），未使用任何機密 資訊，自行研 發或發 現之相關 資訊 。7.1.4.除非經另一方 書面特別授權，甲方或乙方均不得在任何新 聞稿、招股 說明書、售股備忘錄或其他文件中公開透露雙方曾 經、正在、或者將要 為項 目履行的服 務、服務的

10、性質或 項目交付物。8.知識產權8.1.乙方 約定與本合同 項下提供的服 務相關的數據、 報告、圖紙 、規范、計劃、軟件、 設計發明和其他材料均 歸屬于甲方，乙方不得擅自使用或擅自 許 可任何第三方使用上述 資料B.項目開展過程中所形成的知 識產權歸 甲方所有。C.乙方承 諾，乙方及其服 務人員對與甲方公司合同的內容及 為此項目所提供的 資料、信息及其它商 業秘密負有保密的 義務，在未 經允許的情況下不得向第三方泄漏，并采取一切合 理的措施以使其所接受的 資 料免于散布、 傳播、披露、復制、 濫 用及被無關人 員接觸。D.在乙方履行本合同 規定的 義務或甲方使用乙方知 識產權 的過程中，原屬于

22、技 術人員獲得進入咨詢方國家的 簽證并負責安排食宿，食宿 費 用由委托方 負擔。咨 詢方應為委托方的技 術人員提供辦公室、必要的 設施和交通便利。Consultant shall assist ClientS personnel in his country in obtaining visas and in arranging lodgings. Hotel andboarding expenses shall be borne by Client. Consultant shall supply to ClientS personnel office space and necessary

23、facilities as well as transportation.6.咨詢方對因執行其提供的咨 詢服務而給委托方和委托方工作人 員造成的人身 損害和財 產損失承擔責任并予以 賠償，但這種損害或損失是由于咨 詢方人員在履行本合同的活動中的疏忽所造成的。咨 詢方僅對本合同項下的工作 負責。Consultant shall be responsible for and shall indemnify Client and his employee in respect of injury to person or damageto property occurring in connecti
