1、廉潔自律約定書Hon est and Self-displi ne agreeme nt甲方 Party A :XX乙方 Party B :為維護甲、乙雙方的合法權益，規范雙方交易行為，使雙方利益免受損害， 更好地弘揚企業文化，積極推進社會進步，現就有關事項約定如下：In order to protect the legitimate rights of both two parties, and to regulate the trade behaviour forpromot ing the en terprise culture andsocial progress actively.

2、Now regulate the followi ng items:1、乙方供給甲方產品，雙方必須訂立供需合同及相關的技術協議，雙方都應 嚴格遵照執行。乙方法人代表可授權一名或多名具體經辦人或技術人員與甲方聯 系，如乙方委派提取業務分成的人員來甲方辦理業務或簽訂合同，甲方有權拒絕 接待，必要時停止乙方供應資格。For the product Party B supply to Party A, both parties need to conclude the con tract and releva nt tech ni cal agreeme nt,and both parties sha

3、llstrictly observe the impleme ntatio n. Party B's legal represe ntative can authorize one or more specific resp on sible pers on or tech ni cal people to con tact with Party A. If Party B send the people who is for earning extra commissi on to sig n the con tract, Party A has the rights to refu

4、se and termin ate the supply qualificatio n of Party B.2、乙方辦事人員要嚴格遵守甲方的廠規廠紀，未經甲方批準，未佩戴貴賓卡 和沒有專人陪同不得擅自進入甲方的生產區域，否則一經發現，視情節輕重取消乙方的供應商資格，每次作出違約金(按合同標的20%+算，違約金低于人民幣10萬元的以10萬元計)賠償處罰，甲方可直接從應付乙方貨款余額中扣除。Party B's staff shall strictly follow the rules and regulationsof PartyA. It is not allowed to enter

6、rmb, calculate based on 10,000rmb), Party A to deduct the pen alty amount from the payme nt.3、為節省雙方費用，凡甲方辦事人員去乙方洽談業務時，若恰逢用餐時間， 接受乙方用餐邀請，請乙方以工作餐招待。同樣歡迎乙方來甲方洽談業務，甲方 也以工作餐招待乙方人員，希望乙方予以理解并配合。甲方在本市范圍內不接受 乙方邀請用餐。In order to save the costs of both parties, if Party As staff go toParty B' s compa nyfor

7、n egotiati ngbus in ess, and it comesto the meal time,Party B should serve Party A ' s people with the working meal. Also when Party B comes to Party A s company. Party A should serve Party B' s people with the working meal, please Party B to understand and cooperate it. Party A cannot accep

8、t the dinner invitationif both parties are on the samecity.4、乙方不得以任何形式向甲方人員贈送現金，購物券，回扣，煙酒以及借款，乙方人員不得邀請甲方人員參加不健康活動，或以其它方式損害甲方利益的 行為。同時，乙方股東、高管、經辦人及以上人員配偶與甲方人員存在直系或三 代以內旁系血親或者近姻親關系的應當書面告知。如有以上情況違反的，甲方有 權立即取消乙方供應商資格，并且每次對乙方處以違約金（按合同標的20%+算，違約金低于人民幣10萬元的以10萬元計）賠償處罰，甲方可直接從應付乙方貨 款余額中扣除。Party B cannot give

9、 cash, retail vouchers, kickbacks, cigarettes andalcohol to Party A's pers onnel in any form, and cannot in vite party A'speoplel to participate in unhealthy activities, or to damagethe interests of Party A in any form. Mean while, if Party B ' s shareholder, man ager, operator ' s s

10、pouses have direct blood relati on ship,or collateralrelatio nship within three gen erati ons, or close relati on ship by marriage with Party A ' s people, should inform in writing.In case of violation ofthe above circumsta nces, Party A has the rights to can cel Party B's supplier qualifica

11、tion, every time to deduct the liquidated damages （ calculate based on 20%of the con tract amount, whe nit less tha n 100,000rmb, calculate based on 10,000rmb）, Party A to deduct the penalty amount from the payment.5、乙方如發現甲方人員有不廉潔行為，甚至出現索要錢、物、吃、喝和刁 難乙方人員的，乙方可向甲方相關部門投訴，甲方會立即根據乙方提供的信息展 開調查，對甲方違規人員進行處理

12、，保障乙方的公平，公正的待遇。如乙方隱瞞不報被甲方發現，將對乙方每次處以違約金（按合同標的20%+算，違約金低于人民幣10萬元的以10萬元計）賠償處罰，甲方可直接從應付乙方貨款余額中扣除。If party A's pers on behaviour not con formed to ethical bus in ess, oreven asks for money, goods, food, drink, and harass party B's person partyB can compla in to the releva ntdepartme nt of party

13、A. Party A willimmediately con duct inv estigati on accord ing to the in formatio n provided by party B and deal with party A's illegal pers onnel to en sure the fair treatme nt to party B. If Party B con cealed and un reported, Party A will pen alize Party B （ the pen alty calculated based on 2

14、0%of the con tract amount, when it less than 100,000rmb, calculate based on 10,000rmb）, Party A to deduct the pen alty amount from the payme nt.6、乙方提供產品或服務時，應嚴格執行國家及地方相關環境保護、職業健 康安全、節約能源等相關法律的規定。乙方在甲方范圍內作業時，必須遵守甲方 的質量、環境、安全管理體系的相關要求。當乙方出現質量、環境或安全等重大 事故時，應第一時間通知甲方。如對甲方造成供應損失，由乙方承擔所有損失。 如隱瞞不報，甲方將保留追訴權

15、利。Whenproviding the product and service , Party B should strictly follow the national and local environmental protection law, occupational health and safety, and energy conservation regulation. WhenParty B ' s peopleoperate on Party A ' s factory, they should follow Party A' s quality,en

16、vironment, safety managing standard. Party B shall promptly notify party A of any major accide nts such as quality, en vir onment or safety. Party B should bear all the supply losses caused by party A . If it is con cealed, party A will reserve the right of prosecuti on.7、 未經甲方許可，乙方不得泄露甲方“保密信息”，“保密信

17、息”是指XX 公司所有的，不被公開披露的，正被運用的，或與營業或其產品相關的信息，包 括且不限于：Party B cannot disclose any party A's "con fide ntial in formatio n",which means all wealth fortune, and any bus in ess, product related in formati on which cannot be publicly disclosed, being used, in clud ing but not limited to:（1）、客戶名

18、稱及清單，客戶的其它詳細資料，銷售目標，銷售統計表，市場份 額統計表，價格，市場研究報告、調查或其它促銷資料；Customer nameand list, customer's detailed document, sales target, sales statistics, market share statistics, price, market research report, survey or other promoti onal details;（2）、將來的項目，營業發展或計劃，商業關系和談判；Future projects, bus in ess developme

19、 nt or pla nning, bus in ess relati on ship and n egotiati ons;(3) 、任何與生產過程，生產能力有關的信息，包括任何其它文件或資料；Any informationrelating to the production process, production capacity,in clud ing any docume nts and files;(4) 、所有其它與產品和營業手段有關的檔案、手冊、文件、憑證，及數據，包 括但并不限于與各產品相關的質量控制和技術檔案及手冊，根據本約定書，含有 信息的XX公司樣本和接受方XX公司樣本的

21、est result received by XX are the con fide ntial in formati on.基于本約定書產生的關系是保密性質的且屬于本約定書所述保密信息范圍之 內，如有違反而造成甲方損失的，應當予以賠償，并按每次違約行為向甲方無條 件承擔違約金10萬元并賠償損失。The relati on ship based on this agreeme nt is con fide ntial and withi nthe scope of con fide ntial in formatio n. In case of any breach of the con tr

22、act and cause the loss for party A, Party B shall indemnify and pay pen alty of 100,000 yuan every time.8、甲方將根據以上約定，制定供應商評級制度，如低于甲方合格供應商等級 的立即取消供應商資格，如涉嫌犯罪的移交司法機關追究刑事責任。敬請乙方給 予大力協助，配合和支持，雙方共同建立互惠互利互信的友好合作關系。Party A will formulate the supplier rat ing system in accorda nee withthe above provisi ons.

23、The supplier qualificatio nwill be can celled if lowerto the rati ng made by Party A. The suspected crim inal will be tran sferred to the judicial authorities for criminal responsibility.
