2、 have hereby equally and volun tarily en tered into the followi ng agreeme nt executed on the basis of mutual respect. 1.工程概況 Project overview 1.1 工程名稱： Project n ame: 1.2 工程地點： Project locatio n: 1.3 工程范圍： A. 新研發中心和新廠房的網絡綜合布線系統的施工； B. 數據中心的建設，主要包含：數據中心的裝飾工程、電氣系統、空調系統、機房閉 路監控系統、機房門禁系統、消防系統改造、機柜系統等。

4、e nt of the con tract, Party A has started adva nee and on-site con diti ons in place. 1.5 工程造價：合同工程總造價為Y 元(CNY ),人民幣大寫 Project cost: Total project cost is yuan ( CNY ). 詳細合同價格表見附件報價清單。 Detailed con tract price list see attached quotatio n list. 在詳細設計和施工過程中，若工程量發生變化，按合同單價相應調整工程造價；若材質發生 變化，按雙方商定的補充協議

6、 2.1由乙方向甲方提供指定帳戶、甲方以支票方式或銀行轉賬方式向乙方結算合同款； Party B shall provide the desig nated acco unt to party A, Party A by check or bank tran sfer to pay the con tract payme nt to Party B. 2.2 本合同生效后，甲方付給乙方合同總價的40%作為工程預付款，即Y 元； After the sig ning of this con tract, Party A shall pay to Party B 40% of the total

19、anges to the plan or change the construction graph therefore cannot continue construction; c. 乙方不能按期供設備或所供材料或者設備不合規格要求，被迫停工或不能順利施工的； Party B fails to supply equipment or for the materials or equipment of different specifications, was forced to shut down or not smooth construction; 5. 竣工驗收與售后服務 Final

20、 acceptance and after-sales service 5.1 乙方必須嚴格執行隱蔽工程驗收制度， 凡隱蔽工程完成后， 必須經過驗收并作好記錄 (隱 蔽工程指墻內、吊頂內的管線施工等) 。 Party B must strictly enforce the hidden work system, where the hidden work has been completed, must pass inspection and make records (hidden works refers to the wall, the ceiling inside the pipeli

21、ne construction, etc.). 5.2 整體工程竣工后，乙方向甲方提交竣工文檔并提交書面驗收申請。甲方接到申請后 日內組織有關人員按照合同內容和事先約定的驗收條款進行項目驗收， 并出具雙方簽字的驗 收報告。如甲方不能按期組織驗收， 須提前通知乙方，并與乙方另行商定驗收日期，但甲方 必須承認乙方的竣工時間。甲方推遲驗收，其間所發生的管理費和各項損失均由甲方負擔。 如果提交驗收申請后一個月仍未能完成驗收，則以竣工之日作為系統的保修開始日期。 When the whole project is completed, Party B shall submit to party A co

24、ssion of acceptance application one month after failed to complete acceptance, the completion date as the system warranty start date. 5.3 工程驗收合格后進入質保期。質保期為驗收合格之日起 12 個月。在質保期內，乙方應 對系統除人為因素外的所有故障負責免費維修或更換。 Project after acceptance into the warranty period. Paid maintenance costs through consultation by the two parties. 6. 技術服務和培訓 Technical service and training 6.1 由乙方按技術培訓大綱負責對甲方的有關操作人員和維修人員

27、進行使用級培訓。通過 培訓，使甲方的受訓人員能掌握系統設備的配置， 能進行正確操作和日常維護及一般常見故 障排查。接受培訓的人員由甲方確定，日期由甲乙雙方共同商定。 Party B according to the technical training program for Party A s operators and repair personnel to use class training. 29、status of system view, recording, and the necessary equipment maintenance. 6.3 乙方為甲方免費提供網絡綜合布線系統和數據中心的技術咨詢服務。 Party B shall provide free network cabling system and data center technical advisory services. 7. 違約責任 The liability for breach of contract 7.1 乙方提供貨物的質量或規格不符合合同約定，行業規格或政府的法令法規的要求的， 甲方可以根據貨物

Party A received notification, think its reason, could be appropriate to extend the time of delivery. 7.4 若由于甲方更改設計需求、未確認材料或設備型號、未確認施工方案而導致設備訂貨 周期推遲，因此導致的延遲交貨，乙方不負擔任何責任。 If due to Party A to change th

34、e design demand, did not confirm material or equipment models, unrecognised construction scheme caused by equipment order cycle time delay, thus causing the delay of delivery, Party B does not bear any responsibility. 7.5 甲方在合同規定的付款期限內未能及時付款，視為甲方違約。甲方每日按合同款項的 千分之一賠償乙方損失。 Party A in the contract paym

36、 The modification of Contract 合同需在甲乙雙方公平協商， 達成一致的條件下進行變更， 變更的內容需以文字正本形式經 雙方授權人簽字并蓋章后生效。 一切變更內容作為附件存在與合同正本具有相同的法律效力。 Any modification must on the basis of fair negotiation and be accepted by both sides.
