營口合同協議翻譯成英文?ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[CompanyNameofPartyA]RegisteredAddress:[RegisteredAddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]ContactInformation:[ContactDetailsofPartyA]PartyB:Name:[CompanyNameofPartyB]RegisteredAddress:[RegisteredAddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]ContactInformation:[ContactDetailsofPartyB]I.SubjectMatterPartyAagreestoprovidePartyBwith[specificservicesorgoods,describedindetail].Thedetaileddescriptionofthesubjectmatterisasfollows:[Describeindetailthenature,quantity,quality,specifications,etc.oftheservicesorgoodstobeprovided.Includeanyrelevanttechnicalrequirements,deliveryschedules,orperformancestandards.]II.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PartyAshallhavetherighttoreceivetheconsiderationasprovidedinthisAgreement.2.PartyAshallberesponsibleforprovidingtheservicesorgoodsinaccordancewiththetermsandconditionsofthisAgreement,includingbutnotlimitedto:Ensuringthattheservicesorgoodsmeetthequalitystandardsandspecificationsagreedupon;Completingthedeliveryorperformancewithinthespecifiedtimeframe;Providinganynecessarydocumentationorcertificatesrelatedtotheservicesorgoods;CooperatingwithPartyBinconnectionwithanyinspections,tests,orverificationsrequired.3.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreement.B.RightsandObligationsofPartyB1.PartyBshallhavetherighttoreceivetheservicesorgoodsprovidedbyPartyAinaccordancewiththetermsandconditionsofthisAgreement.2.PartyBshallberesponsibleforpayingtheconsiderationtoPartyAinaccordancewiththepaymenttermsspecifiedinthisAgreement.3.PartyBshallcooperatewithPartyAinconnectionwiththeperformanceofthisAgreement,includingbutnotlimitedto:ProvidinganynecessaryinformationordocumentationrequestedbyPartyA;PermittingPartyAtoaccessPartyB'spremisesforthepurposeofprovidingtheservicesorgoods;Complyingwithanyapplicablelaws,regulations,orindustrystandardsrelatedtothereceiptanduseoftheservicesorgoods.4.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreement.III.PaymentTerms1.PartyBshallpayPartyAthetotalconsiderationof[amount]inaccordancewiththefollowingpaymentschedule:[Paymentschedule,e.g.,adepositof[amount]shallbepaidwithin[numberofdays]daysaftertheexecutionofthisAgreement,andtheremainingbalanceof[amount]shallbepaidwithin[numberofdays]daysafterthedeliveryorpletionoftheservicesorgoods.]2.Allpaymentsshallbemadein[currency]by[paymentmethod,e.g.,banktransfer,cheque,etc.]tothebankaccountdesignatedbyPartyA.3.Intheeventofanydelayinpayment,PartyBshallbeliabletopayinteresttoPartyAattherateof[interestrate]perannumontheoverdueamountfromtheduedateuntilthedateofactualpayment.IV.DeliveryandPerformance1.PartyAshalldelivertheservicesorgoodstoPartyBatthe[deliverylocation]onorbefore[deliverydate].2.Intheeventofanydelayindeliveryorperformance,PartyAshallnotifyPartyBinwritingassoonaspossibleandprovideanestimatednewdeliveryorpletiondate.PartyAshallberesponsibleforanylossesordamagessufferedbyPartyBasaresultofsuchdelay,unlessthedelayiscausedbyforcemajeureorothercircumstancesbeyondPartyA'scontrol.3.PartyBshallinspecttheservicesorgoodsuponreceipt.IfPartyBdiscoversanydefectsornonpliancewiththetermsofthisAgreement,PartyBshallnotifyPartyAinwritingwithin[numberofdays]daysafterreceipt.PartyAshallthentakeappropriatemeasurestoremedythedefectsornonpliancewithin[numberofdays]days.V.IntellectualPropertyRights1.AnyintellectualpropertyrightsarisingoutoforinconnectionwiththeservicesorgoodsprovidedbyPartyAunderthisAgreementshallremainthepropertyofPartyA,unlessotherwiseagreedinwriting.2.PartyBshallnotuse,copy,modify,ordiscloseanyintellectualpropertyrightsofPartyAwithoutthepriorwrittenconsentofPartyA.3.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sunauthorizeduse,copying,modification,ordisclosureofPartyA'sintellectualpropertyrights.VI.Confidentiality1.Eachpartyacknowledgesthat,inthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty(the"ConfidentialInformation").2.ConfidentialInformationshallinclude,butnotbelimitedto,businesssecrets,technicalinformation,customerlists,andanyotherinformationthatismarkedoridentifiedasconfidential.3.EachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposeotherthantheperformanceofthisAgreement,exceptwiththepriorwrittenconsentoftheotherpartyorasrequiredbylaw.4.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears].VII.TermandTermination1.ThisAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceforaperiodof[numberofyears/months],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.3.IntheeventofterminationofthisAgreementforanyreason,thepartiesshallimmediatelyceaseallactivitiesunderthisAgreement,exceptasrequiredtowinduptheirrespectiveaffairsinanorderlymanner.4.UponterminationofthisAgreement,therightsandobligationsofthepartieswithrespecttoanyamountsalreadyearnedordueandpayableshallremaininforce,andeachpartyshallperformitsobligationstopayorreceivesuchamounts.VIII.ForceMajeure1.NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyforcemajeureevents,includingbutnotlimitedtonaturaldisasters,actsofGod,war,terrorism,governmentactions,oranyothereventsbeyondthereasonablecontroloftheparty.2.Intheeventofaforcemajeureevent,thepartyaffectedshallnotifytheotherpartyinwritingassoonaspossibleandprovidedetailsoftheforcemajeureeventanditsexpectedduration.TheaffectedpartyshalluseitsbesteffortstominimizetheimpactoftheforcemajeureeventontheperformanceofthisAgreement.3.Iftheforcemajeureeventcontinuesforaperiodof[numberofdays]ormore,eitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherparty.Ix.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.2.Ifthepartiesareunabletoresolvethedisputesthroughconsultationswithin[numberofdays],eitherpartymaysubmitthedisputesto[arbitrationinstitution/court]forarbitration/litigationinaccordancewiththefollowingprovisions:[Ifarbitrationischosen,describethearbitrationrules,suchastherulesofthe[ArbitrationInstitution],andtheplaceofarbitration.Iflitigationischosen,specifythejurisdictionofthecourt.]3.Intheeventofarbitrationorlitigation,thepartiesshallcontinuetoperformtheirobligationsunderthisAgreementthatarenotindispute,exceptasotherwiseorderedbythearbitrationtribunalorcourt.x.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].xI.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.xII.Amendm
