酒店合同協議書范本英文?ThisHotelContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:[CompanyNameofPartyA]Apanyincorporatedunderthelawsof[country/region],withitsregisteredaddressat[address],anditspanyregistrationnumberbeing[registrationnumber](hereinafterreferredtoas"PartyA").PartyB:[CompanyNameofPartyB]Apanyincorporatedunderthelawsof[country/region],withitsregisteredaddressat[address],anditspanyregistrationnumberbeing[registrationnumber](hereinafterreferredtoas"PartyB").I.SubjectMatteroftheAgreementPartyAagreestoprovidePartyBwithhotelamodationandrelatedservices(the"Services")atthe[HotelName]locatedat[hoteladdress](the"Hotel").TheServicesshallinclude,butnotbelimitedto,amodationinthespecifiedrooms,useofhotelfacilitiessuchasrestaurants,fitnesscenters,swimmingpools,andaccesstootherservicesandamenitiesprovidedbytheHotelduringthetermofthisAgreement.II.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PartyAshallprovidetheServicesinaccordancewiththestandardsandqualityrequirementsoftheHotel,andensurethatthefacilitiesandequipmentprovidedareingoodconditionandmeetthesafetyandhygienestandards.2.PartyAshallberesponsibleforthemanagementandoperationoftheHotelduringthetermofthisAgreement,andshallensurethenormaloperationoftheHotel'sservicesandfacilities.3.PartyAhastherighttochargePartyBthefeesfortheServicesprovidedinaccordancewiththefeescheduleattachedheretoasAppendix[x].PartyAshallissueinvoicestoPartyBforthefeesinatimelymanner.4.PartyAshallhavetherighttoadjustthefeesfortheServicesinaccordancewiththechangesinmarketconditions,butshallnotifyPartyBinwriting[numberofdays]daysinadvance.5.PartyAshallberesponsibleforhandlinganyplaintsordisputesraisedbyPartyBregardingtheServices,andshalltakereasonablemeasurestoresolvethempromptly.B.RightsandObligationsofPartyB1.PartyBshallpaythefeesfortheServicestoPartyAinaccordancewiththepaymenttermsspecifiedinthisAgreement.PartyBshallmakethepaymentontimewithoutanydelay.2.PartyBshallusethefacilitiesandservicesprovidedbytheHotelinaccordancewiththeHotel'sregulationsandrelevantlawsandregulations,andshallnotdamageormisusethefacilitiesandequipment.3.PartyBhastherighttorequirePartyAtoprovidequalityServicesinaccordancewiththetermsofthisAgreement,andhastherighttoraiseplaintsorsuggestionsregardingtheServices.4.PartyBshallberesponsibleforthesafetyandsecurityofitspersonnelandpropertyduringtheirstayattheHotel.PartyBshallplywiththeHotel'ssecurityregulationsandcooperatewiththeHotel'ssecuritypersonnel.5.PartyBshallindemnifyandholdPartyAharmlessfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyB'suseoftheServices,includingbutnotlimitedtoanyclaimsmadebythirdpartiesagainstPartyAduetoPartyB'sactionsoromissions.III.TermoftheAgreementThisAgreementshallmenceon[startdate]andterminateon[enddate](the"Term").UnlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement,theTermshallbeautomaticallyrenewedforanadditional[renewalperiod]year(s)uponexpiration,subjecttothepriorwrittennoticegivenbyeitherPartytotheotherPartyatleast[numberofdays]daysbeforetheexpirationoftheTerm.IV.FeesandPaymentTermsA.FeesThetotalfeesfortheServicesprovidedbyPartyAtoPartyBduringtheTermofthisAgreementshallbe[totalamount](inwords:[totalamountinwords]).Thefeesshallbecalculatedbasedonthenumberofroomsreserved,thelengthofstay,andotherservicesandamenitiesusedbyPartyBinaccordancewiththefeescheduleattachedheretoasAppendix[x].B.PaymentTerms1.PartyBshallpayadepositof[depositamount]toPartyAwithin[numberofdays]daysafterthesigningofthisAgreement.ThedepositshallbeusedtosecurePartyB'sreservationandshallbedeductedfromthetotalfeesuponsettlement.2.TheremainingbalanceofthefeesshallbepaidbyPartyBtoPartyAinfullwithin[numberofdays]daysbeforethecheckindate.PartyAshallissueinvoicestoPartyBforthefeesinatimelymanner.3.IfPartyBfailstopaythefeesinaccordancewiththepaymenttermsspecifiedinthisAgreement,PartyAshallhavetherighttochargePartyBalatepaymentfeeof[latepaymentfeepercentage]perdayontheoverdueamountuntilthepaymentismadeinfull.V.Confidentiality1.EachPartyshallkeepconfidentialallinformationobtainedfromtheotherPartyduringthecourseoftheperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerinformation,andanyotherconfidentialinformation(collectivelyreferredtoas"ConfidentialInformation").2.NeitherPartyshalldisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaworinconnectionwiththeperformanceofthisAgreement.3.ThisconfidentialityprovisionshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.VI.IntellectualPropertyRights1.PartyAshallretainallintellectualpropertyrightsintheHotel,includingbutnotlimitedtotrademarks,logos,patents,copyrights,andanyotherintellectualpropertyrightsrelatedtotheHotel'sfacilities,services,andoperations.2.PartyBshallnotuse,copy,modify,ordistributeanyofPartyA'sintellectualpropertyrightswithoutthepriorwrittenconsentofPartyA.3.PartyBacknowledgesthatanyintellectualpropertyrightscreatedordevelopedbyPartyBduringtheperformanceofthisAgreementinconnectionwiththeuseoftheServicesshallbethesolepropertyofPartyB,andPartyBshallindemnifyandholdPartyAharmlessfromanyclaimsordisputesarisingoutoforinconnectionwithsuchintellectualpropertyrights.VII.LiabilityandIndemnificationA.Liability1.PartyAshallbeliableforanylossesordamagescausedtoPartyBduetoitsfailuretoprovidetheServicesinaccordancewiththetermsofthisAgreement,exceptwheresuchlossesordamagesarecausedbyPartyB'sownnegligence,willfulmisconduct,orbreachofthisAgreement.2.PartyBshallbeliableforanylossesordamagescausedtoPartyAduetoitsfailuretopaythefeesinaccordancewiththepaymentterms,oritsviolationoftheHotel'sregulationsorrelevantlawsandregulations,oritsmisuseordamageoftheHotel'sfacilitiesandequipment.B.Indemnification1.EachPartyshallindemnifyandholdtheotherPartyharmlessfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithanythirdpartyclaims,lawsuits,ordisputesrelatedtotheperformanceofthisAgreement,includingbutnotlimitedtoattorney'sfees,courtcosts,anddamagesawardedagainsttheindemnifiedParty.2.PartyBshallindemnifyandholdPartyAharmlessfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyB'suseoftheServices,includingbutnotlimitedtoanyclaimsmadebythirdpartiesagainstPartyAduetoPartyB'sactionsoromissions.VIII.ForceMajeure1.NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoforcemajeureevents,includingbutnotlimitedtonaturaldisasters,wars,strikes,lockouts,governmentactions,oranyothereventsbeyondthereasonablecontroloftheParty.2.Intheeventofaforcemajeureevent,thePartyaffectedbytheeventshallnotifytheotherPartyinwritingassoonaspossibleandprovidedetailsoftheeventanditsexpectedduration.TheaffectedPartyshalluseitsbesteffortstominimizetheimpactoftheforcemajeureeventontheperformanceofthisAgreement.3.Ifaforcemajeureeventcontinuesforaperiodof[numberofdays]daysormore,eitherPartyshallhavetherighttoterminatethisAgreementwithoutliabilitytotheotherParty.Ix.Termination1.ThisAgreementmaybeterminatedbyeitherPartyupon[numberofdays]days'writtennoticetotheotherPartyunderthefollowingcircumstances:IftheotherPartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticeofthebreach;IfeitherPartybesinsolvent,bankrupt,orissubjecttoanylegalproceedingsforbankruptcyorinsolvency;IftheHotelisdamagedordestroyedduetoforcemajeureorotherreasons,andtherestorationoftheHotelisnotpossiblewithinareasonableperiodoftime;IfthisAgreementisterminatedinaccordancewiththeprovisionsofapplicablelawsandregulations.2.UponterminationofthisAgreement,PartyBshallpayalloutstandingfeestoPartyAwithin[numberofdays]days,andPartyAshallrefundanyprepaidfeestoPartyBinaccordancewiththetermsofthisAgreement.3.AfterterminationofthisAgreement,therightsandobligationsofthePartiesundertheprovisionsofthisAgreementregardingconfidentiality,intellectualpropertyrights,liabilityandindemnification,andforcemajeureshallcontinuetobeeffective.x.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheParties.IfthePartiesfailtoreachanagreementwithin[numberofdays]daysaftertheoccurrenceofthedispute,eitherPartymaysubmitthedisputeto[arbitrationinstitution/court]forarbitration/litigation.2.Intheeventofarbitration,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution],andthearbitrationawardshallbefinalandbindingonbothParties.3.Intheeventoflitigation,thedisputeshallbeheardanddeterminedbythe[court]withjurisdictionoverthematter,andthejudgmentofthecourtshallbefinalandbindingonbothParties.xI.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/region].xII.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AnymodificationsoramendmentstothisAgreementshallbemadeinwritingandsignedbybothParties.xIII.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpai
