進口設備買賣協議PurchaseContract協議號ContractNo:簽署日期DateofSignature:簽署地點PlaceofSignature:買方:TheBuyer:地址:Address:電話:Tel:傳真:Fax:賣方:TheSeller:地址:Address:電話:Tel:傳真:Fax:買方、賣方同意按下列條款由買方購進,由賣方出售下列商品,簽訂本合約:ThiscontractismadebytheBuyerandtheSeller,wherebytheBuyeragreetobuyandtheSelleragreetosellundermentionedgoodsaccordingtothetermsandconditionsstipulatedbelow:名稱,規格、數量、總價及服務等COMMODITY,SPECIFICATIONS,QUANTITYANDAMOUNTOFGOODSANDSERVICESETC1.1設備名稱:Commodity:1.2數量Quantity:規格SPECIFICATIONS:1.3協議金額TotalContractValue:1.4生產國別CountryofOrigin:生產廠商Manufacturer:1.5保修Warranty:自設備安裝驗收合格,用戶簽署驗收匯報之日起,設備保修期為12個月。在保修期間如設備因本身制造原因造成損壞,賣方應無償維修及更換。設備發生故障后,用戶應以傳真或書面形式通知賣方,賣方在2個工作日內需做出反應。Qualitywarrantyperiodis12monthscountingfromthedateoftheUsersignedCertificateofAcceptance.Shouldtheequiptmentfailduetomanufacturingfaultwithinthesaid12months,theSellershallrepairandexchangethemfreeofcharge.TheSellershalltakeanactiveresponsein2workingdaysuponreceiptoftheUsers'writingadviceofthebreak-downofthecontractedequipment.1.6售后服務PostSalesService:保修期后賣方負責終生維修及技術支持,并收取合理費用。TheSellershallbeheldresponsibleforthepost-salesserviceafterthewarrantyperiodandtakeinchargelifetimerepairsandtechnologicsupportsfortheproductsatreasonableprice.1.7操作培訓OperatingTraining:在設備安裝驗收過程中,賣方在現場向用戶提供對操作人員基礎培訓,培訓內容包含設備結構介紹,操作軟件使用,設備操作使用,日常保養及維護等。Duringtheequipmentinstallationandacceptancetest-run,theengineerfromtheSellershalltraintheoperatorsattheuser’ssites.Thistrainingincludesintroductionofequipmentstructure,softwareoperation,equipmentoperation,routinemaintenanceetc.2.裝運期限TIMEOFSHIPMENT2.1裝運Shipment:收到預付款后45天內,但賣方發貨須以收到買方全款為前提。within45daysafterreceiptofpayment,butsubjecttothereceiptoffullpayment.2.2不許可分批裝運,許可轉運。Partialshipmentisnotallowed;andtransshipmentisallowed.3.裝貨口岸PORTOFDELIVERY:4.到貨口岸PORTOFARRIVAL:5.包裝PACKING用木箱包裝,依據貨物不一樣形狀和特殊品質,確保貨物防濕,防潮,防震,防銹并經得起數次搬運,裝貨和卸貨以及長途海、陸運輸。賣方應對因為包裝不良和采取不充足或不妥善防護方法而造成任何破損負擔責任并負擔由此而產生一切費用。賣方應向買方提交非木質包裝證實或木質包裝熱處理證實。證實原件應與貨物一同提交。Tobepackedinwoodencasesandwellprotectedagainstdampness,moisture,shock,rustandwithstandnumeroushandling,loadingandunloadingaswellaslongdistanceseaandinlandtransportationaccordingtothegoodsdifferentshapesandspecialfeature,TheSellersshallbeliableforanydamagetothegoodsonaccountofimproperpackingandforanydamageattributabletoinadequateorimproperprotectivemeasurestakenbytheSellers,andinsuchcasesanyandallexpensesincurredinconsequencethereofshallbebornebytheSellers.TheSellershallsubmittotheBuyerCertificateofnon-woodpackingorheattreatCertificateofwoodenpacking.TheoriginalcertificateshallbesubmittedtogetherwiththeGoodsdelivered.6.嘜頭SHIPPINGMARK賣方應在每件包裝上,用不褪色油墨清楚地標刷件號、尺碼、毛重、凈重、”此端向上”“小心輕放”“切勿受潮”等字樣,并刷有下列嘜頭:Onthesurfaceofeachpackage,thepackagenumber,grossweight,netweight,measurements,“DONOTSTACKUPSIDEDOWN”,“HANDLEWITHCARE”,“KEEPAWAYFROMMOISTURE”andtheshippingmarkshallbestenciledlegiblyinfadelesspaint:嘜頭Shippingmarks:（協議號）HohhotAirport,China7.保險INSURANCE由賣方按協議金額110％投保一切險和戰爭險至呼和浩特機場。TobecoveredbytheSellerfor110%oftheContractvalueagainstAllRisksandWarRisksfromtheportofdeliverytillatHohhotAirport,China。8.付款條件TERMSOFPAYMENT100%oftotalcontractvalueshallbepaidbyT/T.100%協議款將經過電匯支付。首次付款:買方應在協議簽定后預付30%貨款。1stpayment:30%oftotalcontractvalueshallbepaidtotheSellerinadvanceaftercontractsigned。第二次付款:收到賣方發貨通知后付清余下70% 2ndpayment:70%oftotalcontractvalueshallbepaiduponreceiptoftheSeller’sadviceofgoodsreadyfordelivery.9.單據DOCUMENTS賣方應將下列全套單據在發貨后3個工作日內經過快遞方法郵寄給買方TheSellersshallpresentfullsetofthefollowingdocumentstotheBuyerwithin3workingdaysaftershipmentbyexpressdelivery:空運單正本一份,注明“運費已付”,收貨人為買方。AirWaybillinoneoriginal,marked"FREIGHTPREPAID"andconsignedtotheBuyer.按協議金額110%投保一切險和戰爭險至呼和浩特機場全套保單或保險證實。FullsetofInsurancePolicyorcertificatecoveredbytheSellerfor110%oftheContractvalueagainstAllRisksandWarRisks.C.商業發票五份正本,注明協議號,嘜頭和運輸工具名稱等。CommercialInvoicein5originals,indicatingContractnumber,ShippingmarksandtheFlightNo.etc.D.裝箱單五份,注明毛重,凈重,尺碼和所裝貨物品名、數量。Packinglistin5originalswithindicationofbothgrossandnetweights,measurement,commoditynameandquantityofeachitempacked.E.根據本協議要求由制造商簽發品質和數量/重量證實書五份。Certificateofqualityandquantity/weight,in5originals,issuedbytheManufacturer.F.商品裝運后48小時內發給買方出運通知傳真副本一份。CopyoffaxtotheBuyeradvisingparticularsofshipmentwithin48hoursaftershipment.G.原產證書正本三份,由制造商或銷售方出具。CertificateofOriginin3originals,issuedbyauthorityofManufacturer.H.(假如是木質包裝)賣方出具證書正本1份,證實其木質包裝已經達成了IPPC要求且已印有IPPC特殊標識。10.受益人銀行資料BENEFICIARY’SBANKINGINFORMATION受益人名稱NAMEOFTHEBENEFICIARY:受益人地址ADDRESSOFTHEBENEFICIARY:受益人開戶銀行名稱NAMEOFTHEBENEFICIARY’SBANK:受益人開戶銀行地址ADDRESSOFTHEBENEFICIARY’SBANK:受益人銀行帳號BENEFICIARY’SBANKACCOUNTNUMBER:受益人SWIFTNO.BENEFICIARY’SSWIFTNO.:11.技術資料TECHNICALDATA見技術協議RefertoRelevantAttachment2signedbytheSellerandtheUser.12.裝運通知SHIPPINGADVICE貨物全部裝運后,賣方須于三個工作日內將第9條款所列全套裝運單據傳真至買方,并通知裝運工具號碼及啟程時間。如貨系危險品,賣方應將其性質及處理措施傳真給買方。Immediatelyuponthegoodsarecompletelyloaded,theSellersshallfaxtonotifytheBuyersofthenumberofflight,departuretimeandallsetofshippingdocumentslistedinClause9within3workingdays.Incaseofdangerousgoods,theSellersshallfaxtonotifytheBuyersofitspropertyanditsdisposing.13.質量確保GUARANTEEOFQUALITY賣方確保定貨系用最上等材料和頭等工藝制成全新產品,并完全符合協議要求質量、規格和性能。TheSellershallguaranteethegoodsaremadeofbestmaterials,withfirstclassworkmanship,brandnew,unusedandcorrespondinallrespectswiththequality,specificationandperformanceasstipulatedincontract.14.檢驗索賠INSPECTIONANDCLAIMS14.1檢驗Inspection:按賣方和用戶在雙方簽署技術協議里要求辦理。asperdetailsstipulatedinTechnicalAgreementsignedbytheSellerandUser14.2索賠CLAIMS:在本協議第1.5條要求確保期限內,如發覺貨物質量及/或規格與本協議要求不符或發覺貨物不管任何原因引發缺點包含內在缺點或使用不良原料,買方應申請商檢局檢驗,并有權依據商檢證向賣方索賠。WithintheguaranteeperiodstipulatedinClause1.5hereofshouldthequalityand/orspecificationsofthegoodsbefoundnotinconformitywiththecontractedstipulations,orshouldthegoodsprovedefectiveforanyreason,includinglatentdefectortheuseofunsuitablematerials,theBuyersshallarrangeforaninspectiontobecarriedoutbytheChinaCommodityInspectionBureau,andhavetherighttoclaimagainstthesellersonthestrengthoftheinspectioncertificateissuedbythesameBureau.14.3賣方收到買方索賠通知后,假如在三十天內未回復,應視為賣方同意買方提出一切索賠。AnyandallclaimsshallberegardasacceptediftheSellersfailtoreplywithin30daysreceiptoftheBuyers’claim.15.索賠處理措施CLAIMS如貨物不符合本協議要求應由賣方負責,同時買方根據本協議要求在索賠期限或質量確保期內提出索賠,賣方在取得買方同意后,應按下列方法理賠。Incasethatthesellersareliableforthediscrepanciesoftheabovementionedequipmentandaclaimislodgedbythebuyerswithinthetime-limitofinspectionorqualityguaranteeperiodasstipulatedinthiscontract,thesellersshallsettletheclaimuponagreementofthebuyersinoneorcombinationofthefollowingways.15.1設備經賣方安裝、調試后不能正常運轉或達不到技術協議要求技術要求,賣方同意買方退貨,并將退貨金額以成交原幣償還買方,并負擔因退貨而發生一切費用,包含運費,保險費,商檢費,倉租,碼頭裝卸費等其它必需費用。Agreetotherejectionofthegoodsandrefundtothebuyersthevalueofthegoodsorejectedinthesamecurrencyascontractedhereinandtobearalldirectexpensesinconnectiontherewithincludingfreight,insurancepremium,inspectioncharges,stevedorecharges,andallothernecessaryexpenses.15.2根據貨物疵劣程度,損壞范圍將貨物貶值。Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamage.15.3用符合本協議要求規格,質量和性能全新零件調換有缺點零件,賣方應負擔一切費用和風險并負擔買方承受全部直接費用。同時,賣方應按協議要求,對應延長所更換貨物質量確保期。Replacedefectivepartswithnewparts,whichconformtothespecifications,quality,andperformanceasstipulatedinthiscontract.15.4假如賣方在接到買方索賠30天內未予回復則表明賣方已經接收索賠,賣方需在接收索賠30日內完成賠償。TheclaimmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyer’sclaim.Thebuyer’sclaimshallbesatisfiedwithin30dayscountingfromseller’sacceptanceoftheclaim.16.不可抗拒FORCEMAJEURE因為人力不可抗拒事故,造成賣方交貨拖延或不能交貨時,責任不在賣方,但賣方應立刻將事故通知買方,并于事故發生后十四天內將事故發生地政府主管機關出具事故證實書用空郵寄交買方為證,并取得買方認可,在上述情況下,賣方仍負有采取一切必需方法從速交貨責任。假如事故連續超出十個星期,買方有權撤消本協議(同時,賣方無條件在協議撤消后15個工作日退回全部預付貨款)。TheSellersshallnotberesponsibleforthedelayinshipmentornon–deliveryofthegoodsduetoForceMajeurecases,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellershallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereofundersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.IncasetheaccidentlastsformorethantenweekstheBuyershallhavetherighttocanceltheContract.(atsametime,thesellerwithin15daysafterthecancellationofthecontractunconditionallyreturnallprepaid)。17.遲交和罰款LATEDELIVERYANDPENALTY除人力不可抗拒事故外,若賣方不能按協議要求立刻交貨,經買方同意,賣方可在繳納罰金條件下延期交貨。此項罰款總額不超出全部遲交貨物總額5%,付罰金百分比為每一星期按遲交貨總值0.5%交罰款,不足一星期遲交日數作為一星期計算,如拖延交貨超出原定時限十星期時,買方有權終止本協議。但賣方仍應向買方繳付以上要求之罰款,不得推諉或拖延。(同時賣方無條件退回全部預付貨款)ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofforcemajeurecausesspecifiedinClause18ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendaysodddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandthesellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.atsametime,thesellerunconditionallyreturnallprepaid。責任與賠償AbilityandIndemnity:TheSellershallindemnifytheBuyeragainstliabilitiesincurredorsufferedbytheBuyerinconnectionwithanydeathorpersonalinjurycausedbytheSeller’snegligenceorresultingfromanydefectinthegoodscausedbytheSeller. 賣方應確保,買方不因賣方過失或其產品任何缺點而負擔任何人身損害賠償責任;就該等損害賠償責任,應由賣方給予負擔。TheSellershallbeliabletotheBuyerforphysicallossoforphysicaldamagetopropertyoftheBuyercausedbytheSeller’snegligenceorwhichresultsdirectlyfromabreachofthiscontractbytheSellerordirectlyfromanydefectinthegoodscausedbytheSeller. 因賣方過失、賣方違約行為或賣方原因造成產品缺點,直接造成買方實體損失或買方有形財產損失,賣方應該向買方負擔責任。TheSeller’stotalliabilitytotheBuyerinrespectoflossordamagearisingundersection18.2shallbelimitedtothetotalamountpayablebytheBuyerunderthiscontract. 就第18.2條中所約定損失或損害,賣方全部責任應限定于買方依據本協議所應支付全部價款。InnoeventshalltheSellerbeliableforanyindirect,specialorconsequentiallossesincludingbutnotlimitedtolossofuse,business,production,goodwill,revenue,profitsoropportunity 在任何情形下,賣方均不負擔任何尤其、間接、附帶或隸屬損失,包含但不限于基于對喪失用途、業務、生產、商譽、利潤損失或商機主張所提出損失。TheBuyershallindemnifytheSeller,itsofficers,employees,subsidiaries,parentsandaffiliatesagainstliabilitiesfordeathorpersonalinjurytoanypersonorforlossofanypropertycausedbytheBuyer’snegligence. 買方應確保,賣方及其經理人員、雇員、分支機構、母企業及聯屬機構不因買方過失而負擔任何人身損害或財產損失;就該等人身損害及財產損失,應由買方給予負擔。19.仲裁ARBITRATION19.1仲裁:凡因本協議引發或與本協議相關任何爭議,均應經過友好協商處理。如協商不成應提交中國國際經濟貿易仲裁委員會,依據申請仲裁時該會現行有效仲裁要求,在北京進行仲裁。仲裁裁決是終局,對雙方都有約束力。AlldisputesarisingfromorinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijing,ChinaforarbitrationinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitrationawardshallbefinalandbindinguponbothparties,andneitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Thearbitrationfeeshallbebornebythelosingparty.19.2標準法GoverningLaw本協議受中國法律管轄
