c)TheTransferorhasnotcommittedanyactoromissionthatwouldinvalidateorrenderthePatentsunenforceable.

3.2TheTransfereerepresentsandwarrantsthat:

a)IthasthelegalcapacitytoenterintothisAgreement;

b)IthasnotcommittedanyactoromissionthatwouldinvalidateorrenderthePatentsunenforceable.

4.Indemnification

4.1TheTransferorshallindemnifyandholdharmlesstheTransfereeagainstanyandallclaims,damages,liabilities,costs,andexpensesarisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheTransferorinthisAgreement.

4.2TheTransfereeshallindemnifyandholdharmlesstheTransferoragainstanyandallclaims,damages,liabilities,costs,andexpensesarisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheTransfereeinthisAgreement.

5.Confidentiality

5.1ThepartiesagreetokeepconfidentialallinformationdisclosedbyeitherpartytotheotherinconnectionwiththisAgreement,exceptforinformationthatispubliclyavailableorisrequiredtobedisclosedbylaw.

6.GoverningLawandJurisdiction

7.EntireAgreement
