2025企業經營貸款借款擔保合同中英ContractforBusinessOperatingLoanandGuaranteein2025本合同（以下簡稱“本合同”）由以下各方于年月日在中華人民共和國市簽訂：ThisContract(referredtoas"thisContract")isenteredintobyandamongthepartiesasfollowsonthedayofmonth,year,inthecityof,People'sRepublicofChina:甲方（貸款人）：（以下簡稱“甲方”）Name:法定地址：法定代表人：聯系方式：Authorization:乙方（借款人）：（以下簡稱“乙方”）Name:法定地址：法定代表人：聯系方式：Authorization:丙方（擔保人）：（以下簡稱“丙方”）Name:法定地址：法定代表人：聯系方式：Authorization:第一條合同目的為了保障乙方在經營活動中對資金的需求，甲方同意向乙方提供企業經營貸款，丙方同意就乙方在本合同項下的債務向甲方提供擔保。PurposeoftheContractTosecurethefundingrequirementsof乙方initsbusinessoperations,甲方agreestoprovidebusinessoperatingloansto乙方,and丙方agreestoguarantee乙方'sliabilitiesunderthisContract.第二條借款金額與期限2.1甲方同意向乙方提供人民幣元整（大寫：元整）的貸款。2.2貸款期限為個月，自年月日起至年月日止。LoanAmountandTerm2.1甲方向乙方提供人民幣amountsofRMB￥(inwords:￥),hereinafterreferredtoas"theLoan."2.2ThetermoftheLoanismonths,startingfromyearmonthdaytoyearmonthday.第三條借款用途乙方承諾將借款用于合法的經營活動，不得挪作他用。UseoftheLoan乙方承諾將上述貸款用于合法的經營活動，不得用于非法或其他未經允許的用途。UseoftheLoan乙方承諾將上述貸款用于合法的經營活動，不得用于非法或其他未經允許的用途。Fourth第三條BorrowingforBusinessOperationsBorrower承諾將上述貸款用于合法的經營活動，不得挪作他用。BorrowingforBusinessOperationsBorroweragreestousetheLoansolelyforlawfulbusinessoperationsandnotforanyunauthorizedorillegalpurposes.第四條還款方式4.1乙方應按照約定的還款計劃按時歸還本金及利息。4.2利息按月計算，利率為月利率%，雙方約定利息總額為人民幣元整。4.3若乙方未按期還款，甲方有權要求乙方支付逾期利息，逾期利息按月利率%計算。RepaymentMethods4.1BorrowershallrepaytheprincipalandinterestoftheLoaninaccordancewiththeagreedrepaymentschedule.4.2Interestshallbecalculatedonamonthlybasisatarateof%permonth,totalingRMB￥(inwords:￥).4.3Intheeventofdelayedrepayment,LendershallhavetherighttodemandoverdueinterestfromBorroweratarateof%permonth.第五條擔保方式5.1丙方作為擔保人，自愿為乙方在本合同項下的全部債務提供連帶責任擔保。5.2擔保范圍包括但不限于：貸款本金、利息、逾期利息、違約金以及實現債權的費用等。5.3擔保期限自本合同簽訂之日起至乙方全部債務清償完畢之日止。Guarantee5.1丙方作為擔保人，自愿為乙方在本合同項下的全部債務提供連帶責任擔保。Guarantee5.1TheGuarantorvoluntarilyprovidesajointandseveralliabilityguaranteeforBorrower'sentireliabilitiesunderthisContract.5.2Thescopeofguaranteeincludes,butisnotlimitedto:loanprincipal,interest,overdueinterest,liquidateddamages,andexpensesassociatedwithrealizingthecreditor'srights.5.3ThetermoftheguaranteeshallcommencefromthesigningofthisContractandshallcontinueuntilthecompletepaymentofallliabilitiesbyBorrower.第六條合同的生效與變更6.1本合同自各方簽字蓋章之日起生效。6.2對本合同的任何修改、補充或變更必須經各方協商一致，并以書面形式簽訂補充協議。Effectivenessandamendmentsofthecontract6.1ThisContractshallcomeintoforceuponsignatureandsealbyallparties.6.2Anyamendments,supplements,orvariationstothisContractmustbeagreedthroughmutualconsultationandexecutedinwrittenformassupplementaryagreements.第七條違約責任7.1若乙方未按期償還本金或利息，應向甲方支付逾期利息，并承擔由此引發的一切法律責任。7.2若丙方未履行擔保責任，甲方有權直接要求丙方支付乙方未償還的全部債務，并可通過法律途徑追究丙方的違約責任。LiabilitiesforBreach7.1IfBorrowerfailstorepaytheprincipalorinterestinduetime,Borrowershallpayoverdueinterestandbearallrelatedlegalresponsibilities.7.2IfGuarantorfailstofulfillitsguaranteeobligations,LendershallhavetherighttodemandfullpaymentofBorrower'soutstandingdebtsfromGuarantorandpursueGuarantor'sliabilitiesforbreachthroughlegalactions.第八條爭議解決8.1本合同引起的或與本合同有關的任何爭議，均應通過友好協商解決。若協商不成，任何一方均有權向甲方所在地有管轄權的人民法院提起訴訟。DisputeResolution8.1AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlyconsultations.Ifnoresolutionisreached,anypartyconcernedhastherighttofilealawsuitwiththePeople'sCourtinthelocalityof甲方.第九條其他條款9.1本合同未盡事宜，由各方另行協商解決。9.2本合同正本一式三份，甲乙丙三方各執一份，具有同等法律效力。OtherTerms9.1AnyissuesnotcoveredbythisContractshallberesolvedthroughmutualconsultation.9.2ThisContractshallbeexecutedinthreeoriginals,oneforeachofthe甲,乙,丙parties,andalloriginalsshallhaveequallegaleffect.簽署條款本合同各方已仔細閱讀并理解全部內容，同意按照上述條款執行。SigningClauseAllpartiestothisContracthavecarefullyreadandunderstoodtheentirecontentshereofandagreetoexecuteinaccordancewiththeaboveterms.甲方（蓋章）：簽署人：日期：乙方（蓋章）：簽署人：日期：
