I.SubjectMatteroftheContract

II.RightsandObligationsoftheParties

B.PartyB'sRightsandObligations

1.Rights

PartyBhastherighttoverifytheauthenticityandvalidityofPartyA'srefundrequest.

PartyBmayretainacertainamountasaservicefeeorhandlingchargeifPartyA'srefundrequestisfoundtobewithoutvalidgroundsasdeterminedbythetermsofthisAgreement.

2.Obligations

PartyBshallreviewPartyA'srefundrequestwithin[reviewperiod,e.g.,15businessdays]afterreceivingit.

IfPartyA'srefundrequestisapproved,PartyBshallrefundtheamountduetoPartyAinatimelymannerinaccordancewiththeagreeduponrefundmethod.

III.ConditionsforRefund

A.GeneralConditions

1.QualityrelatedIssues

IftheserviceorproductprovidedbyPartyBfailstomeettheagreeduponqualitystandards,suchasdefectsinworkmanship,malfunction,ornonpliancewithspecifications,PartyAshallhavetherighttorequestarefund.PartyAshallprovideevidenceofthequalityissues,suchasinspectionreports,photos,orvideos,within[evidencesubmissionperiod,e.g.,7days]afterdiscoveringtheproblem.

2.NonperformanceofService

IfPartyBfailstoprovidetheserviceaspromised,includingbutnotlimitedtofailuretostarttheserviceontime,interruptionofservicewithoutvalidreason,orfailuretopletetheservicewithintheagreedupontimeframe,PartyAmayrequestarefund.PartyBshallberesponsibleforprovingthatithasperformedtheserviceasrequiredifitdisputesPartyA'sclaim.

B.SpecificConditions

1.[Listanyspecificconditionsrelatedtotheserviceorproduct,e.g.,forasoftwareservice,ifitcrashesmorethanacertainnumberoftimeswithinamonth,arefundmaybeapplicable.Foraphysicalproduct,ifithasmajorcosmeticdefectsuponreceipt.]

Inthecaseofasoftwareservice,ifthesoftwarecrashesmorethan[x]timeswithina[specifictimeperiod,e.g.,onemonth]afteractivation,PartyAhastherighttorequestarefund.PartyAshallprovidedetailedrecordsofthecrashes,includingthetime,errormessages,andstepstoreproducethecrashes.

Foraphysicalproduct,ifithasvisiblemajorcosmeticdefectssuchasscratches,dents,orcolordiscrepanciesthatarenotdescribedintheproductdescriptionuponPartyA'sreceipt,PartyAmayrequestarefundwithin[returnperiod,e.g.,14days]afterreceivingtheproduct.

IV.RefundProcess

A.RequestSubmission

1.PartyAshallsubmitawrittenrefundrequesttoPartyBwithin[requestsubmissionperiod,e.g.,30days]fromthedatewhenthereasonfortherefundarises.Therefundrequestshallclearlystatethereasonfortherefund,theamountrequested,andanyrelevantdetails.

2.TherefundrequestshallbesenttoPartyBviamunicationmethod,e.g.,email,registeredmail]tothefollowingaddress:[PartyB'srefundrequestreceivingaddress].

B.ReviewandApproval

1.PartyBshallreviewtherefundrequestwithin[reviewperiod,e.g.,15businessdays]afterreceivingit.Duringthereviewprocess,PartyBmaycontactPartyAforadditionalinformationorclarificationifnecessary.

2.IfPartyBdeterminesthattherefundrequestisvalid,itshallapprovetherefundwithin[approvalperiod,e.g.,5businessdays]afterthepletionofthereview.IfPartyBdisputestherefundrequest,itshallnotifyPartyAinwritingwithinthereviewperiod,statingthereasonsforthedisputeandprovidinganyevidenceithas.

3.PartyAshallhavetherighttorespondtoPartyB'sdisputenoticewithin[responseperiod,e.g.,7days]afterreceivingit,providingadditionalevidenceorexplanationstosupportitsrefundrequest.

C.RefundPayment

2.Therefundshallbemadeinthesamecurrencyandthroughthesamepaymentmethodastheoriginalpayment,unlessotherwiseagreeduponbybothparties.

V.DefaultandLiability

A.Default

1.PartyA'sDefault

IfPartyAprovidesfalseinformationorfailstocooperatewithPartyBduringtherefundprocesswithoutjustifiablereasons,PartyAshallbeindefault.Incaseofdefault,PartyBmayrefusetoprocesstherefundrequestormayretainaportionofthepaymentaspensationforanylossesincurredasaresultofPartyA'sactions.

2.PartyB'sDefault

IfPartyBfailstoreviewtherefundrequestwithinthespecifiedreviewperiod,failstoapprovetherefundwhenitisvalid,orfailstomaketherefundpaymentwithintheagreeduponrefundpaymentperiod,PartyBshallbeindefault.

B.Liability

1.Damages

Incaseofdefaultbyeitherparty,thenondefaultingpartyshallhavetherighttoclaimdamagesfromthedefaultingparty.Damagesmayinclude,butarenotlimitedto,directlosses,indirectlosses(suchaslostbusinessopportunities),andanyreasonableexpensesincurredinconnectionwiththerefundprocessorasaresultofthedefault,inaccordancewiththeprovisionsoftheCivilCodeofChina.

2.CompensationforBreachofContract

IfapartybreachesthisAgreement,itshallpensatetheotherpartyforalllossessufferedasaresultofthebreach.Theamountofpensationshallbedeterminedbasedontheactuallossessufferedbythenonbreachingparty,includingbutnotlimitedtothecostoftheserviceorproduct,anyadditionalexpensesincurredinobtainingasubstituteserviceorproduct,andanylostprofitsdirectlyattributabletothebreach.

VI.DisputeResolution

A.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Thepartiesshallmeetanddiscussthematteringoodfaithwithin[negotiationperiod,e.g.,30days]afteronepartynotifiestheotheroftheexistenceofthedispute.

B.Arbitration

Ifthenegotiationfails,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationshallbeconductedin[arbitrationlocation],andthelanguageofthearbitrationshallbe[language].Thearbitralawardshallbefinalandbindingonbothparties.

1.ArbitrationApplication

Eitherpartymayinitiateanarbitrationapplicationbysubmittingawrittenarbitrationrequesttothearbitrationinstitutionwithin[arbitrationapplicationperiod,e.g.,60days]afterthenegotiationfails.Thearbitrationrequestshallclearlystatethenatureofthedispute,thereliefsought,andanyrelevantfactsandevidence.

2.ArbitrationPanel

Thearbitrationinstitutionshallappointanarbitrationpanelconsistingof[number]arbitrators.Thepartiesmayhavetherighttoparticipateintheselectionofthearbitratorsinaccordancewiththearbitrationrules.

C.Litigation

Alternatively,eitherpartymaybringalawsuitinthepetentpeople'scourtinaccordancewiththerelevantlawsofChinaifthepartiesdonotagreetoarbitrationorifthearbitrationawardisnotenforceable.Thejurisdictionofthecourtshallbedeterminedinaccordancewiththerelevantlegalprovisions.

VII.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

VIII.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

Ix.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

x.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

Inwitnesswhereof,thepartieshaveexecutedthisRefundContractAgreementasofthedatefirstabovewritten.
