2025地鐵隧道工程設計與施工承包合同(中英文)ContractNo.:Date:ThisContractfortheDesignandConstructionoftheSubwayTunnelProject2025(Sino-EnglishVersion)CONTRACTFORTHEDESIGNANDCONSTRUCTIONOFTHESUBWAYTUNNELPROJECT2025Parties:Contractor(Builder):Address:ContactPerson:Employer(Client):Address:ContactPerson:PlaceofExecution:DateofExecution:Recitals:TheEmployerandtheContractorhaveagreedtothefollowingtermsandconditionsforthedesignandconstructionoftheSubwayTunnelProject(hereinafterreferredtoas"theProject")inaccordancewiththeprinciplesofequality,mutualbenefit,andgoodfaith.1.GeneralProvisions1.1ThepurposeofthisContractistoregulatetherightsandobligationsofboththeEmployerandtheContractorinconnectionwiththedesignandconstructionoftheSubwayTunnelProject.1.2TheProjectislocatedatandcomprisesthedesignandconstructionof(hereinafterreferredtoas"theWorks").1.3TheWorksshallbecarriedoutinstrictcompliancewiththeapplicablelaws,regulations,standards,andspecificationsof.1.4TheContractorshallberesponsibleforthedesignandconstructionoftheWorks,includingbutnotlimitedtoearthworks,structuralwork,mechanical,electrical,andplumbing(MEP)works,andanyotherworksasspecifiedinthe合同協議書(StatementofWork).2.ObligationsoftheEmployer2.1TheEmployershallprovidetheContractorwithallnecessaryinformation,data,andapprovalsrequiredfortheexecutionoftheWorks.2.2TheEmployershallpaytheContractortheagreedfeesandexpensesasperthetermsofthisContract.2.3TheEmployershallensurethatallnecessarypermits,licenses,andapprovalsareobtainedpriortothecommencementoftheWorks.3.ObligationsoftheContractor3.1TheContractorshallcarryoutthedesignandconstructionoftheWorksinaccordancewiththetermsandconditionsofthisContract.3.2TheContractorshallensurethattheWorksareconductedincompliancewithallapplicablelaws,regulations,andstandards.3.3TheContractorshallprovidetheEmployerwithdetaileddesigndocuments,constructionschedules,andanyotherrelevantdocumentationasrequiredunderthisContract.3.4TheContractorshallensurethattheWorksarecompletedinaccordancewiththespecifiedtimelineandqualitystandards.4.ProgressandQualityControl4.1TheContractorshallsubmitadetailedconstructionscheduletotheEmployerwithindaysofthesigningofthisContract.4.2TheEmployershallhavetherighttoinspectandsupervisetheprogressandqualityoftheWorksatanytime.4.3TheContractorshallensurethattheWorksmeetthehigheststandardsofsafety,quality,andenvironmentalprotection.4.4TheContractorshallpromptlyrectifyanydefectsornon-complianceidentifiedduringinspections.5.PaymentTerms5.1ThetotalcontractpricefortheWorksis(hereinafterreferredtoas"theContractPrice").5.2PaymentshallbemadebytheEmployertotheContractorinaccordancewiththepaymentscheduleagreeduponinthe合同協議書(StatementofWork).6.VariationsandClaims6.1AnyvariationstotheWorksshallbesubjecttowrittenagreementbetweentheEmployerandtheContractor.6.2AnyclaimsforadditionalpaymentortimeresultingfromvariationsshallbesubmittedbytheContractorwithindaysofthevariationbeingordered.7.Completion,Inspection,andHandover7.1TheWorksshallbecompletedbytheContractorwithintheagreedtimelineandshallbesubjecttofinalinspectionandacceptancebytheEmployer.7.2TheContractorshallprovidetheEmployerwithallnecessarydocumentation,includingas-builtplans,testreports,andmaintenancemanuals,uponcompletionoftheWorks.7.3TheEmployershallaccepttheWorksandissueaCertificateofCompletionwithindaysofthefinalinspection.8.Warranty8.1TheContractorshallprovideawarrantyfortheWorksinaccordancewiththetermsandconditionsspecifiedinthisContractandapplicablelaws.8.2Duringthewarrantyperiod,theContractorshallberesponsibleforrectifyinganydefectsintheWorksatnoadditionalcosttotheEmployer.9.Insurance9.1TheContractorshallobtainallnecessaryinsurancecoverage,includingbutnotlimitedtoconstructionall-riskinsurance,employer'sliabilityinsurance,andprofessionalliabilityinsurance,priortocommencingtheWorks.9.2TheEmployershallbenamedasanadditionalinsuredpartyundertheContractor'sinsurancepolicies.9.3TheContractorshallmaintaintherequiredinsurancecoveragethroughoutthedurationoftheWorksandforaperiodofafterthecompletionoftheWorks.10.LiabilityforBreachofContract10.1AnybreachofthisContractbyeitherpartyshallresultinliabilityfordamagesandanyotherremediesasprovidedbylaw.10.2TheContractorshallbeliableforanydelays,defects,ordamagescausedbyitsnegligenceorfailuretocomplywiththetermsofthisContract.11.TerminationofContract11.1EitherpartymayterminatethisContractinwritingiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithindaysofreceivingwrittennotice.11.2Upontermination,theContractorshallimmediatelyceaseallworkandvacatethesite,andtheEmployershallsettleallaccountsinaccordancewiththetermsofthisContract.12.Confidentiality12.1BothpartiesagreetokeepallinformationanddatarelatedtotheProjectconfidentialandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.13.ForceMajeure13.1NeitherpartyshallbeliableforanyfailureordelayinperformanceoftheirobligationsunderthisContractduetoeventsbeyondtheircontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentalactions.14.DisputeResolution14.1AnydisputesarisingoutoforrelatedtothisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.14.2Ifnegotiationsfail,thedisputeshallbesubmittedtotheforarbitrationinaccordancewiththerulesofthe.15.SupplementaryProvisions15.1Anyamendmentsor補充協議(additionalagreements)tothisContractshallbeinwritingandsignedbybothparties.15.2ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpreviousagreements,understandings,orarrangementsregardingthesubjectmatterhereof.16.NumberofCopies16.1ThisContractshallbeexecutedinoriginalcopies,witheachpartyholdingcopy.17.Miscellaneous17.1ThisContractshallbegovernedbyandconstruedinaccordan
