OBLIGATIONSANDRESPONSIBILITIES:

1.ThePrincipalshallprovidetheAgentwithallnecessaryinformation,documents,andmaterialsrequiredfortheAgenttoperformitsobligationsunderthisAgreement.

2.TheAgentshalluseitsbesteffortstosolicit,negotiate,andobtaintheBusinessOpportunitiesonbehalfofthePrincipal.

3.TheAgentshallpromptlynotifythePrincipalofanyBusinessOpportunitiesobtainedorattemptedtobeobtainedbytheAgent.

COMMISSIONANDPAYMENTS:

1.TheAgentshallbeentitledtoreceiveacommission(hereinafterreferredtoas"theCommission")foreachBusinessOpportunitysuccessfullyobtainedbytheAgentonbehalfofthePrincipal,subjecttothefollowingterms:

a.TheCommissionshallbecalculatedasapercentageofthetotalvalueoftheBusinessOpportunity.

b.TheCommissionshallbepaidtotheAgentwithin[NumberofDays]daysfollowingthesuccessfulconclusionoftheBusinessOpportunity.

c.TheCommissionshallbepaidbythePrincipaltotheAgentinaccordancewiththepaymenttermsagreeduponbybothparties.

2.IntheeventofanydisputesarisingfromthecalculationorpaymentoftheCommission,thepartiesshallresolvethedisputethroughgoodfaithnegotiations.Ifthepartiesfailtoreachanagreementwithin[NumberofDays],thedisputeshallbesubmittedtoanarbitratorappointedbythe[ApplicableArbitrationInstitution]inaccordancewiththerulesofsaidinstitution.

TERMANDTERMINATION:

1.ThisAgreementshallcommenceontheEffectiveDateandshallremainineffectforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.EitherpartymayterminatethisAgreementatanytimebyprovidingwrittennoticetotheotherpartyatleast[NumberofDays]dayspriortotheterminationdate.

3.UponterminationofthisAgreement,theAgentshallceaseallactivitiesrelatedtotheBusinessOpportunitiesonbehalfofthePrincipal.

CONFIDENTIALITY:

1.ThePrincipalandtheAgentagreetokeepconfidentialallinformation,documents,andmaterialsobtainedordisclosedtothembytheotherpartyduringthetermofthisAgreement.

2.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

INDEMNIFICATION:

1.ThePrincipalshallindemnifyandholdharmlesstheAgentagainstanyclaims,actions,ordemandsarisingoutoforinconnectionwiththeAgent'sperformanceofitsobligationsunderthisAgreement.

2.TheAgentshallindemnifyandholdharmlessthePrincipalagainstanyclaims,actions,ordemandsarisingoutoforinconnectionwiththeAgent'sfailuretoperformitsobligationsunderthisAgreement.

LIMITATIONSANDLIABILITIES:

1.TheAgentshallnotbeliableforanyfailuretoobtainaBusinessOpportunityduetocircumstancesbeyonditsreasonablecontrol.

2.TheThirdPartyshallnotbeliableforanyfailuretoprovidetheServicesduetocircumstancesbeyonditsreasonablecontrol.

GOVERNINGLAWANDJURISDICTION:

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[ApplicableLaw].

AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ApplicableArbitrationInstitution].
