WHEREAS,theLandlordistheownerofacertainwarehouselocatedat[WarehouseAddress](the"Warehouse");

WHEREAS,theTenantdesirestoleasetheWarehousefromtheLandlordforthepurposeofconductingitsbusinessoperations;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:

1.LeaseTerm.ThetermofthisAgreementshallcommenceonthefirstdayof______,20_____,andshallcontinueforaperiodof[NumberofYears]years(the"LeaseTerm").UpontheexpirationoftheLeaseTerm,thisAgreementmayberenewedforadditionaltermsof[NumberofYears]yearsuponthemutualwrittenagreementoftheparties.

3.UseoftheWarehouse.TheTenantshallusetheWarehousesolelyforthepurposeofconductingitsbusinessoperationsandshallnotusetheWarehouseforanyillegalpurposeorinanymannerthatmaycausedamagetotheWarehouseoranyotherproperty.

4.MaintenanceandRepair.TheTenantshallmaintaintheWarehouseingoodrepairandconditionduringtheLeaseTerm,exceptfornormalwearandtear.TheTenantshallalsorepairanydamagetotheWarehousecausedbytheTenantortheTenant'semployees,agents,orinvitees.

5.Insurance.TheTenantshallmaintain,atitsexpense,comprehensivegeneralliabilityinsuranceinanamountnotlessthan[Amount]dollars($[Amount])andpropertyinsuranceinanamountnotlessthan[Amount]dollars($[Amount])forthedurationoftheLeaseTerm.TheTenantshallprovidetheLandlordwithproofofinsuranceuponexecutionofthisAgreementandannuallythereafter.

6.AccesstotheWarehouse.TheLandlordshallhavetherighttoentertheWarehouseatanyreasonabletimeforthepurposeofinspectingtheconditionoftheWarehouseorforanyotherlegitimatepurpose.TheTenantshallprovidetheLandlordwithpriornoticeofanyproposedentryintotheWarehouse.

7.AssignmentandSubletting.TheTenantshallnotassignorsublettheWarehousewithoutthepriorwrittenconsentoftheLandlord.AnysuchassignmentorsublettingshallbesubjecttothetermsandconditionsofthisAgreement.

8.DefaultandTermination.IntheeventofadefaultbytheTenantunderthisAgreement,theLandlordshallhavetherighttoterminatethisAgreementandtorecoverpossessionoftheWarehouse.TheTenantshallbedeemedtobeindefaultifitfailstopaytheRentwhendue,failstomaintaintheWarehouseingoodrepairandcondition,orviolatesanyothertermorconditionofthisAgreement.

9.Indemnification.TheTenantshallindemnifyandholdharmlesstheLandlordfromandagainstanyandallclaims,actions,suits,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeTenant'suseoftheWarehouse.

10.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State].

1.LeaseTermandRenewal

2.RentandPayment

3.Tenant'sRightsandObligations

3.1TheTenantshallhavetherighttousetheWarehouseforitsbusinessoperationsinaccordancewiththetermsofthisAgreement.

3.2TheTenantshallberesponsibleforallcostsassociatedwiththeoperationandmaintenanceoftheWarehouse,includingutilities,insurance,andtaxes.

3.3TheTenantshallnotassignorsublettheWarehousewithoutthepriorwrittenconsentoftheLandlord,whichconsentshallnotbeunreasonablywithheld.

4.Landlord'sRightsandObligations

4.1TheLandlordshallprovidetheTenantwithaccesstotheWarehouseduringnormalbusinesshours.

4.2TheLandlordshallmaintaintheWarehouseingoodrepair,excludingnormalwearandtear,andshallberesponsibleformajorrepairsandreplacements.

5.ThirdParty'sRightsandObligations

5.1TheThirdPartyagreestoguaranteetheTenant'sperformanceunderthisAgreement,includingthepaymentofRentandcompliancewithalltermsandconditions.

5.2TheThirdParty'sguaranteeshallbeinfullforceandeffectforthedurationoftheLeaseTermandanyrenewalperiods.

5.3TheThirdPartyshallhavetherighttoinspecttheWarehouseandensurethattheTenantiscomplyingwiththetermsofthisAgreement.

6.Tenant'sDefaultandTermination

6.1IntheeventofadefaultbytheTenant,theLandlordshallhavetherighttoterminatethisAgreementandrecoverpossessionoftheWarehouse.

6.2TheTenantshallbedeemedtobeindefaultifitfailstopaytheRentwhendue,failstomaintaintheWarehouseingoodrepair,orviolatesanyothertermorconditionofthisAgreement.

7.Landlord'sDefaultandTermination

7.1TheLandlordshallhavetherighttoterminatethisAgreementiftheTenantfailstocomplywiththetermsoftheGuarantee.

7.2TheLandlordshallprovidetheTenantwithwrittennoticeofanydefaultandprovidetheTenantwithareasonableopportunitytocurethedefault.

8.Indemnification

8.1TheTenantshallindemnifyandholdharmlesstheLandlordandtheThirdPartyfromandagainstanyandallclaims,actions,suits,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeTenant'suseoftheWarehouse.

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State].

SUMMARYOFTHIRDPARTYINTERVENTIONANDAIMS:

TheinclusionoftheThirdPartyasaguarantorservestoenhancetheLandlord'sconfidenceintheTenant'sabilitytofulfillitsobligationsundertheAgreement.ThisprovidestheLandlordwithanadditionallayerofsecurityandensuresthattheTenant'sdefaultwouldnotresultinfinanciallosstotheLandlord.TheThirdParty'sinvolvementalsoaimstoencouragetheTenanttomaintaintheWarehouseingoodconditionandadheretothetermsoftheAgreement.

SUMMARYOFAGENCYDOMINANCEANDAIMS:

1.2ThePropertyManagershallensurethatthePropertyismanagedinamannerthatmaximizestheLandlord'sincomeandpreservesthevalueoftheProperty.

2.Investor'sRightsandObligations

2.1TheInvestorshallhavetherighttoreceiveaguaranteedreturnonitsinvestment,whichshallbe[GuaranteedReturnPercentage]%ofthetotalinvestmentamountperannum.

4.2TheLandlordshallhavetherighttoapproveanychangestothePropertyManager'smanagementstrategythataffecttheLandlord'sinterests.

5.Investor'sFinancialObligations

5.1TheInvestorshallpaytheLandlordtheinitialinvestmentamountforthePropertyasagreeduponintheInvestmentAgreement.

5.2TheInvestorshallmakeadditionalcapitalcontributionsasrequiredbytheLandlordfortheProperty'smaintenanceandimprovement.

6.DefaultandTermination

6.1IntheeventofadefaultbythePropertyManager,theLandlordshallhavetherighttoterminatethisAgreementandappointanewPropertyManager.

6.2TheInvestorshallhavetherighttoterminatethisAgreementiftheguaranteedreturnisnotmet,providedtheInvestorprovideswrittennoticetotheLandlordandthePropertyManager.

6.3TheLandlordshallhavetherighttoterminatethisAgreementiftheInvestorfailstomeetitsfinancialobligations.

7.Indemnification

7.1ThePropertyManagershallindemnifyandholdharmlesstheLandlordandtheInvestorfromandagainstanyandallclaims,actions,suits,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththePropertyManager'snegligenceorfailuretoperformitsdutiesunderthisAgreement.

7.2TheLandlordshallindemnifyandholdharmlesstheInvestorfromandagainstanyandallclaimsarisingoutoftheLandlord'sfailuretomaintainthePropertyinasuitablecondition.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State].
