4.1PartyBagreestokeepconfidentialallinformationobtainedfromtheClub,includingbutnotlimitedto,proprietaryknowledge,memberdata,andbusinessstrategies.

4.2PartyAshallmaintaintheprivacyofPartyB'spersonalinformationandshallnotdiscloseittoanythirdpartywithoutPartyB'spriorconsent.

5.TermandTermination

5.1ThisContractshallcommenceonthedateofitsexecutionandshallremainineffectforaperiodofone(1)year,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

5.2EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyatleastthirty(30)dayspriortotheexpirationoftheContract.

5.3Intheeventoftermination,PartyBshallnotbeentitledtoanyrefundoftheFeespaidinadvance.

6.GoverningLawandDisputeResolution
