ars]years(the"Term").11.2TerminationRightsEitherpartymayterminatethisContractinthefollowingcircumstances:(a)IftheotherpartymateriallybreachesthisContractandfailstocurethebreachwithin[numberofdays]daysafterreceiptofwrittennoticeofthebreach.(b)Iftheotherpartybeesinsolvent,filesforbankruptcy,orhasareceiverappointedoveritsassets.12.DisputeResolution12.1NegotiationIntheeventofadisputeordifferencearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.12.2MediationIfthedisputeisnotresolvedthroughnegotiationwithin[numberofdays]days,thepartiesshallattempttoresolvethedisputethroughmediation.12.3ArbitrationIfthedisputeisnotresolvedthroughmediationwithin[numberofdays]days,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesof[arbitrationinstitution].12.4JurisdictionNotwithstandingtheforegoing,eitherpartymayseekinjunctiveorotherequitablereliefinanycourtofpetentjurisdiction.13.GoverningLaw13.1ApplicableLawThisContractshallbegovernedandconstruedinaccordancewiththelawsof[jurisdiction].14.MiscellaneousProvisions14.1EntireAgreementThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,representations,andagreements,whetherwrittenororal.14.2AmendmentsandWaiversNoamendmentorwaiverofanyprovisionofthisContractshallbeeffecti
