(b)"ContractQuantity"meansthetotalquantityofCoalagreeduponbytheParties,asspecifiedinExhibitAattachedhereto.

(c)"Delivery"meansthetransferoftitleandriskoflosstotheCoalfromtheSellertotheBuyer,asdescribedinSection3below.

(d)"ForceMajeure"meansanyeventorcircumstancebeyondthereasonablecontroloftheParties,includingbutnotlimitedtoactsofGod,naturaldisasters,wars,strikes,labordisputes,andgovernmentactions.

(e)"PaymentTerms"meansthetermsandconditionsforpaymentoftheContractPrice,asdescribedinSection5below.

2.ContractPrice

TheContractPricefortheCoalshallbespecifiedinExhibitAattachedhereto,whichisincorporatedhereinbyreference.TheContractPriceshallbepayableinaccordancewiththePaymentTermssetforthinSection5below.

3.Delivery

(a)TheSellershalldelivertheCoaltotheBuyeratthedesignateddeliverypoint,asspecifiedinExhibitBattachedhereto.TheSellershallensurethattheCoalisdeliveredinamannerthatcomplieswithallapplicablelawsandregulations.

(b)TheSellershallprovidetheBuyerwithadeliverynotice,includingthedateandtimeofdelivery,atleast24hourspriortothedeliveryoftheCoal.

(c)TheriskoflossandtitletotheCoalshallpasstotheBuyeruponDelivery.

4.InspectionandAcceptance

(a)TheBuyershallinspecttheCoaluponDeliveryandshallpromptlynotifytheSellerofanydefectsordiscrepanciesintheCoal.

(b)TheBuyershallaccepttheCoalifitmeetsthespecificationssetforthinExhibitAattachedhereto.

(c)IftheBuyerdisputesthequalityoftheCoal,thePartiesshallpromptlynegotiatearesolutioningoodfaith.IfthePartiesareunabletoresolvethedispute,theyshallsubmitthedisputetoanindependentthird-partyarbitratorforresolution.

5.PaymentTerms

(a)TheBuyershallpaytheContractPriceinaccordancewiththePaymentTermssetforthinExhibitCattachedhereto.

(b)IftheBuyerfailstomakepaymentwithinthetimespecifiedinthePaymentTerms,theSellershallhavetherighttoterminatethisContractandclaimdamages.

6.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinExhibitDattachedhereto.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughbindingarbitrationinaccordancewiththerulesoftherelevantarbitrationinstitution.

7.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,betweentheParties.

(b)TheSellershallensurethattheCoalcomplieswithallapplicablelawsandregulations,includingbutnotlimitedtoenvironmentalandsafetystandards.

(c)TheSellershallprovidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedtoqualitycertificates,invoices,andshippingdocuments.

3.Buyer'sRightsandObligations

(a)TheBuyerhastherighttoinspecttheCoalupondeliveryandtoensureitmeetsthespecificationsoutlinedinExhibitBattachedhereto.

(b)TheBuyershallpaytheContractPriceinfull,inaccordancewiththePaymentTermssetforthinSection5below.

(c)TheBuyershallprovidePartyCwithallrelevantinformationrequiredtofulfilltheThirdPartyServices.

4.ThirdPartyServicesandObligations

(a)PartyCshallperformtheThirdPartyServicesasagreeduponinExhibitCattachedhereto.

(b)PartyCshallguaranteethequalityandquantityoftheCoalaspertheContract.

(c)IntheeventofabreachbytheSeller,PartyCshalluseitsbesteffortstomitigatetheBuyer'slosses.

5.PaymentTerms

(a)TheBuyershallpaytheContractPriceinfulltoPartyCwithinthetimeframespecifiedinExhibitCattachedhereto.

(b)PartyCshallthenremitthefundstotheSellerwithinthetimeframeasagreedupon.

6.LimitationofLiability

(b)PartyCshallfacilitatethelogisticscoordinationtoensuresmoothandtimelydeliveryoftheCrudeOil.

(c)PartyCshallprovideongoingsupportandadvicetotheBuyerregardingmarkettrendsandtradingstrategies.

5.PaymentTerms

(a)TheBuyershallpaytheContractPriceinfulltoPartyCwithinthetimeframespecifiedinExhibitCattachedhereto.

(b)PartyCshallthenremitthefundstotheSellerwithinthetimeframeasagreedupon.

6.LimitationofLiability

(a)TheSeller'sliabilitytotheBuyerforanybreachofthisContractshallbelimitedtotheContractPrice.
