ConsultantshallcompletetheServiceswithin__________monthsfromtheEffectiveDateofthisContractandfurnishthefinaltechnicalservicereport,includingdrawings,designingdocuments,allkindsofstandardsandphotos,within____months.Consultantshallkeepaware,freeofcharge,Clientofthelatestdevelopmentofsimilarprojectsandanyprogressmadeinordertoimprovethedesigningoftheproject.

Article2BothParties'ResponsibilityandLiability

ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgiveConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime.

ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermits,andotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.

Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultant'sresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultant'spersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder.

ConsultantshallprovideClientwithallthetechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeSchedulefortheServices.

ConsultantshallassistClient‘spersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplyClient’spersonnelwithofficespaceandnecessaryfacilitiesaswellastransportation.

ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultant'spersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.

AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle.

Article3PriceandPayment

IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServices,thepartiesshallfriendlydiscussanamendmenttothetotalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.

AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough__________inChinato_________fortheaccountofConsultant.

Article4DeliverySchedule

ConsultantshallinformClientbyfaxwhentheTechnicalservicereportsareairmailedtoClientindicatingthedateandnumberofairwaybill.ClientshallinformConsultantwhentheTechnicalservicereportshavebeenreceived.

Shouldanydocumentbemissingordamagedduringthetransport,Consultantshallbenotifiedaccordinglyandwithintwo(2)weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.

Article5Confidentiality

Alldataassembled,developed,compiled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.ThisClauseshallremainbindingonConsultantnotwithstandingtheterminationoftheContractforanyreason.

WithinthevalidityperiodofContract,bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.

Eitherpartyshallbeobligedtokeepconfidentialanysecretinformationoftheotherparty,whicheitherpartyanditspersonnelmayobtainorbeaccessibletointhecourseoftheperformanceofContract.Eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty.

Article6TaxesandDuties

AlltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaccordancewiththetaxlawsofPRCshallbebornebyClient.

AlltaxesanddutiesleviedbytheChinesegovernmentonConsultant,inconnectionwithandintheexecutionofContract,accordingtoChinesetaxlawsandtheagreementbetweenthegovernmentofPRCandthegovernmentofConsultant'scountryforthereciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonincomeshallbebornebyConsultant.

Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentunderContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.

AlltaxesanddutiesarisingoutsidePRCinconnectionwithandintheexecutionofContractshallbebornebyConsultant.

Article7Warranty

ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.

IntheeventofafailureofConsultanttoprovideClientwithsatisfactoryserviceswithinthescopeofworkdescribedinAppendix1atanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodof_____daystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfailtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththeScopeofworkdescribedinAppendix1.

TheConsultant‘sguaranteeliabilityshallexpire_____monthsafteritsconsultancyserviceisfinallyinspectedandacceptedbyClient,orafterfinalpaymentismade.

Article8OwnershipofTechnicalServiceReports

FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingtheScopeofServices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient.

Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisProjectwithoutthepriorwrittenapprovalofClient.

Article9Assignment

NeitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.

Article10Termination

If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedeliveryschedulesasstipulatedinArticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates:

A.______percent(____%)ofthetotalcontractpriceperweekforthefirstfourweeks;

B._____percent(____%)ofthetotalcontractpriceperweekfromthefifthweektotheeighthweek;

Article11ForceMajeure

ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.

TheaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay.

BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForceMajeureorremovaloftheeffects.ThevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly.

Article12Arbitration

AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenSub-commissionforarbitrationinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawof.

Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.

Article13LanguageandStandards

CorrespondenceexceptthisContractbetweenClientandConsultant,dataanddocumentsmadeavailablebyClienttoConsultantandthetechnicalservicereportsanddrawingspreparedbyConsultantshallbeintheEnglishlanguage.

Measuresshallbewritteninthemetricsystem.

Article14GoverningLaw

Theconstruction,validity,andperformanceofthisContractshallbegovernedbythelawsofthePeople'sRepublicofChina.

Article15EffectivenessoftheContractandMiscellaneous

Bothpartiesshallmakeefforttoobtaintheapprovalfromtherespectiveauthorities,ifnecessary,withinthirty(30)daysafterContractissignedbytheauthorizedrepresentativesofthetwoparties.EitherPartyshallnotifyinwritingtheotherpartyoftheapprovaldate.ThelaterdateofapprovalshallbetakenastheDateofEffectivenessofContract.

Contractshallbevalidandremaininforcefor_______(____)yearsfromtheDateofEffectiveness.

TheoutstandingcreditanddebtbetweenthepartiesunderContractshallnotbeaffectedupontheterminationorexpirationofContract.

TermofAgreement

ThisAgreementshallbeeffectiveasofandshallcontinuetineffectthroughandincludingwithautomaticone-yearextensionsthereafterunlessterminatedattheoptionofeitherparty,otherthanforcause,uponatleastsixty(60)dayswrittennoticepriortotheexpirationoftheoriginaltermor,ifapplicable,anysubsequentanniversarydate.

BarrelsperdayofArabianLightcrudeoil,minusuptotenpercent(10%)ifBUYERsorSEELERsoption,orplusuptotenpercent(10%)ifBUYERsorequestsandSELLERagrees.Additionalvolumesofcrudeoilofsimilarordifferentgradesmaybedeliveredunderthisagreementasthepartiesmayfromtimetotimeagree.

TheavailabilityofeachgradeofcrudeoilspecifiedinParagraphwillbeadvisedbySELLERfromtimetotimeinaccordancewiththeproductionpoliciesofGovernmentoftheKingdomofSaudiArabia.Subjecttoavailability,andunderlessotherwisemutuallyagreed,thequantitiedofeachgradeofcrudeoiltobeliftedorreceivedandpurchasedbyBUYERduringthetermofthisAgreementshallbespreadoverthetermofthisAgreementasevenlyaspracticable.

publishedinPlatt'sCrudeOilMarketwireundertheheading_SpotAssessment_)fortheentiremonthinwhichtheBillofLadingdatefalls,plusorminusadifferentialforeachgradetobeprovidedbySELLERtoBUYERasperParagraph.

Onorbeforethefifth(5th)dayofeachmonth,SELLERshallnotifyBUYERofthedifferentialtobeusedtodeterminethepriceperbarrelofeachgradeofcrudeoilforsaleunderthisAgreementduringthefollowingmonth(_ScheduledMonthofDelivery_).Withinfive(5)calendardaysafterreceiptofSELLER'snotificationassetforthintheprecedingsentence,BUYERmayelecttoterminatethisAgreementbydeliveringwrittennoticethereoftoSELLER.UnlessBUYERelectstoterminatethisAgreementinaccordancewiththeimmediatelyprecedingsentence,thepricedifferentialnotifiedbySELLERshallapply.TerminationbyBUYERinaccordancewiththisParagraphshallbeeffectiveasofthefirstdayofthemonthfollowingSELLER'sreceiptofBUYER'snotice;provided,however,thatterminationunderthisoranyotherprovisionofthisAgreementshallnotaffecttheparties'rightsandobligationswithrespecttodeliveriesofcrudeoilunderthisAgreementwhichweremadepriortotheeffectivedateoftermination;andfurtherprovidedthatintheeventofterminationhereunderorexpirationoftheAgreement,thisAgreementshallremainineffectwithrespecttoallcrudeoilforwhichdeliveryhasbeenconfirmedpursuanttoParagraph6.Thedifferentialapplicabletosuchcrudeoilshallbethedifferentialwhichwasineffectduringthemonthpriortotermination.

述的內容賣方在五個日歷天之內通知，買家可能選擇終止合同，通過發(fā)送書面證明的方式由此發(fā)給賣方。除非買方根據(jù)前述的內容終止協(xié)議，通知賣方的價格差異將被申請。由買方根據(jù)段落的終止將會有效，自當月的第一天起根據(jù)賣方收到買方的通知為準，假使，然而，在規(guī)定條款下的此終止將不會影響到當事人的權利和義務希望原油按照合同的要求運送，在生效期前終止；如果是，在有效期內終止合同，合同將保持有效考慮到原油的運送確定依照段落6.在終止期前一直有效。

IfdeliveryisatYanbu,BUYERshallpay,inadditiontothepricecalculatedinaccordancewithParagraph,theEast-WestPipelinetransitfee,currently.$(twenty-five.cents)perbarrel.

如果是在yanbu卸貨，買家將會付款，額外價格的計算將會根據(jù)段落，中東管道運輸費，當前為每桶美元（25美分）

ShouldissuanceoftheBillofLadingoccurbeforeoraftertheScheduledMonthofDelivery,thepriceofsuchcargoshallbecalculatedusingthedifferentialthatwouldhaveappliedhadissuanceoftheBillofLadingoccurredintheScheduledMonthofDelivery;however,theOmanandDubaiPricesshallbecalculatedwithreferencetotheBillofLadingdate,assetforthinParagraph.
