解決方案分銷協(xié)議合同編號(hào)：__________solutionsDistributionAgreement1.DistributionofSolutions1.1GrantofDistributionRights.SupplierheregrantstoDistributoranonexclusive,worldwide,renewable,andrevocablelicenseandrightto:(a)distribute,market,promote,sellandofferforsaletoendusers(the"EndUsers")theSolutions(asdefinedbelow)directlyorthroughsubdistributorsandresellers(collectively,"SalesChannels");and(b)useSupplier'strademarks,brands,andlogos(the"SupplierMarks")inaccordancewiththetermsandconditionsofthisAgreement.1.2Solutions.The"Solutions"meansSupplier'sproductsandservices,asfurtherdescribedintheappendixattachedhereto(the"Appendix"),whichmaybeupdatedfromtimetotimeSupplierinitssolediscretion.2.OrdersandDelivery2.1OrderPlacement.DistributormayplaceordersfortheSolutionswithSupplierinaccordancewiththetermsandconditionsofthisAgreement.Allordersshallbeinwritingorelectronicformandshallincludethefollowinginformation:(a)thedateoftheorder;(b)adetaileddescriptionoftheSolutionsordered;(c)therequesteddeliverydate;and(d)theproposedpricingfortheSolutions.2.2AcceptanceofOrders.SuppliermayacceptorrejectanyorderplacedDistributorinitssolediscretion.SuppliershallnotifyDistributorinwritingorelectronicmeansoftheacceptanceorrejectionofanorder.3.PricingandPayment3.1Pricing.SuppliershallprovideDistributorwiththepricingfortheSolutions,asfurtherdescribedintheAppendix.Thepricingshallbeasagreedthepartiesfromtimetotime.3.2PaymentTerms.DistributorshallmakepaymentfortheSolutionsinaccordancewiththetermsofthisAgreement.Paymentshallbemadewiretransfer,creditcard,orsuchotherpaymentmethodasSuppliermayapprovefromtimetotime.3.3Taxes.UnlessotherwisespecifiedinthisAgreement,thepricesfortheSolutionsareexclusiveoftaxes,duties,andothergovernmentalcharges,whichshallbeborneDistributor.4.WarrantiesandIndemnification4.1Warranties.SupplierwarrantsthattheSolutionsconformtothespecificationssetforthintheAppendixandarefreefrommaterialdefectsinmaterialsandworkmanship.Supplier'ssoleobligationunderthiswarrantyshallbe,atitsoption,toreplaceorrefundthepurchasepriceofanynonconformingordefectiveSolutions.4.2Exclusions.Theforegoingwarrantydoesnotapplyto:(a)SolutionsthathavebeenmodifiedoralteredanypartyotherthanSupplier;(b)Solutionsthathavebeensubjectedtoabnormalconditionsofuseorstorage;or(c)SolutionsthatareoutsidethewarrantyperiodassetforthintheAppendix.4.3Indemnification.SuppliershallindemnifyandholdharmlessDistributoragainstanyclaims,damages,losses,orexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfrom:(a)theuseorsaleoftheSolutions;or(b)anybreachofSupplier'srepresentations,warranties,orobligationsunderthisAgreement.5.TermandTermination5.2AutomaticRenewal.ThisAgreementshallautomaticallyrenewforsuccessivetermsof__________yearseach,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast__________dayspriortotheendoftheInitialTermoranysucceedingterm.5一、附件列表：1.AppendixA:SolutionsDescription2.AppendixB:PricingSchedule3.AppendixC:DeliveryTerms4.AppendixD:WarrantyInformation5.AppendixE:PaymentTerms6.AppendixF:MarketingandPromotionGuidelines7.AppendixG:IntellectualPropertyRights8.AppendixH:ComplianceRequirements二、違約行為及認(rèn)定：2.Failuretomeetthedeliveryschedulesortimeframesagreedupon.3.SaleofSolutionsbelowtheminimumadvertisedpricesetSupplier.4.UseofSupplierMarksinamannerinconsistentwiththetermsofthisAgreement.5.DistributionofSolutionsthroughunauthorizedchannelsortounauthorizedterritories.6.breachofanyrepresentations,warranties,orobligationsunderthisAgreement.三、法律名詞及解釋：1.Solutions:referstoSupplier'sproductsandservicesasdescribedintheAppendix.2.DistributionRights:thenonexclusive,worldwide,renewable,andrevocablelicenseandrighttodistribute,market,promote,sell,andofferforsaletheSolutions.3.EndUsers:theultimateconsumersoftheSolutions.4.SalesChannels:directsalesorthroughsubdistributorsandresellers.5.SupplierMarks:trademarks,brands,andlogosofSupplier.6.Warranty:theguaranteeprovidedSupplierfortheSolutions'conformitytothespecificationsandabsenceofmaterialdefects.四、執(zhí)行中遇到的問題及解決辦法：2.QualityissueswithSolutions:refertothewarrantytermsandcontactSupplierforreplacementorrefund.3.Paymentdisputes:refertothepaymenttermsandusethedisputeresolutionmechanismprovidedinthisAgreement.4.Marketingandpromotiondiscrepancies:refertotheMarketingandPromotionGuidelinesintheAppendixandseekclarificationfromSupplier.5.Intellectualpropertyinfringement:refertotheIntellectualPropertyRightssectionintheApp
