1.ContentsofTransactions

1.1PartyAagreestobuyfromPartyBandPartyBagreestoselltoPartyAAssemblyLinesforColorTVSets,whosespecifications,technicalrequirements,priceanddeliveryscheduleshallbespecifiedinanadditionalcontracttobemadebetweenbothparties,whichshallserveasanintegralpartofthiscontract.

1.2PartyBshallbuyfromPartyAColorTVSetsturnedoutontheAssemblyLinessuppliedbyPartyBinanamountapproximatelyequaltothatoftheAssemblyLines.Thequality,quantity,unitprice,packinganddeliveryscheduleshallalsobespecifiedinanadditionalcontract,whichshallconstituteanintegralpartofthiscontract.

2.TermsofPayment

PaymentofthetransactionsstipulatedinArticle1shallbeeffectedbyreciprocalLs/C.PartyAshallopenausanceL/CinfavorofPartyBtopaybyinstallmentstheentirecostoftheAssemblyLinestobesuppliedbyPartyB；whereasPartyBshallopenasightL/CinfavorofPartyAtopayeachshipmentofColorTVSetstobedeliveredbyPartyA.ThetenoroftheusanceL/CshallbeinconsistencewiththetermofcompensationstipulatedinArticle3.ThetotalproceedsreceivedbyPartyAfromsellingColorTVSetstoPartyBwithinthedurationofthiscontractshallbeequalto,andusedtocover,thetotalvalueoftheAssemblyLines.IncasethetotalproceedsreceivedbyPartyAfromsellingColorTVSetstoPartyBisnotenoughtocoverthetotalvalueoftheAssemblyLines,thebalanceshallbemadeupbyPartyBwithdownpaymentbeforetheusanceL/CopenedbyPartyAexpires,thusenablingPartyAtoeffectpaymentdueundertheusanceL/C.

3.TermofCompensation

PartyAshallpaythetotalcostoftheAssemblyLinesbyexportingColorTVSetstoPartyBwithin10monthsfromthe4thmonthafterallpartsoftheAssemblyLinesaredelivered.Inprinciple,theamounttobepaidbyPartyBforitsimportsfromPartyApermonthshallbe10percentofthetotalamountduetobepaidfortheAssemblyLines.PartyAcanmakepaymentaheadofschedulewithanoticetoPartyB1monthsinadvance.

4.CurrencyforPricing

BoththeAssemblyLinesandtheColorTVSetsshallbepricedintermsofUSDollars.IftheColorTVSetsarealsotobesoldonthehomemarketwithinthetermofcompensationandthushaveapriceinRMB,theirexportpriceshallbeitsequivalentinUSDollarsaccordingtotheexchangeratethenprevailing.

5.InterestRate

PartyAshallbeartheinterestontheusanceL/CandthedownpaymentofPartyB.Theannualinterestrateisagreeduponat7.5%.

6.TechnicalService

Afterarrivalatthedestination,theAssemblyLinesshallbeinstalledbyPartyA.WhenPartyAbelievesitisnecessary,PartyBshallsenditstechnicianstoprovideon-the-spotinstructionsandothertechnicalassistanceinthecourseofinstallation.PartyBshallbeliableforexpensesofthetechniciansandlossesincurredinthecourseofinstallationasaresultoftechnicaldefaultonitspart.

7.Insurance

7.1ThebuyingandsellingoftheAssemblyLinesandtheColorTVSetsshallbeonFOBbasis,thustheoceanmarinecargoinsuranceonthemshallbeeffectedbyPartyAandPartyBrespectively.

7.2Inthedurationofthiscontract,theAssemblyLinesshallbeinsuredbyPartyA.Shouldanylossordamageoccur,PartyAshalllodgeclaimsagainsttheinsurerandpayapartoftheindemnificationreceivedfromtheinsurertoPartyB,whichshallbeinproportiontothepaymentPartyAhasnotmadeforthepartofmachineryinvolvedinthelossordamage.

8.LiabilityforBreach

Eitherpartyshallbeliableforitsbreachofcontractandindemnifyforalllossesthusincurredtotheotherparty.Inaddition,thebreachingpartyshallpaytotheotherpartyafine,whichshallaccountfor15%ofthetotalamountinvolved.

9.PerformanceGuarantee

Toguaranteetheimplementationofthecontract,eachpartyshallsubmittotheotheraperformanceguaranteeissuedbyabankagreedbybothparties.TheguaranteebankofPartyAisTheBankofChina,GuangzhouBranch,whilethatofPartyBisSanwaBank.

10.ForceMajeure

10.1Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthecontractduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredictedatthetimeofconclusionofthiscontract,andcouldnotbecontrolled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysofitsoccurrence.

10.2IftheeventofForceMajeurelastsover120days,bothpartiesshallhavetherighttoterminatethecontract.

11.Arbitration

11.1Alldisputesarisingfromtheperformanceofthiscontractshallbesettledthroughfriendlynegotiations.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythecommission.

11.2Duringthecourseofthearbitration,thecontractshallbeperformedexceptforthepartunderarbitration.

12.AmendmenttotheContract

Thecontractcanbeamendedonlyaftertheamendmentisagreeduponbybothparties.

13.LanguageandValidity

13.1ThecontractshallbewritteninChineseandEnglish.Bothversionsareequallyauthentic.Intheeventofanydiscrepancybetweenthetwoversions,theChineseversionshallprevail.

13.2Thecontractshallcomeintoeffectassoonasitisdulysignedbybothpartiesandshallremaineffectivefortwoyears.

1、交易內容

1.1甲方同意從乙方購買、乙方同意向甲方出售彩電裝配線，其規(guī)格、技術要求、價格和交貨日程安排，由雙方另行簽訂合同，作為本合同不可分割的一部分。

1.2乙方從甲方購買乙方提供的裝配線生產的彩色電視機，其金額與裝配線的金額相等。彩電的質量、數(shù)量、單價、包裝和交貨日程安排，亦由雙方另行簽訂合同，作為本合同不可分割的一部分。

2、支付條件

第一條所訂交易的支付通過對開信用證進行。甲方開出以乙方為受益人的遠期信用證，分期支付乙方所供裝配線的全部價款；乙方開出以甲方為受益人的即期信用證，支付甲方交付的每一批彩電。遠期信用證的期限應與第三條所訂補償期限相一致。甲方在本合同期限內得自向乙方出售彩電的全部收入應等于并用于支付裝配線的價款，假使甲方得自向乙方出售彩電的全部收入不足以支付裝配線的全部價款，余額由乙方在甲方開出的遠期信用證到期前用預付款補足，以使甲方能夠履行遠期信用證項下的付款。

3、補償期限

從裝配線的所有部分交付以后第4個月起，甲方應在10個月內通過向乙方出口彩電支付裝配線的全部價款。原則上，乙方為每月自甲方的進口所支付的金額，是裝配線應付總金額的10%。甲方可提前付款，但須提前1個月通知乙方。

4、定價貨幣

裝配線與彩色電視機均使用美元計價。如果彩電在補償期內也在國內市場上銷售，因而具有人民幣價格，其出口價格應為按當時匯率折算的美元價格。

5、利息率

甲方負擔遠期信用證及乙方預付款的利息。年利息率雙方同意按7.5%計。

6、技術服務

裝配線運達目的地后，由甲方安裝，當甲方認為必要時，乙應派遣技術
