Its functionsin clude:日處理原料為 _ 噸，設(shè)備工作過程為非自動(dòng)兼自動(dòng)化，可以連續(xù)進(jìn)料或出渣，所有回收的氣體用于供給該設(shè)備連續(xù)運(yùn)做，總電力需要50-100 千瓦廢油加工的總產(chǎn)油率達(dá)85%左右。Process _tons of raw materials per day.Work ing process of the equipme nt is nonautomatic andautomatic. One set of the equipme nt costs U.S.dollars 亠3.雙方也共議，在乙方為甲方生產(chǎn)第一套油化設(shè)備的同時(shí)，甲方將獲得乙方技術(shù)裝備使用權(quán)。Both parties also agree that Party B produce the first set of oil equipment for Party A, Party Awill receive the right to use the technical equipment of Party B.4.甲方同乙方簽訂合同并在乙方收到預(yù)付

11、 nal product quality. PartyB is respon sible for the packagi ng. Product warra nty period should be one year.三. 支付條款 Payme nt Terms A.合同簽訂后，甲方分三次放款支付給乙方：i.第一次，在簽訂合同的同時(shí)，支付美元的30%現(xiàn)金定金，即_美元。ii.第二次，在買方提貨時(shí)，支付美元的 67%，即 美元。iii.第三次，在設(shè)備安裝完畢，正常運(yùn)轉(zhuǎn)六個(gè)月內(nèi)支付設(shè)備3%余款，即美元。B.如因乙方中國(guó)港口交貨延遲造成過期，乙方須向甲方支付違約金。同樣如甲方每次預(yù)付定金及驗(yàn)提貨延遲

12、造成的所有損失均由甲方負(fù)責(zé)，并需要向乙方交付違約金。支付方式為_ a.電匯 b.信用證A. If Party B delay the delivery in Chi nese Portand ma

14、ke the delivery time expired, Party B should pay Party A compensation forbreach of con tract. Similarly, if Party A is late for prepay ing the deposit and deliveryin specti on, Party A is resp on sible for all losses and Party A should pay Party Bcompe nsati on for breach of con tract. C. The method

T/T b.L/C四、 售后與安裝條款 After Sales and in stallation Respo nsibilitiesA 法蘭、管件、閥門、彎頭、三通、視鏡、油泵、電機(jī)、燃燒機(jī)、保溫磚、耐火磚、催化劑、密封墊、螺絲，泥土及反應(yīng)釜防腐材料及焊接材料等等所用連接設(shè)備的連接件等，由甲方負(fù)責(zé)。但乙方需提供相關(guān)材料的材質(zhì)明甲方負(fù)責(zé)安裝積極配合。Flanges, pipe fittings, valves, elbows, three links, sight glass, oil pumps, motors, burners,insulation

16、bricks, refractory bricks, catalyst, gaskets, screws， soil andreactor an ti-corrosi on materials, weldi ng materials and other conn ectors used by connectingthe equipment, are in the charge of Party A. However, Party B must provide the related materialsdetails. Party B will guide the installation of

17、 all the equipme nts, and Party A n eed to cooperate細(xì)。所有設(shè)備的安裝由乙方指導(dǎo),actively for in stallati on.乙方可以提供 12 名技術(shù)人員赴甲方處負(fù)責(zé)“油化設(shè)備”的指導(dǎo)安裝調(diào)試，所去人 員簽證往返機(jī)票飲食住宿通訊及保險(xiǎn)由甲方負(fù)責(zé)。所有使用工具由甲方負(fù)責(zé)。安裝時(shí)的工人、焊工由甲方負(fù)責(zé)。乙方人員指導(dǎo)安裝到調(diào)試出油。按照甲方要求，乙方應(yīng)在設(shè)備到達(dá) 后日內(nèi)完成安裝調(diào)試工作，并生產(chǎn)出符合標(biāo)準(zhǔn)的油，全程無三廢排出。乙 方除負(fù)責(zé)設(shè)備安裝調(diào)試外，無償為甲方培訓(xùn)設(shè)備操作和維修人員1-2 名。Party B can provide

18、1-2 technical staff to be responsible for guiding the installation and debugging of the oil equipme nt. The visas, roun d-trip air tickets, food and accommodati on, com municati on and in sura nce of the tech ni cal staff should be in the charge of Party A. Party A isresponsible for all the using to

19、ols. Party A is in charge of the workers and the welders during theinstallation. The staff of Party B will guide the in stallati on and debuggi ng un til oil is produced.Accord ing to the requireme nts of Party A, Party B should complete the installation anddebugging in days after equipme nt arrived

20、 in , and produces the oil which can meet sta ndard,no three wastes discharg ing duri ng the whole process. Besides the in stallati on and debugging of the equipment, Party B will train 1-2 operators and maintenance workers for Party A forfree.乙方為甲方無償提供生產(chǎn)技術(shù)及催化劑配方，確保甲方生產(chǎn)出符合標(biāo)準(zhǔn)的產(chǎn)品。甲方接受乙方的設(shè)備及技術(shù)，本協(xié)議簽字之日起

21、，未經(jīng)乙方同意任何人任何時(shí)候不能留用乙方及乙方派去的外國(guó)人為甲方工作。如留用，均屬違約，并賠償對(duì)方損失。乙方只允許甲方使用本套設(shè)備及技術(shù)的使用權(quán)，不得甲方直接或間接加工制造本技術(shù)產(chǎn)品， 但經(jīng)乙方同意，需利益共享。Party B will provide product ion tech no logy and catalyst formula to Party A for free, and en surethat Party A can produce the products that meet sta ndards. Party A accept the equipme nt andte

22、ch no logy of Party B, since the date of sig ning this Agreeme nt, without the agreeme nt ofParty B, no body can reta in staff from Party B or the foreigners which sent by Party B to work forParty A. If retained, it will be a breach of con tract and Party A should compe nsate the losses ofthe other

Party B only allow Party A to use this set of equipme nt and the right of using thetech no logy, Party A shall not directly or in directly manu facture the equipme nt with this tech nology, but whe n Party B agree that, the two Parties should share the profits.五、其他條款 Other provisionsA- 該設(shè)備應(yīng)滿足

24、集裝箱船裝運(yùn)條件，否則產(chǎn)生的多余運(yùn)費(fèi)應(yīng)由乙方負(fù)責(zé)。如乙方不按 時(shí)交付產(chǎn)品，甲方不按時(shí)付款提貨均屬違約，雙方任何一方違約 均賠償對(duì)方的損失。 本合同執(zhí)行期為自乙方收到甲方首批現(xiàn)金定金 30% 之日，去除海運(yùn)時(shí)間后的 105 天安 裝調(diào)試完畢。The equipment shall meet requirement of shipping with containers, otherwise surplus freightshould be undertaken by Party B. In case Party B fails to deliver goods on time or Party

25、A fails topay and pick up goods on time, either is breach the contract, any Party in breach shallcompensate losses of the other Party. The period of performing the contract is from the datewhen Party B receives the first advance payment cash 30% from Party A, the installation anddebugging will be fi

26、nished in 105 days, excepting the shipping time.B- 如水災(zāi)，火災(zāi)，風(fēng)暴，地震和戰(zhàn)爭(zhēng)等不可抗力造成的損失及延遲交貨。買賣方應(yīng)郵 給對(duì)方驗(yàn)收證書，由地方政府當(dāng)局的不可抗力發(fā)生的證據(jù)為準(zhǔn)。萬一事故持續(xù)超過 6 個(gè)星期。買賣方都有權(quán)取消這一合同。If losses or delayed deliver incurred by force majeure such as flood, fire, storm, earthquake andwar, Party B and Party A shall mail acceptance certificate to each other, with the prevailingcertificate approved by local government authority concerning of occurrence of force majeure. Incase force maj
