合同取消協(xié)議范本英文版?ThisContractCancellationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyA'sname],a[PartyA'slegalentitytype]organizedandexistingunderthelawsof[PartyA'sjurisdiction]withitsprincipalplaceofbusinessat[PartyA'saddress](hereinafterreferredtoas"PartyA"),and[PartyB'sname],a[PartyB'slegalentitytype]organizedandexistingunderthelawsof[PartyB'sjurisdiction]withitsprincipalplaceofbusinessat[PartyB'saddress](hereinafterreferredtoas"PartyB").I.Recitals1.PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")dated[originalcontractdate]inrelationto[descriptionofthesubjectmatterorservice].2.Forcertainreasons,thepartiesnowdesiretocanceltheOriginalContractandterminatetheirrightsandobligationsthereunder.II.SubjectMatterorServiceDescriptionThesubjectmatteroftheOriginalContractwas[detaileddescriptionofthegoods,services,orrightsandobligationscoveredbytheOriginalContract].Specifically,PartyAwasto[describePartyA'sobligationsundertheOriginalContract],andPartyBwasto[describePartyB'sobligationsundertheOriginalContract].III.AgreementtoCancel1.ThepartiesherebymutuallyagreetocanceltheOriginalContractasofthedateofthisAgreement.2.AllrightsandobligationsofthepartiesundertheOriginalContractshallterminateimmediatelyupontheexecutionofthisAgreement,exceptasotherwiseprovidedherein.IV.RightsandObligationsofthePartiesA.PartyA'sRightsandObligations1.RightsPartyAshallbereleasedfromallfurtherobligationsundertheOriginalContract.PartyAhastherighttorequestthereturnofanyprepaidamountsrelatedtotheOriginalContract,subjecttothetermsofthisAgreement.2.ObligationsPartyAshalldelivertoPartyBanymaterials,documents,orinformationinitspossessionorcontrolthatarerelatedtotheOriginalContractwithin[numberofdays]daysaftertheexecutionofthisAgreement.PartyAshallcooperatewithPartyBinanynecessaryactionstoeffectuatethecancellationoftheOriginalContract,includingbutnotlimitedtoprovidingwrittenconfirmationstothirdparties.B.PartyB'sRightsandObligations1.RightsPartyBshallbereleasedfromallfurtherobligationsundertheOriginalContract.PartyBhastherighttorequestthereturnofanyprepaidamountsrelatedtotheOriginalContract,subjecttothetermsofthisAgreement.2.ObligationsPartyBshallreturntoPartyAanymaterials,documents,orinformationinitspossessionorcontrolthatarerelatedtotheOriginalContractwithin[numberofdays]daysaftertheexecutionofthisAgreement.PartyBshallcooperatewithPartyAinanynecessaryactionstoeffectuatethecancellationoftheOriginalContract,includingbutnotlimitedtoprovidingwrittenconfirmationstothirdparties.V.SettlementofPrepaidAmounts1.IfeitherpartyhasprepaidanyamountsundertheOriginalContract,theotherpartyshallrefundsuchprepaidamountswithin[numberofdays]daysaftertheexecutionofthisAgreement.2.Thepartiesshallprovideeachotherwithdetailedinvoicesandpaymentreceiptstosupportthecalculationandrefundofprepaidamounts.3.Intheeventofanydisputeregardingtheamountofprepaidamountsortherefundprocess,thepartiesshallattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]days.Ifthedisputecannotberesolvedthroughnegotiation,eitherpartymayreferthemattertoarbitrationorlitigationinaccordancewiththedisputeresolutionprovisionsofthisAgreement.VI.Confidentiality1.ThepartiesacknowledgethatduringthecourseoftheirrelationshipundertheOriginalContract,theymayhaveobtainedcertainconfidentialinformationfromeachother.2.EachpartyshallcontinuetobeboundbytheconfidentialityobligationssetforthintheOriginalContractoranyotherconfidentialityagreementsenteredintobetweenthepartieswithrespecttosuchconfidentialinformation.3.Thepartiesshallnotdiscloseanyconfidentialinformationoftheotherpartytoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.VII.NonCompeteandNonSolicitation1.NonCompeteDuringtheperiodof[nonpeteperiod]yearsfromthedateofthisAgreement,PartyAshallnotengageinanybusinessactivitiesthatareindirectpetitionwiththebusinessactivitiesofPartyBascontemplatedbytheOriginalContract.Duringthesamenonpeteperiod,PartyBshallnotengageinanybusinessactivitiesthatareindirectpetitionwiththebusinessactivitiesofPartyAascontemplatedbytheOriginalContract.2.NonSolicitationPartyAshallnotsolicitanyemployees,customers,orbusinesspartnersofPartyBforaperiodof[nonsolicitationperiod]yearsfromthedateofthisAgreement.PartyBshallnotsolicitanyemployees,customers,orbusinesspartnersofPartyAforaperiodof[nonsolicitationperiod]yearsfromthedateofthisAgreement.VIII.RepresentationsandWarranties1.Eachpartyrepresentsandwarrantstotheotherpartythat:IthasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.Theexecution,delivery,andperformanceofthisAgreementdonotviolateanylaws,regulations,orcontractualobligationstowhichitissubject.Ithasobtainedallnecessaryconsentsandapprovalsfortheexecution,delivery,andperformanceofthisAgreement.2.PartyArepresentsandwarrantsthatithasnottransferred,assigned,orotherwisedisposedofanyofitsrightsorobligationsundertheOriginalContractinamannerthatwouldaffecttherightsandobligationsofPartyBunderthisAgreement.3.PartyBrepresentsandwarrantsthatithasnottransferred,assigned,orotherwisedisposedofanyofitsrightsorobligationsundertheOriginalContractinamannerthatwouldaffecttherightsandobligationsofPartyAunderthisAgreement.IX.Indemnification1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementbysuchparty.2.Intheeventofaclaim,suit,orproceedingagainstonepartyarisingoutoforinconnectionwiththisAgreement,theindemnifyingpartyshall,atitsownexpense,defendsuchclaim,suit,orproceedingandshallpayanyjudgment,settlement,orotherliabilityresultingtherefrom.X.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].XI.DisputeResolution1.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweenthepartieswithin[numberofdays]daysaftereitherpartygiveswrittennoticeofthedisputetotheotherparty.2.Ifthedisputecannotberesolvedthroughnegotiation,thepartiesshallsubmitthedisputeto[arbitrationinstitutionname]forarbitrationinaccordancewiththerulesof[arbitrationrules].Thearbitrationshallbeconductedin[arbitrationlocation],andthelanguageofthearbitrationshallbe[language].3.Theawardofthearbitrationshallbefinalandbindingonbothparties,andjudgmentupontheawardmaybeenteredinanycourthavingjurisdictionthereof.4.Notwithstandingtheforegoing,eitherpartymayseekinjunctiverelieforotherprovisionalremediesfromacourtofpetentjurisdictionintheeventofanemergencyortoprotectitslegitimaterightsandinterestsbeforethearbitrationawardismade.XII.EntireAgreement1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.XIII.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.XIV.WaiverNofailureordelayonthepartofeitherpartyinexercisinganyright,power,orprivilegehereundershalloperateasawaiverthereof;norshallanysingleorpartialexerciseofanyright,power,orprivilegeprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.XV.CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthe
