I.SubjectMatterorServiceDescription

1.NatureoftheAgreement

ThisAgreementpertainstotheprovisionof[describetheserviceorthenatureofthesubjectmatter,e.g.,professionallegaltranslationservicesforaspecificsetofdocumentsrelatedtoabusinessacquisition].PartyAshallberesponsibleforaccuratelytranslatingthespecifiedChineselegaldocumentsintoEnglishinaccordancewiththehigheststandardsoflegallanguageproficiencyandindustrybestpractices.

2.ScopeofWork

PartyAisrequiredtotranslateallthelegaldocumentsprovidedbyPartyBwithinthedefinedtimeframe.Thedocumentsincludebutarenotlimitedto[listoutthetypesofdocumentssuchascontracts,statutes,pleadingsetc.].PartyAshallensurethatthetranslationisfaithfultotheoriginalmeaning,grammaticallycorrect,andplieswiththerelevantlegalterminologiesandformatsintheEnglishlanguage.

3.QualityStandards

ThetranslationshallmeetthequalityrequirementssetbythelegalprofessioninHongKong.PartyAshallhaveateamofprofessionaltranslatorswithlegalbackgroundsorextensiveexperienceinlegaltranslations.Thetranslateddocumentsshallbereviewedandeditedbyseniortranslatorsorlegalexpertstoensureaccuracyandconsistency.PartyAshallbeliableforanyerrorsoromissionsinthetranslationthatmaycauselegaldisputesorfinanciallossestoPartyB.

II.RightsandObligationsoftheParties

A.RightsofPartyA

1.PaymentRight

PartyAhastherighttoreceivepaymentfromPartyBinaccordancewiththepaymenttermsspecifiedinthisAgreement.

2.RequestforInformation

PartyAmayrequestPartyBtoprovideadditionalinformationorclarificationregardingthelegaldocumentstobetranslatedtoensuretheaccuracyofthetranslation.

B.ObligationsofPartyA

1.TranslationObligation

PartyAshallpletethetranslationofallthelegaldocumentswithintheagreedupontimeperiod.PartyAshalluseitsbesteffortstoensurethatthetranslationisofhighquality,accurate,andinpliancewiththerelevantlegalterminologiesandformatsinbothChineseandEnglish.

2.ConfidentialityObligation

PartyAshallkeepalltheinformationprovidedbyPartyBconfidential.PartyAshallnotdiscloseanyofthelegaldocumentsorrelatedinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyB,exceptasrequiredbylaw.

3.CompliancewithLawsandRegulations

PartyAshallplywithallapplicablelawsandregulationsinHongKongduringtheperformanceofthisAgreement.

C.RightsofPartyB

1.ReviewRight

PartyBhastherighttoreviewthetranslateddocumentsandrequestPartyAtomakeanynecessarycorrectionsorimprovementstoensurethatthetranslationmeetstherequiredqualitystandards.

2.TerminationRight

IncasePartyAfailstoperformitsobligationsunderthisAgreement,PartyBhastherighttoterminatetheAgreementaftergivingwrittennoticetoPartyAanddemandingrectificationwithinaspecifiedperiod.IfPartyAstillfailstorectifythesituation,PartyBmayclaimdamages.

D.ObligationsofPartyB

1.DocumentProvisionObligation

PartyBshallprovidePartyAwithallthenecessarylegaldocumentsinatimelymannerforthepurposeoftranslation.PartyBshallensuretheauthenticityandpletenessoftheprovideddocuments.

2.PaymentObligation

PartyBshallpayPartyAtheagreeduponfeesforthetranslationservicesinaccordancewiththepaymentschedulespecifiedinthisAgreement.

3.CooperationObligation

PartyBshallcooperatewithPartyAduringthetranslationprocess,providinganyadditionalinformationorassistanceasrequestedbyPartyAtofacilitatetheaccuratetranslationofthelegaldocuments.

III.PaymentTerms

1.TotalPaymentAmount

PartyBshallpayPartyAatotalofHK$[amount]forthetranslationservicesprovidedunderthisAgreement.

2.PaymentSchedule

AdvancePayment:PartyBshallpay[X]%ofthetotalpaymentamountasanadvancepaymenttoPartyAwithin[numberofdays]daysaftertheexecutionofthisAgreement.

FinalPayment:AfterPartyAhaspletedallthetranslationworkandPartyBhasreviewedandacceptedthetranslateddocuments,PartyBshallpaytheremaining[X]%ofthetotalpaymentamounttoPartyAwithin[numberofdays]days.

3.PaymentMethod

IV.Confidentiality

1.ConfidentialInformationDefined

BothpartiesacknowledgethatduringthecourseofthisAgreement,theymayhaveaccesstoconfidentialinformationoftheotherparty,includingbutnotlimitedtothelegaldocuments,businessplans,financialinformation,andanyotherinformationmarkedasconfidential.

2.ObligationtoKeepConfidential

Eachpartyshallkeeptheotherparty'sconfidentialinformationconfidentialandshallnotdisclose,use,orpermitanythirdpartytodiscloseorusesuchconfidentialinformationwithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.DurationofConfidentiality

TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.

V.IntellectualPropertyRights

1.OwnershipofOriginalDocuments

PartyBshallretaintheownershipofalltheoriginallegaldocumentsprovidedtoPartyAfortranslation.

2.OwnershipofTranslatedDocuments

TheintellectualpropertyrightsofthetranslateddocumentsshallbelongtoPartyB.PartyAshallnotclaimanyownershiporotherintellectualpropertyrightsoverthetranslateddocuments,exceptfortherighttousethetranslateddocumentsforthepurposeoffulfillingitsobligationsunderthisAgreement.

3.RestrictiononUse

PartyAshallnotusethetranslateddocumentsforanypurposeotherthantheperformanceofthisAgreementwithoutthepriorwrittenconsentofPartyB.PartyAshallnotsublicense,assign,ortransferthetranslateddocumentstoanythirdparty.

VI.TermandTermination

1.TermoftheAgreement

ThisAgreementshallmenceonthedateofexecutionandshallremaininforceforaperiodof[numberofmonths/years]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.TerminationbyAgreement

BothpartiesmayterminatethisAgreementbymutualwrittenagreementatanytime.

3.TerminationforBreach

IfeitherpartybreachesanyofthetermsandconditionsofthisAgreement,thenonbreachingpartyshallhavetherighttoterminatetheAgreementaftergivingwrittennoticetothebreachingpartyanddemandingrectificationwithinaspecifiedperiod.Ifthebreachingpartyfailstorectifythebreachwithinthespecifiedperiod,thenonbreachingpartymayterminatetheAgreementandclaimdamages.

4.EffectofTermination

UponterminationofthisAgreement,bothpartiesshallimmediatelyceaseperformingtheirobligationsunderthisAgreement,exceptforthoseobligationsthatareexpresslyprovidedtosurvivetermination.PartyAshallreturnalltheoriginallegaldocumentsandanycopiesortranslationsthereoftoPartyB.PartyBshallpayPartyAfortheworkpleteduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.

VII.LiabilityandIndemnification

1.LiabilityforBreach

EachpartyshallbeliableforanydamagescausedtotheotherpartyduetoitsbreachofthisAgreement.Theliabilityofeachpartyshallbelimitedtotheamountofdirectdamagessufferedbytheotherparty,andshallnotincludeindirect,consequential,special,orpunitivedamages,unlessotherwiseprovidedbylaw.

2.IndemnificationObligation

Incaseofanyclaim,lawsuit,orotherlegalproceedingarisingoutoforinconnectionwiththisAgreement,theindemnifyingpartyshallindemnifyandholdtheindemnifiedpartyharmlessfromandagainstalllosses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)incurredbytheindemnifiedparty.

3.LimitationsofLiability

NotwithstandinganyotherprovisionofthisAgreement,thetotalliabilityofeitherpartyunderthisAgreementshallnotexceedthetotalamountoffeespaidorpayablebyPartyBtoPartyAunderthisAgreement.

VIII.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftertheoccurrenceofthedispute.

2.Arbitration

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesoftheHongKongInternationalArbitrationCentre(HKIAC).ThearbitrationshallbeconductedinHongKong,andthelanguageofthearbitrationshallbeEnglish.Thearbitralawardshallbefinalandbindingonbothparties.

3.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofHongKongSpecialAdministrativeRegionofthePeople'sRepublicofChina.

IX.Miscellaneous

1.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthe
