ARTICLEⅨWARRANTYOFQUALITY1.GUARANTEEOFMATERIALANDWORKMANSHIPTheSellerforaperiodoftwelve(12)monthsfollowingdeliverytotheBuyeroftheVessel,guaranteestheVessel,herhullandmachineryandallpartsandequipmenthereofthataremanufacturedorfurnishedorsuppliedbytheSellerand/oritssub-contractorsunderthisContractincludingmaterial,equipment(howeverexcludinganypartsfortheVesselwhichhavebeensuppliedbyoronbehalfoftheBuyer)againstalldefectswhichareduetodefectivematerials,and/orpoorworkmanship.2.NOTICEOFDEFECTSTheBuyershallnotifytheSellerinwriting,orbytelexconfirmedinwriting,aspromptlyaspossible,afterdiscoveryofanydefectordeviationsforwhichaclaimismadeunderthisguarantee.TheBuyer'swrittennoticeshalldescribethenatureofthedefectandtheextentofthedamagecausedthereby.TheSellershallhavenoobligationunderthisguaranteeforanydefectsdiscoveredpriortotheexpirydateoftheguarantee,unlessnoticeofsuchdefects,isreceivedbytheSellernotlaterthanthirty(30)daysaftersuchexpirydate.Telexedadvicewithbriefdetailsexplainingthenatureofsuchdefectandextentofdamagewithinthirty(30)daysaftersuchexpirydateandthataclaimisforthcomingwillbesufficientcompliancewithrequirementsastotime.3.REMEDEYOFDEFECTSTheSellershallremedyatitsexpenseanydefects,againstwhichtheVesseloranypartoftheequipmentthereofisguaranteedunderthisArticlebymakingallnecessaryrepairsand/orreplacement.Suchrepairsand/orreplacementwillbemadebytheSeller.However,ifitisimpracticaltomaketherepairbytheSeller,andifforwardingbytheSellerofreplacementparts,andmaterialscannotbeaccomplishedwithoutimpairingordelayingtheoperationorworkingoftheVessel,then,inanysuchevent,theBuyershall,causethenecessaryrepairsorreplacementstobemadeelsewhereatthediscretionoftheBuyerprovidedthattheBuyershallfirstandinallevents,will,assoonaspossible,givetheSellernoticeinwriting,orbytelexconfirmedinwritingofthetimeandplacesuchrepairswillbemadeand,iftheVesselisnottherebydelayed,orheroperationorworkingisnottherebydelayed,orheroperationorworkingisnottherebyimpaired,theSellershallhavetherighttoverifybyitsownrepresentative(s)orthatofClassificationSocietythenatureandextentofthedefectscomplainedof.TheSellershall,insuchcases,promptlyadvisetheBuyer,bytelex,aftersuchexaminationhasbeencompleted,ofitsacceptanceorrejectionofthedefectsasonesthataresubjecttotheguaranteehereinprovided.Inallminorcases,theGuaranteeEngineer,ashereinafterprovidedfor,willactforandonbehalfoftheSeller.Inanycircumstancesassetoutbelow,theSellershallimmediatelypaytotheBuyerinUnitedStatesDollarsbytelegraphictransfertheactualcostforsuchrepairsorreplacementsincludingforwardingcharges,orattheaveragecostformakingsimilarrepairsorreplacementsincludingforwardingchargesasquotedbyaleadingshipyardeachinJapan,SouthKoreaandSingapore,whicheverislower:(a)UpontheSeller'sacceptanceofthedefectsasjustifyingremedyunderthisArticle,or(b)IftheSellerneitheracceptsnorrejectsthedefectsasaboveprovided,norrequestarbitrationwithinthirty(30)daysafteritsreceiptoftheBuyer'snoticeofdefects.AnydisputeshallbereferredtoarbitrationinaccordancewiththeprovisionsofArticleⅩⅢhereof.4.EXTENTOFTHESELLER'SLIABILITYTheSellershallhavenoobligationand/orliabilitieswithrespecttodefectsdiscoveredaftertheexpirationoftheperiodofguaranteespecifiedabove.TheSellershallbeliabletotheBuyerfordefectsanddamagescausedbyanyofthedefectsspecifiedinParagraph1ofthisArticleprovidedthatsuchliabilityoftheSellershallbelimitedtodamageoccasionedwithintheguaranteeperiodspecifiedinParagraph1above.TheSellershallnotbeobligedtorepair,ortobeliablefor,damagestotheVessel,ortoanypartoftheequipmentthereof,duetoordinarywearandtearorcausedbythedefectsotherthanthosespecifiedinParagraph1above,norshalltherebeanySeller'sliabilityhereunderfordefectsintheVessel,oranypartoftheequipmentthereof,causedbyfireoraccidentsatseaorelsewhere,ormismanagement,accidents,negligence,orwillfulneglect,onthepartoftheBuyer,itsemployeesoragentsincludingtheVessel'sofficers,crewandpassengers,oranypersonsonordoingworkontheVesselotherthantheSeller,itsemployees,agentsorsub-contractors.Likewise,theSellershallnotbeliablefordefectsintheVessel,ortheequipmentoranypartthereof,duetorepairsorreplacementwhichmadebythoseotherthantheSellerand/ortheirsub-contractors.UpondeliveryoftheVesseltotheBuyer,inaccordancewiththetermsoftheContract,theSellershalltherebyandthereuponbereleasedofallresponsibilityandliabilitywhatsoeverandhowsoeverarisingunderorbyvirtueofthisContract(saveinrespectofthoseobligationstotheBuyerexpresslyprovidedforinthisArticleⅨ)includingwithoutlimitation,anyresponsibilityorliabilityfordefectiveworkmanship,materialsorequipment,designorinrespectofanyotherdefectswhatsoeverandanylossordamagesresultingfromanyact,omissionordefaultoftheSeller.NeitherCSTCnortheSellershall,inanycircumstances,beliableforanyconsequentiallossorspecialloss,orexpensearisingfromanycausewhatsoeverincluding,withoutlimitation,lossoftime,lossofprofitorearningsordemurragedirectlyfromanycommitmentsoftheBuyerinconnectionwithVessel.TheGuaranteeprovidedinthisArticleandtheobligationsandtheliabilitiesiftheSellerhereunderareexclusiveandinlieuofandtheBuyerherbywaivesallotherremedies,warranties,guaranteesorliabilities,expressorimplied,arisingbyLaworotherwise(includingwithoutlimitationanyobligationsoftheSellerwithrespecttofitness,merchantabilityandconsequentialdamages)orwhetherornotoccasionedbytheSeller'snegligence.Thisguaranteeshallbeextended,alteredorvariedexceptbyawritteninstrumentsignedbythedulyauthorizedrepresentativesoftheSeller,andtheBuyer.5.GUARANTEEENGINEERTheSellershallappointoneortwoGuaranteeEngineer(s)toservetheVesselastheSeller'srepresentative(s)foraperiodoftwelve(12)monthsfromthedeliveryoftheVessel.TheBuyer,anditsemployees,shallgivesuchguaranteeEngineer(s)fullco-operationincarryingouthis/theirdutiesastherepresentative(s)oftheSelleronboardtheVessel.TheBuyershallaccordtheGuaranteeEngineer(s)thetreatmentcomparabletotheVessel'sChiefEngineer,andshallprovidehimwithaccommodationandsubsistenceatnocosttotheSellerand/ortheGuaranteeEngineer(s).TheBuyershallpaytotheGuaranteeEngineer(s)thesumofUnitedStatesDollarsonly(US＄)permonthtocoverhis/theirmiscellaneousexpensesincludingwagesandalsotheBuyershallpaytheexpenseofrepatriationtoBeijing,thePeople'sRepublicofChinabyairuponterminationofhis/theirservice,theexpenseofhis/theircommunicationswiththeSellerwhenmadeinperformanceofhis/theirdutiesastheGuaranteeEngineer(s)andtheexpense,ifany,ofhis/theirmedicalandhospitalcare.TheBuyer,itssuccessor(s)and/orassign(s),shallbeliabletoandindemnifytheSellerand/ortheGuaranteeEngineer(s)and/ortheSellerforpersonalinjuries,includingdeathanddamagesto,orlossordestructionofpropertyoftheGuaranteeEngineer(s),ifsuchdeath,injuries,damages,lossand/ordestructionwerecausedbygrossnegligenceorwillfulmisconductoftheBuyer,itssuccessor(s)and/orassign(s)oritsemployeesand/oragents.PertainingtothedetailedparticularsofthisParagraph,andagreementwillbemadeaccordingtothiseffectbetweenthepartiesheretoupondeliveryoftheVessel.（船舶建造協議）質量確保1材料和工藝確保在賣方將本船交付給買方后12個月內,賣方確保對本船、其船體、機械設備及其全部部件和全部由賣方和/或本協議中其分包商制作完成或提供包含材料、設備（但由買方或以買方名義提供任何部件除外）發生因材料缺點、設計錯誤和/或制作工藝錯誤引發缺點負擔責任。2缺點通知買方發覺屬于本確保范圍內據以索賠缺點或偏差后,應立刻以書面或書面確定電傳通知賣方。在買方書面通知中應具體說明缺點性質和由此引發損壞程度。賣方在確保期到期后三十天內未收到缺點通知,賣方對確保期到期之前發覺缺點不負擔義務。在確保期到后三十天內應電傳通知發生缺點,需要說明缺點性質和損壞程度,則隨即索賠視為符合要求。3缺點修復賣方應自行對本條所確保本船或設備任何部分所發生缺點進行必需修復和/或更換。這些修復和/或更換應由賣方完成。不過,假如賣方不能修理本船,假如賣方更換材料、部件運輸將影響或推遲本船運行,那么在此情況下,買方可自行選擇在其她地方進行必需修理或更換,但買方不管怎樣應首先立刻地用書面通知或書面確定電傳,通知買方將要修理時間和地點。假如本船及其運行沒有推遲,其運行未受損害,賣方有權由自己代表或船級社代表,核實買方提出缺點性質和范圍。在此情況下,賣方在檢驗結束后,應快速用電傳通知買方,認可或拒絕這類缺點屬其擔保提供范圍。在通常情況下,隨即指派確保工程師,將代表賣方。出現下列情況,賣方應立刻將包含這類修理或更換含運輸費實際成本,或按日本、韓國、新加坡關鍵船廠實施類似修理或更換平均費用包含其運輸費用取其低者以美元電匯給買方。（1）賣方認可按本條應補救缺點,或（2）賣方在收到買方缺點通知后三十天內,不接收也不拒絕上述缺點,也不請求仲裁。任何爭議將根據本協議第十三條要求提交仲裁。
