合同補(bǔ)充協(xié)議英文版?ThisSupplementaryAgreementtotheContract(hereinafterreferredtoas"thisAgreement")ismadeandenteredintoasof[date]byandbetweenthefollowingtwoparties:PartyA:Name:[CompanyNameofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]Address:[AddressofPartyA]ContactInformation:[PhoneNumber/EmailofPartyA]PartyB:Name:[CompanyNameofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]Address:[AddressofPartyB]ContactInformation:[PhoneNumber/EmailofPartyB]WHEREAS,PartyAandPartyBhaveenteredintoa[OriginalContractName](hereinafterreferredtoas"theOriginalContract")on[OriginalContractDate];andWHEREAS,thepartiesnowdesiretoenterintothisSupplementaryAgreementtofurtherclarifyandsupplementcertaintermsandconditionsoftheOriginalContractinlightoftheactualsituationandbusinessneeds.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesherebyagreeasfollows:I.SubjectMatterorServiceDescription1.[DescriptionoftheSubjectMatterorService]ThespecificdetailsofthesubjectmatterorservicecoveredbythisSupplementaryAgreementshallbeasfollows:[Providedetaileddescription,includingquantity,qualitystandards,specifications,etc.].Forexample,ifitisaservicecontract,describethescopeofservices,serviceperiod,servicelocation,etc.Ifitisagoodscontract,describethename,model,quantity,qualityrequirementsofthegoods.Anychangesoradjustmentstothesubjectmatterorserviceshallbesubjecttothepriorwrittenconsentofbothparties.II.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PaymentObligationsPartyAshallpayPartyBtheamountsdueinaccordancewiththepaymenttermsspecifiedinthisSupplementaryAgreementandtheOriginalContract.Thepaymentscheduleshallbeasfollows:[Specifythepaymentamounts,paymentduedates,andpaymentmethods].PartyAshallberesponsibleforensuringtheavailabilityofsufficientfundsfortimelypayment.Incaseofanydelayinpayment,PartyAshallpayinterestontheoverdueamountattherateof[x]%perannumcalculatedfromtheduedateuntiltheactualpaymentdate.2.CooperationandInformationProvisionPartyAshallcooperatefullywithPartyBintheperformanceofthisSupplementaryAgreement,includingbutnotlimitedtoprovidingnecessaryinformation,approvals,andaccesstorelevantfacilitiesordata.PartyAshallnotifyPartyBinwritingofanychangesoreventsthatmayaffecttheperformanceofthisSupplementaryAgreementinatimelymanner.B.RightsandObligationsofPartyB1.PerformanceofServicesorDeliveryofGoodsPartyBshallperformitsservicesordeliverthegoodsinaccordancewiththequalitystandards,specifications,anddeliveryschedulesspecifiedinthisSupplementaryAgreementandtheOriginalContract.PartyBshallberesponsibleforensuringthattheservicesprovidedorgoodsdeliveredmeettherequirementsofthisSupplementaryAgreementandanyapplicablelawsandregulations.Incaseofanynonpliance,PartyBshallbeliableforanylossesordamagescausedtoPartyA.2.WarrantyandAftersalesServicePartyBshallprovideawarrantyfortheservicesprovidedorgoodsdeliveredforaperiodof[WarrantyPeriod]fromthedateofdeliveryorpletionofservices.Duringthewarrantyperiod,PartyBshallberesponsibleforrepairing,replacing,orprovidingotherremediesforanydefectsormalfunctionsfreeofcharge.PartyBshallprovideaftersalesservicetoPartyAinaccordancewiththetermsagreedupon.Theaftersalesserviceshallinclude[Describethescopeofaftersalesservice,suchastechnicalsupport,maintenance,etc.].III.AmendmentsandSupplementstotheOriginalContract1.AmendmentofContractTermsThefollowingtermsandconditionsoftheOriginalContractareherebyamended:[ListthespecificclausesoftheOriginalContractthatarebeingamendedandthenewcontent].AnyothertermsandconditionsoftheOriginalContractthatarenotinconsistentwiththisSupplementaryAgreementshallremaininfullforceandeffect.2.SupplementaryProvisionsInadditiontotheamendmentsabove,thefollowingsupplementaryprovisionsareaddedtotheOriginalContract:[ListthenewprovisionsthatarebeingaddedtotheOriginalContract].IV.Confidentiality1.ConfidentialInformationDefinedForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyinformationdisclosedbyonepartytotheotherpartyinconnectionwiththeperformanceofthisSupplementaryAgreement,includingbutnotlimitedtobusinesssecrets,technicalknowhow,customerinformation,andfinancialinformation.2.ObligationofConfidentialityEachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposeotherthantheperformanceofthisSupplementaryAgreementwithoutthepriorwrittenconsentoftheotherparty.ThisobligationofconfidentialityshallsurvivetheterminationorexpirationofthisSupplementaryAgreementforaperiodof[ConfidentialityPeriod]years.V.TermandTermination1.TermofAgreementThisSupplementaryAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceuntilthepletionofallobligationsunderthisSupplementaryAgreementandtheOriginalContract,unlessearlierterminatedinaccordancewiththeprovisionsherein.2.TerminationbyAgreementThepartiesmayterminatethisSupplementaryAgreementbymutualwrittenagreementatanytime.3.TerminationforBreachIfeitherpartymateriallybreachesthisSupplementaryAgreement,thenonbreachingpartyshallhavetherighttoterminatethisSupplementaryAgreementbygivingwrittennoticetothebreachingparty.Incaseofterminationduetobreach,thebreachingpartyshallbeliableforanylossesordamagescausedtothenonbreachingparty.4.EffectofTerminationUponterminationofthisSupplementaryAgreement,thepartiesshallimmediatelyceaseperformingtheirobligationshereunder,exceptforthoseobligationsthatsurviveterminationinaccordancewiththetermsofthisAgreementorapplicablelaws.VI.LiabilityandIndemnificationA.LiabilityforBreach1.GeneralLiabilityEachpartyshallbeliableforanylosses,damages,liabilities,orexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsbreachofthisSupplementaryAgreement.2.ConsequentialDamagesInadditiontotheabovementioneddirectlosses,eachpartyshallbeliableforanyconsequentialdamagescausedbyitsbreach,providedthatthenonbreachingpartyhasgivenwrittennoticeofsuchconsequentialdamagestothebreachingpartywithinareasonabletimeaftertheoccurrenceofthebreach.B.Indemnification1.IndemnifyingParty'sObligationPartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaims,suits,actions,orproceedingsbroughtagainstPartyBbyanythirdpartyduetoPartyA'sbreachofthisSupplementaryAgreementoritsobligationsundertheOriginalContract.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaims,suits,actions,orproceedingsbroughtagainstPartyAbyanythirdpartyduetoPartyB'sbreachofthisSupplementaryAgreementoritsobligationsundertheOriginalContract.VII.DisputeResolution1.NegotiationIncaseofanydisputearisingoutoforinconnectionwiththisSupplementaryAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[NegotiationPeriod]daysaftertheoccurrenceofthedispute.2.ArbitrationorLitigationIfthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallberesolvedeitherbyarbitrationorbylitigationinaccordancewiththefollowingprovisions:Arbitration:Thepartiesagreethatanyarbitrationshallbeconductedinaccordancewiththearbitrationrulesof[ArbitrationInstitutionName].Thearbitrationawardshallbefinalandbindingonbothparties.Litigation:Incaseoflitigation,thedisputeshallbesubjecttothejurisdictionofthecourtslocatedin[JurisdictionLocation].VIII.GoverningLawThisSupplementaryAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawCountry/Region].Ix.Miscellaneous1.EntireAgreementThisSupplementaryAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.2.SeverabilityIfanyprovisionofthisSupplementaryAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshal
