a.ThepartiesagreetokeepconfidentialanyandallinformationdisclosedbyeitherpartyduringthenegotiationandexecutionofthisContract.
b.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
7.GoverningLawandDisputeResolution
a.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[describethegoverninglaw].

8.Termination

b.PartyBshallnot,withoutthepriorwrittenconsentofPartyA,usethegoods/servicesforanypurposeotherthanthatagreeduponinthisContract.
c.PartyBshallnot,withoutthepriorwrittenconsentofPartyA,assignitsrightsandobligationsunderthisContracttoanythirdparty.
11.RightsandObligationsofThirdParty
a.ThirdPartyshallactasanimpartialintermediaryandfacilitatethetransactionbetweenPartyAandPartyB.
b.ThirdPartyshallensuretheproperhandlingandcoordinationofthedeliveryprocessandpaymentterms.
c.ThirdPartyshallassistintheresolutionofanydisputesbetweenPartyAandPartyB.
