?ThisPropertyDonationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

I.Recitals

TheDonorwishestodonatecertainpropertytotheDoneeforthepurposeshereinaftersetforth,andtheDoneewishestoacceptsuchdonation.

II.DescriptionoftheDonatedProperty

1.RealProperty

TheDonorherebydonatestotheDoneeapieceoflandlocatedat[landaddress],withanareaof[x]squaremeters.Thelandiscurrentlyzonedfor[zoningtype]use,andisidentifiedbyLandCertificateNo.[certificatenumber].

Theimprovementsontheland,includingbutnotlimitedtoa[typeofbuilding]buildingwithatotalfloorareaof[x]squaremeters,arealsopartofthedonation.Thebuildingisingoodstructuralconditionandissuitablefor[intendeduse].

2.PersonalProperty

FurnitureandFixtures:TheDonordonatesallthefurnitureandfixtureswithinthebuilding,includingbutnotlimitedto[listsomeofthefurnitureitems,e.g.,sofas,diningtables,beds],whichareingoodworkingconditionandsuitableforcontinueduse.

Equipment:Certainequipmentusedintheoperationoftheproperty,suchas[listequipmentitems,e.g.,airconditioningunits,elevators],isalsopartofthedonation.Theequipmenthasbeenregularlymaintainedandisexpectedtocontinuetofunctionproperlyforareasonableperiodoftime.

III.RightsandObligationsoftheParties

A.RightsandObligationsoftheDonor

1.Rights

TheDonorreservestherighttorevokethedonationunderthecircumstancespermittedbylaw.Suchcircumstancesmayincludebutarenotlimitedtothediscoveryoffraud,misrepresentation,ormaterialchangeinthecircumstancesoftheDoneethatwasnotdisclosedatthetimeofdonation.

TheDonorhastherighttobeinformedoftheproperuseandmanagementofthedonatedpropertybytheDonee.

2.Obligations

TheDonorshallensurethatthedonatedpropertyisfreefromanyliens,encumbrances,orotherthirdpartyclaims.TheDonorshallindemnifyandholdtheDoneeharmlessfromanylosses,damages,orliabilitiesarisingoutofanysuchclaims.

TheDonorshallprovideallnecessarydocumentationandassistancetotheDoneeforthepurposeofeffectingthetransferofthedonatedproperty,includingbutnotlimitedtodeeds,certificates,andanyotherrelevantlegalinstruments.

TheDonorshallcooperatewiththeDoneeingoodfaithduringtheprocessofpropertytransfer,includingattendinganynecessarymeetings,signinganyrequiredforms,andprovidinganyadditionalinformationasrequested.

B.RightsandObligationsoftheDonee

1.Rights

TheDoneehastherighttopossess,use,andenjoythedonatedpropertyforthepurposesspecifiedinthisAgreement.

TheDoneehastherighttodisposeofthedonatedpropertyinaccordancewiththelaw,subjecttoanyrestrictionsimposedbythisAgreementorotherapplicablelaws.

2.Obligations

TheDoneeshallusethedonatedpropertyonlyforthepurposesforwhichitwasdonated.TheDoneeshallnotusethepropertyforanyillegal,immoral,orimproperpurposes.

TheDoneeshalltakereasonablecareofthedonatedproperty.TheDoneeshallmaintainthepropertyingoodcondition,makenecessaryrepairsandimprovements,andensurethatthepropertyisnotwastedordamagedthroughnegligence.

TheDoneeshallkeepaccuraterecordsoftheuseandmanagementofthedonatedproperty.TheDoneeshallmakesuchrecordsavailabletotheDonoruponrequest.

TheDoneeshallnottransfer,assign,orotherwisedisposeofthedonatedpropertytoanythirdpartywithoutthepriorwrittenconsentoftheDonor,exceptaspermittedbylaw.

IV.TransferofProperty

1.RealProperty

TheDonorshallexecuteanddelivertotheDoneeallnecessarydeedsanddocumentsforthetransferoftherealpropertywithin[x]daysaftertheexecutionofthisAgreement.Thetransfershallberegisteredwiththerelevantlandregistrationauthorityinaccordancewiththelawsof[jurisdiction].

TheDoneeshallbearallthecostsassociatedwiththeregistrationoftherealpropertytransfer,includingbutnotlimitedtoregistrationfees,taxes,andanyothergovernmentimposedcharges.

2.PersonalProperty

ThetransferofpersonalpropertyshallbeeffectedbyphysicaldeliveryoftheitemstotheDoneewithin[x]daysaftertheexecutionofthisAgreement.TheDonorshallensurethatallpersonalpropertyitemsareintheconditiondescribedinthisAgreementatthetimeoftransfer.

V.TaxMatters

1.TheDonorshallberesponsibleforpayinganytaxes,duties,orleviesimposedbylawinconnectionwiththedonationoftheproperty,exceptforthosespecificallybornebytheDoneeunderthisAgreement.

2.TheDoneeshallcooperatewiththeDonorinprovidinganynecessaryinformationordocumentationfortaxpurposes,includingbutnotlimitedtotaxreturns,certificatesofdonation,andanyotherrelevantrecords.

VI.DurationoftheAgreement

ThisAgreementshallbeeffectiveasofthedateofexecutionbybothpartiesandshallremaininforceuntilthetransferofalldonatedpropertyispletedandallrightsandobligationsofthepartieswithrespecttothedonationhavebeenfullydischarged.

VII.Termination

1.ThisAgreementmaybeterminatedbymutualwrittenconsentoftheparties.

2.IntheeventofamaterialbreachofthisAgreementbyeitherparty,thenonbreachingpartymayterminatethisAgreementbygivingwrittennoticetothebreachingparty.Thebreachingpartyshallbeliableforanydamagescausedtothenonbreachingpartyasaresultofthebreach.

VIII.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

Ix.DisputeResolution

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifthepartiesfailtoresolvethedisputewithin[x]daysafterthedisputearises,thedisputeshallbesubmittedto[nameofarbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.

2.Thearbitrationshallbeconductedin[locationofarbitration],andthelanguageofthearbitrationshallbe[language].

3.Thedecisionofthearbitrationtribunalshallbefinalandbindingonbothparties.Eachpartyshallbearitsowncostsofarbitration,unlessotherwisedeterminedbythearbitrationtribunal.

x.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

xI.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xII.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

Inwitnesswhereof,thepartieshaveexecutedthisPropertyDonationAgreementasofthedatefirstabovewritten.
