erytothedesignatedlocation.4.3DeliveryConfirmation:PartyBshallimmediatelyconductaninspectionofthegoodsuponreceiptandsignthe"GoodsInspectionReport"iftheinspectionissuccessful.IfPartyBdiscoversanyqualityissuesordiscrepanciesinquantityduringtheinspection,itshallnotifyPartyAinwritingwithindays.Article5InspectionandQualityGuarantee5.1PartyBshallcompletetheinspectionofthegoodswithindaysafterreceiptandnotifyPartyAinwritingoftheinspectionresults.IfPartyBfailstoraiseanywrittenobjectionswithintheaforementionedperiod,itshallbedeemedthatthegoodshavepassedtheinspection.5.2Ifanyqualityissuesarediscoveredduringtheinspection,PartyAshallberesponsibleforrepairingorreplacingthegoodsatitsownexpense.5.3Qualityguaranteeperiod:PartyAshallprovideaqualityguaranteeperiodofmonthsfromthedateofsuccessfulinspection.Duringthisperiod,ifanyqualityissuesarise,PartyAshallrepairorreplacethegoodsfreeofcharge.Article6RightsandObligationsofBothParties6.1RightsandobligationsofPartyA:Todeliverthegoodsinaccordancewiththetime,quantity,andqualityrequirementsstipulatedinthisContract；Toensurethattheintellectualpropertyrightsandtrademarkrightsofthegoodsarefreeofdefects；Tobeartheriskofthegoodsduringtransportation；Torepairorreplacethegoodsfreeofchargewithinthequalityguaranteeperiodifanyqualityissuesarise.6.2RightsandobligationsofPartyB:TopaythecontractpriceinaccordancewiththetermsofthisContract；ToconducttheinspectionofthegoodsinatimelymannerandnotifyPartyAinwritingofanyissueswithinthespecifiedperiod；Nottoalterthepurposeofthegoodsormakeanymodificationsthatmayaffectthequalityofthegoodswithoutauthorization.Article7ForceMajeure7.1IntheeventofanyforcemajeureeventthatpreventseitherpartyfromperformingitsobligationsunderthisContract,bothpartiesshallpromptlycommunicateandstrivetominimizethelosses.Neitherpartyshallbeliableforanylossesresultingfromaforcemajeureevent.7.2Aforcemajeureeventreferstoanunforeseen,unavoidable,andinsurmountableevent,includingbutnotlimitedtowar,naturaldisasters,governmentactions,etc.Article8LiabilityforBreachofContract8.1AnypartythatfailstoperformitsobligationsunderthisContractshallbearthecorrespondingliabilityforbreachofcontractandcompensatetheotherpartyforanylossesincurred.8.2IfPartyBfailstopaythecontractpriceasstipulatedinthisContract,itshallpaya違約金of%oftheoverdueamounttoPartyAforeachdayofdelay.8.3IfPartyAfailstodeliverthegoodsasstipulatedinthisContract,itshallpaya違約金of%ofthetotalcontractpricetoPartyBforeachdayofdelay.Article9DisputeResolution9.1AnydisputesarisingfromorrelatedtothisContractshallberesolvedthrough友好協(xié)商bytheparties.If
