中外合資企業合作經營協議(中英文)第一章總則中國＿＿＿＿＿企業和＿＿＿＿＿國＿＿＿＿＿企業,依據《中國中外合資經營企業法》和中國其它相關法律法規,本著平等互利標準,經過友好協商,同意在中國共同投資舉行合資經營企業,特簽訂本協議。第二章合資雙方第一條合資協議雙方

協議雙方以下:

１．１．“中國＿＿＿＿＿企業”（以下簡稱甲方）是一個按中國（以下簡稱“中國”）法律組織和存在企業法人,在中國注冊,持有編號為＿＿＿＿＿營業執照。

１．３．各方均表明自己是按中國法律或＿＿＿＿＿國法律正當成立有效法人,含有締結本合資協議并推行本協議義務所需全部法人權限。第三章合資企業成立第二條根據中國合資企業法和其它相關法律和法規,協議雙方同意在中國境內＿＿＿＿＿省＿＿＿＿＿市建立合資企業。第三條合資企業漢字名稱為＿＿＿＿＿＿＿合資企業英文名稱為＿＿＿＿＿＿＿

法定地址:＿＿＿＿＿＿＿第四條合資企業為中國法人,受中國法律、法規和相關規章制度（以下簡稱“中國法律”）管轄和保護,在遵守中國法律前提下,從事其一切活動。第五條合資企業法律形式為有限責任企業,合資企業責任以其全部資產為限,雙方責任以各自對注冊資本出資為限。合資企業利潤按雙方對注冊資本出資百分比由雙方分享。第四章生產和經營目范圍和規模第六條目

（如乙方以外幣出資,根據繳款當日中國國家外匯管理局公布外匯牌價折算成人民幣）第十一條雙方將以下列作為出資:

１１．１．甲方:現金＿＿＿＿＿元機械設備＿＿＿＿＿元廠房＿＿＿＿＿元工地使用費＿＿＿＿＿元工業產權＿＿＿＿＿元其它＿＿＿＿＿元共＿＿＿＿＿元

１１．２．乙方:現金＿＿＿＿＿元機械設備＿＿＿＿＿元工業產權＿＿＿＿＿元其它＿＿＿＿＿元共＿＿＿＿＿元第十二條合資企業注冊資本由甲、乙方按其出資百分比分＿＿＿＿＿期繳付,每期繳付數額以下:（略）第十三條貸款總投資和注冊資本之間差額向銀行貸款。可首先考慮向合資企業所在中國銀行或其它渠道借貸。甲、乙方按在合資企業注冊資本百分比各自負責貸款擔保。

假如合資企業董事會認為,除了第十一條要求雙方投資額和上述貸款外,合資企業經營需要流動資金和其它資金,雙方應按各自在合資企業注冊資本百分比為上述借款作擔保。

假如不能按上述方法取得借款,董事會將按協議雙方各自在合資企業中資本百分比向合同雙方另外征集資金。除非協議雙方另以書面形式明確表示同意,任何一方都沒有義務再增加注冊資本成為第三方借貸給合資企業款項作擔保。不過,假如合資企業經營、利潤情況良好,協議雙方標準上同意再合適增加注冊資本,即按經營發展情況和穩妥股本籌措原則使用積累貯備基金。第十四條資本轉讓除非得到另一方同意并經審批機關同意,協議任何一方都不得將其認繳資本股份全部或部份轉讓給第三方。假如一方將其認繳資本股份全部或部分轉讓給第三方,則另一方含有優先受讓權利,受讓條件不得苛刻于轉讓給第三方條件。另一方特此表示,假如自己不行使優先受讓權,即為同意上述轉讓。第十五條抵押和擔保未經董事會一致同意,任何一方都不得將其認繳資本股份全部或部分用作抵押,也不得用作擔保。第六章合資雙方責任第十六條甲、乙方應各自負責完成以下各項事宜:

１６．１甲方責任（依據具體情況寫,關鍵有:）

——按第五章要求出資并幫助安排資金籌措;

——辦理為設置合資企業向中國相關主管部門申請同意、登記注冊、領取營業執照等事宜;

——向土地主管部門辦理申請取得土地使用權手續;

——幫助合資企業組織合資企業廠房和其它工程設施設計、施工;

——幫助辦理乙方作為出資而提供機械設備進口報關手續和在中國境內運輸;

——幫助合資企業聯絡落實水、電、交通等基礎設施;

——幫助合資企業申請全部可能享受關稅和稅務減免以及其它利益或優惠待遇;

——幫助合資企業招聘中方管理人員、技術人員、工人和所需其她人員;

——幫助外籍工作人員辦理所需入境簽證、工作許可證和旅行手續等;

——負責辦理合資企業委托其它事宜。

１６．２乙方責任:

——按第五章要求出資并幫助安排資金籌措;

——辦理合資企業委托在中國境外選購機械設備、材料等相關事宜;

——提供需要設備安裝、調試以及試生產技術人員、生產和檢驗技術人員;

——培訓合資企業技術人員和工人;

——如乙方同時又是技術轉讓方,則應負責合資企業在要求期限內按設計能力穩定地生產合格產品;

——負責辦理合資企業委托其它事宜。第七章技術轉讓第十七條許可與技術引進協議合資企業和＿＿企業“許可與技術引進協議”應與本協議同時草簽。第八章商標使用及產品銷售第十八條合資企業和＿＿企業就使用＿＿企業商標簽署“商標使用許可協議”,全部同商標相關事宜均應根據“商標使用許可協議”要求辦理。或合資企業產品使用商標為＿＿＿＿＿＿＿＿。第十九條合資企業產品,在中國境內外市場上銷售,外銷部分占＿＿＿＿＿％,內銷部分占＿＿＿＿＿％。第二十條合資企業內銷產品可由中國物資部門、商業部門包銷或代銷,或由中國外貿企業包銷占＿＿＿＿＿％。第二十一條產品可由下述渠道向國外銷售:由合資企業直接向中國境外銷售占＿＿＿＿＿％。由合資企業與中國外貿企業簽訂銷售協議,委托其代銷,或由中國外貿企業包銷占＿＿＿＿＿％。由合資企業委托乙方銷售占＿＿＿＿＿％。第九章董事會第二十二條合資企業注冊登記之日,為合資企業董事會成立之日。第二十三條董事會由＿＿＿＿＿名董事組成,其中甲方委派＿＿＿＿＿名,乙方委派＿＿＿＿＿名。董事長由甲方委派,副董事長由乙方委派。董事、董事長和副董事長任期４年,經委派方繼續委派能夠連任。第二十四條董事會是合資企業最高權力機構,決定合資企業一切重大事宜:

１．修改合資企業章程;

２．終止或解散合資企業;

３．與其它經濟組織合并;

４．合資企業注冊資本增加;

５．采納、更改或終止集體勞動協議、職職員資制度和集體福利計劃等;

６．分紅;

７．同意年度財務報表,……（略）第二十五條董事會全部決議均需全體董事多數表決方能經過,但第二十四條＿＿＿＿＿款所列事項需全體董事一致同意后方能經過。第二十六條董事長是合資企業法定代表。假如董事長不能行使其職責,應書面授權副董事長代理。第二十七條董事會會議每年最少召開一次,由董事長召集并主持會議。經三分之一以上董事提議,董事長可召開董事會臨時會議。會議紀要歸合資企業存檔。任何一名董事如不能出席會議,應以書面委托形式指定一名代理出席會議和行使表決權。假如董事既不出席會議也不委托她人參與會議,應視作棄權。第十章經營管理機構第二十八條合資企業設經營管理機構,負責企業日常經營管理工作。經營管理機構設總經理一人,由＿＿＿＿＿方推薦,副總經理＿＿＿＿＿人,由甲方推薦＿＿＿＿＿人,乙方推薦＿＿＿＿＿人。總經理、副總經理由董事會聘用,任期＿＿＿＿＿年。第二十九條總經理職責是實施董事會會議各項決議,組織領導合資企業日常經營管理工作。副總經理幫助總經理工作。第三十條總經理、副總經理有營私舞弊或嚴重瀆職,經董事會會議決議可隨時撤換。第十一章設備材料采購第三十一條合資企業生產中所需要相關設備、儀器等物資,其采購權歸合資企業。第三十二條合資企業所需原材料、燃料、零部件、運輸工具等,在條件相同情況下,盡先在中國購置。第十二章勞動管理第三十三條合資企業職員招聘、處罰、解聘、協議期限、工資、勞動保險、生活福利等事宜,根據《中國勞動法》和《中國中外合資經營企業勞動管理要求》及其實施措施,經董事會研究制訂方案,由合資企業和合資企業工會組織集體或部分地簽訂勞動協議。勞動協議簽訂后,報當地勞動管理部門立案。第三十四條外籍職員相關勞動事務具體要求見附件。第十三章工會第三十五條工會任務為:（略）

——保護法律要求職員民主權利和物質利益;

——幫助合資企業安排和合理使用福利基金;

——參與調解職員與合資企業之間發生爭議;等。第三十六條工會代表有權就職員獎勵、處罰、解聘、工資、福利、勞動保護和勞動保險等問題同經營管理機構協商。第三十七條依據中國法律和法規相關要求,合資企業應每個月依法撥交按企業全部職工實際工資總額＿＿＿＿＿％作為工會經費。第十四章稅務、財務和審計第三十八條合資企業應按相關中國法律和法規要求支付各類稅款。第三十九條合資企業職員應按中國稅法支付個人所得稅。第四十條合資企業根據《中國合資經營企業法》要求提取貯備基金、企業發展基金和職員福利基金,每年提取百分比由董事會依據企業經營情況討論決定。第四十一條合資企業會計年度與公歷年相同,從每年１月１日起至１２月３１日止,一切記帳憑證、單據、報表、帳簿,用漢字或雙方同意一個外文書寫。第四十二條合資企業財務帳冊應每年一次由一個在中國注冊會計事務所進行審計,費用由合資企業負擔。協議各方有權各自負擔費用自行指定審計師審計合資企業帳目。第四十三條每一營業年度頭三個月,由總經理組織編制上一年度資產負債表,損益計算書和利潤分配方案,提交董事會會議審查。第十五章保險第四十四條合資企業在經營期內為保護企業不因各類災難而受損失,應向中國人民保險企業投保。保險險別,投保價值和期限等應由董事會作出決定。發生保險費由合資企業負擔。第十六章合資企業期限及正常終止第四十五條合資企業期限為＿＿＿＿＿年。合資企業成立日期為合資企業營業執照簽發之日。經一方提議,董事會會議一致經過,能夠在合資期滿６個月前向原審批機構申請延長合資期限。第四十六條合資期滿或提前終止合資,應按可適使用方法律和企業章程所要求相關條款進行清算。第十七章協議修改、變更和終止第四十七條對協議及其附件所作任何修改,須經協議雙方在書面協議上簽字并經原審批機構同意后方能生效。第四十八條因為不可抗力,致使協議無法推行,或是因為合資企業連年虧損,無力繼續經營,經董事會一致經過,并報原審批機構同意,能夠提前終止協議。第四十九條因為一方不推行協議、章程要求義務,或嚴重違反協議、章程要求,造成合資企業無法經營或無法達成協議要求經營目,視作違約方片面終止協議,對方除有權向違約方索賠外,并有權按協議要求報原審批機構同意終止協議。第十八章違約責任第五十條假如任何一方未立刻繳納第十二條要求注冊資本金額,則每拖欠一個月該方即應支付相當于出資額＿＿＿＿＿％違約賠償金。如逾期３個月仍未提交,除累計支付出資額＿＿＿＿＿％作為違約金外,守約一方有權按本協議第四十九條要求終止協議,并要求違約方賠償損失。第五十一條因為一方違約,造成本協議及其附件不能推行或不能完全推行時,由違約方負擔違約責任;如屬雙方違約,依據實際情況,由雙方分別負擔各自應負違約責任。第十九章不可抗力第五十二條因為地震、臺風、水災、火災、戰爭以及其它不能預見且對其發生和后果不能預防或避免不可抗力,致使直接影響協議推行或者不能按約定條件推行時,遇有上述不可抗力一方,應立刻電報通知對方,并應在１５天內,提供不可抗力詳情及協議不能推行,或者部分不能推行,或者需要延期推行理由有效證實文件,此項證實文件應由不可抗力發生地域公證機構出具。按其對推行協議影響程度,由雙方協商決定是否解除協議,或者部分免去推行協議責任,或者延期推行協議。第二十章適使用方法律第五十三條本協議簽訂、效力、解釋、推行受中國法律管轄。在某一具體問題上假如沒有業已頒布中國法律可適用,則可參考國際通例辦理。第二十一章爭議處理第五十四條凡因實施本協議所發生或與本協議相關一切爭議,雙方應經過友好協商處理,假如協商不能處理,應提交北京中國國際貿易促進委員會對外經濟貿易仲裁委員會依據該會仲裁程序暫行規則進行仲裁。或,應提交＿＿國＿＿地＿＿仲裁機構依據該仲裁機構仲裁程序進行仲裁。或,仲裁在被訴人所在國進行。仲裁裁決是終局,對雙方都有約束力。第五十五條在仲裁過程中,除雙方有爭議正在進行仲裁部分外,本協議應繼續推行。第二十二章協議文字第五十六條本協議用漢字和＿＿＿＿＿文寫成,兩種文字含有相同效力。上述兩種文本如有不符,以漢字本為準。第二十三章協議生效及其它第五十七條根據本協議要求各項標準簽訂以下隸屬協議文件,包含:技術轉讓協議、銷售協議……,均為本協議組成部分。第五十八條本協議及其附件,自中國審批機構同意之日起生效。第五十九條雙方發送通知,如用電報、電傳時、凡包含各方權利、義務,應隨之以書面信件通知。協議中所列雙方法定地址為收件地址。第六十條本協議于＿＿＿＿＿年＿＿＿＿＿月＿＿＿＿＿日由雙方指定授權代表在中國＿＿＿＿＿簽署。中國＿＿企業代表＿＿國＿＿企業代表THECONTRACTFORSINO-FOREIGNEQUITYJOINTVENTURE

Article12

Theregisteredcapitalofthejointventurecompanyshallbepaidin___________installmentsbyPartyAandPartyBaccordingtotheirrespectiveproportionoftheirinvestment.Eachinstallmentshallbeasfollows:

Article13

Incaseanypartytothejointventureintendstoassignallorpartofhisinvestmentsubscribedtoathirdparty,consentshallbeobtainedfromtheotherpartytothejointventure,andapprovalfromtheexaminationandapprovalauthorityisrequired.Whenonepartytothejointventureassignsallorpartofhisinvestment,theotherpartyhaspreemptiveright.Chapter6ResponsibilitiesofEachPartytotheJointVenture

Article14

PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:

ResponsibilitiesofPartyA:Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthejointventurecompanyfromrelevantdepartmentsinchargeofChina;Processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthejointventurecompany;Providingcash,machineryandequipmentandpremises...inaccordancewiththeprovisionsofArticle11;AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;Assistingthejointventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;Assistingthejointventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;AssistingthejointventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;Responsibleforhandlingothermattersentrustedbythejointventurecompany.

ResponsibilitiesofPartyB:Providingcash,machineryandequipment,industrialproperty...inaccordancewiththeprovisionsofArticle11,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythejointventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc.;Providingnecessarytechnicalpersonnelforinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;Trainingthetechnicalpersonnelandworkersofthejointventurecompany;IncasePartyBisthelicensor,itshallberesponsibleforthestableproductionofqualifiedproductsofthejointventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;Responsibleforothermattersentrustedbythejointventurecompany.

BothPartyAandPartyBagreethatatechnologytransferagreementshallbesignedbetweenthejointventurecompanyandPartyB(orathirdparty)soastoobtainadvancedproductiontechnologyneededforrealizingtheproductionandoperationpurposeandtheproductionscalespecifiedinChapter4ofthecontract,includingproductdesign,manufacturingtechnology,meansoftesting,materialsprescription,standardofqualityandthetrainingofpersonneletc.

Article16

PartyBoffersthefollowingguaranteesonthetransferoftechnology:

1.PartyBguaranteesthattheoveralltechnologysuchasthedesigning,manufacturingtechnology,technologicalprocess,testsandinspectionofproducts(Note:Thenameoftheproductsshallbewritten)providedtothejointventurecompanymustbeintegrated,preciseandreliable.Itistomeettherequirementofthejointventuresoperationpurpose,andbeabletoobtainthestandardofproductionqualityandproductioncapacityspecifiedinthecontract;

2.PartyBguaranteesthatthetechnologyspecifiedinthiscontractandthetechnologytransferagreementshallbefullytransferredtothejointventurecompany,andpledgesthattheprovidedtechnologyshouldbetrulyadvancedamongthesametypeoftechnologyproducedbyPartyB,themodel,specificationandqualityoftheequipmentareexcellentanditistomeettherequirementoftechnologicaloperationandpracticalusage;

3.PartyBshallworkoutadetailedlistoftheprovidedtechnologyandtechnologicalserviceatvariousstagesasspecifiedinthetechnologytransferagreementtobeanappendixtothecontract,andguaranteeitsperformance;

4.Thedrawings,technologicalconditionsandotherdetailedinformationarepartofthetransferredtechnologyandshallbeprovidedontime;

5.Duringthetermofthetechnologytransferagreement,PartyBshallprovidethejointventurecompanywithanyimprovementsinthetechnologyandtheimprovedinformationandtechnologicalmaterialsintime,andshallnotchargeseparatefees;

6.PartyBshallguaranteethatthetechnicalpersonnelandtheworkersinthejointventurecompanycanmasterallthetechnologytransferredwithintheperiodspecifiedinthetechnologytransferagreement.

Article17

IncasePartyBfailstoprovideequipmentandtechnologyinaccordancewiththeprovisionsofthiscontractandthetechnologytransferagreementorincaseanydeceivingorconcealingactionsarefound,PartyBshallberesponsibleforcompensatingthedirectlossestothejointventurecompany.

Article18

Thedateofregistrationofthejointventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthejointventurecompany.

Theboardofdirectorsiscomposedof__________directors,ofwhich___________shallbeappointedbyPartyA,_________byPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmanisfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.

Thehighestauthorityofthejointventurecompanyshallbeitsboardofdirectors.Itshalldecideallmajorissues(Note:ThemaincontentsshallbelistedinthelightofArticle36oftheImplementingRegulationsfortheJointVentureLaw)concerningthejointventurecompany.Unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.Asforothermatters,approvalbymajorityorasimplemajorityshallberequired.

Thechairmanoftheboardisthelegalrepresentativeofthejointventurecompany.Shouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarily.

Article29

Theboardofdirectorsshallconveneatleastonemeetingeveryyear.Themeetingshallbecalledandpresidedoverbythechairmanoftheboard.Thechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectors.Minutesofthemeetingsshallbeplacedonfile.Chapter10BusinessManagementOffice

Theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementofthejointventurecompany.Thedeputygeneralmanagersshallassistthegeneralmanagerinhiswork.Severaldepartmentmanagersmaybeappointedbythemanagementoffice,theyshallberesponsiblefortheworkinvariousdepartmentsrespectively,handlethemattershandedoverbythegeneralmanageranddeputygeneralmanagersandshallberesponsibletothem.

Initspurchaseofrequiredrawmaterials,fuel,parts,meansoftransportationandarticlesforofficeuse,etc.,thejointventurecompanyshallgivefirstprioritytopurchaseinChinawhereconditionsarethesame.

IncasethejointventurecompanyentrustsPartyBtopurchaseequipmentontheoverseasmarket,personsappointedbythePartyAshallbeinvitedtotakepartinthepurchasing.Chapter12PreparationandConstruction

Article35

Duringtheperiodofpreparationandconstruction,apreparationandconstructionofficeshallbesetupundertheboardofdirectors.Thepreparationandconstructionofficeshallconsistof_________persons,amongwhich________personswillbefromPartyA,_______personsfromPartyB.ThepreparationandconstructionofficeshallhaveonemanagerrecommendedbyParty_________,andonedeputymanagerbyParty________.Themanageranddeputymanagershallbeappointedbytheboardofdirectors.

Thepreparationandconstructionofficeisresponsibleforthefollowingconcreteworks:examiningthedesignsoftheproject,signingtheprojectconstructioncontract,organizingthepurchaseandinspectionofrelatedequipment,materials,etc.,workingoutthegeneralscheduleofprojectconstruction,compilingtheexpenditureplans,controllingprojectfinancialpaymentsandfinalaccountsoftheproject,drawingupmanagerialmethodsandkeepingandfilingdocuments,drawings,filesandmaterials,etc.,duringtheconstructionperiodoftheproject.

Article37

AtechnicalgroupwithseveraltechnicalpersonnelappointedbyPartyAandPartyBshallbeorganized.Thegroup,undertheleadershipofthepreparationandconstructionoffice,isinchargeoftheexamination,supervision,inspection,testing,checkingandaccepting,andperformancecheckingoftheprojectdesign,thequalityoftheproject,theequipmentandmaterialsandtheimportedtechnology.Article38

Afterapprovalbybothparties,theestablishment,remunerationandtheexpensesofthestaffofthepreparationandconstructionofficeshallbecoveredintheprojectbudget.Article39Afterhavingcompletedtheprojectandfinishedtheturningoverprocedures,thepreparationandconstructionofficeshallbedissolvedupontheapprovaloftheboardofdirectors.Chapter13LaborManagementArticle40

Laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthejointventurecompanyshallbedrawnupbetweenthejointventurecompanyandthetradeunionofthejointventurecompanyasawhole,ortheindividualemployeesinthejointventurecompanyasawholeorindividualemployeesinaccordancewiththeRegulationsofthePeoplesRepublicofChinaonLaborManagementinJointVenturesUsingChineseandForeignInvestmentanditsImplementingRules.Thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.

Article41

Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdirectors.Chapter14Taxes,FinanceandAuditArticle42

ThejointventurecompanyshallpaytaxesinaccordancewiththeprovisionsofChineselawsandotherrelativeregulations.

Article43

StaffmembersandworkersofthejointventurecompanyshallpayindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeoplesRepublicofChina.

Article44

Allocationsforreservefunds,expansionfundsofthejointventurecompanyandwelfarefundsandbonusesforstaffandworkersshallbesetasideinaccordancewiththeprovisionsoftheJointVentureLaw.Theannualproportionofallocationsshallbedecidedbytheboardofdirectorsaccordingtothebusinesssituationofthejointventurecompany.

Article45

ThefiscalyearofthejointventurecompanyshallbefromJanuary1toDecember31.Allvouchers,receipts,statisticstatementsandreportsshallbewritteninChinese.

(Note:Aforeignlanguagecanbeusedconcurrentlywithmutualconsent).

Article46

FinancialcheckingandexaminationofthejointventurecompanyshallbeconductedbyanauditorregisteredinChinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanager.IncasePartyBconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinancialcheckingandexamination,PartyAshallgiveitsconsent.AlltheexpensesthereofshallbebornebyPartyB.

Article47

Inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethepreviousyearsbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtotheboardofdirectorsforexaminationandapproval.Chapter15DurationoftheJointVentureArticle48
