3.2TheEmployeeshallusereasonablecareandskillintheperformanceofthedutiesandresponsibilitiesassociatedwiththePosition.

4.CompensationandBenefits

6.1TheEmployeeagreestomaintaintheconfidentialityofallproprietaryinformation,tradesecrets,andotherconfidentialinformationoftheEmployer,bothduringandaftertheTermofthisAgreement.

7.GoverningLawandJurisdiction

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof[ArbitrationInstitution].

8.EntireAgreement
