ContractAgreementforConsultingServices

ThisContractAgreement("Agreement")ismadeandenteredintoasof[Date],byandbetween[Consultant'sName],hereinafterreferredtoas"Consultant,"and[Client'sName],hereinafterreferredtoas"Client."

1.Services

1.1ConsultantagreestoprovideconsultingservicestoClientinaccordancewiththetermsandconditionssetforthinthisAgreement.Thespecificscopeofservicesshallbeasfollows:

1.2Consultantshallprovidetheserviceswithreasonableskill,care,anddiligenceinaccordancewiththestandardsgenerallyacceptedintheconsultingindustry.

2.Term

3.FeesandPaymentTerms

4.Confidentiality

4.2ConsultantshallnotuseClient'sconfidentialinformationforanypurposeotherthantheperformanceofservicesunderthisAgreement.

5.Indemnification

5.1ConsultantagreestoindemnifyandholdClientharmlessfromanyclaims,damages,losses,orexpensesincurredbyClientarisingoutoforinconnectionwiththeperformanceofservicesunderthisAgreement,exceptforclaimsarisingoutofClient'sownnegligenceorwillfulmisconduct.

6.Termination

6.1eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennoticethereof.

6.2uponterminationofthisAgreement,ConsultantshalldelivertoClientallworkproduct,documents,andothermaterialsinConsultant'spossessionorcontrolthatarerelatedtotheservicesprovidedunderthisAgreement.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[jurisdiction].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
