塑料制品四人股份合作協(xié)議書合同編號：__________PlasticProductsQuadrantEquityCooperationAgreementThisPlasticProductsQuadrantEquityCooperationAgreement(hereinafterreferredtoasthis"Agreement")isenteredintoasof__________(the"EffectiveDate"),andamongthefollowingparties(eacha"Party"andcollectivelythe"Parties"):PartyA:____________________________Address:____________________________ContactPerson:_____________________PhoneNumber:______________________PartyB:____________________________Address:____________________________ContactPerson:_____________________PhoneNumber:______________________PartyC:____________________________Address:____________________________ContactPerson:_____________________PhoneNumber:______________________PartyD:____________________________Address:____________________________ContactPerson:_____________________PhoneNumber:______________________(Hereinafterreferredtoindividuallyasa"Party"andcollectivelyasthe"Parties")WHEREAS,thePartiesareinterestedinestablishingapartnership(the"Partnership")toengageinthebusinessofmanufacturingandsellingplasticproducts(the"Business");WHEREAS,thePartiesdesiretosetforththetermsandconditionsoftheirpartnershipandtheallocationofequityinterestsandprofitandlossdistributioninthePartnership;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:Article1:BusinessObjectivesandScope1.1ThebusinessobjectivesofthePartnershipshallbetomanufacture,produce,import,export,sell,anddistributeplasticproducts,includingbutnotlimitedtoplasticcontainers,packagingmaterials,andotherrelatedproducts.1.2ThePartnershipshallconductitsbusinessinaccordancewithallapplicablelaws,regulations,andindustrystandards.Article2:EquityInterestsandCapitalContribution2.1ThetotalequityinterestsofthePartnershipshallbedividedintofourequalparts,witheachPartyholdingatwentyfivepercent(25%)equityinterestinthePartnership.2.2EachPartyshallcontributeaninitialcapitalof__________(__________________)tothePartnership,tobeusedfortheestablishmentandoperationoftheBusiness.2.3ThePartiesagreethatthecapitalcontributionsmadeeachPartyshallbenonrefundableandshallbeconsideredaspartoftheirrespectiveequityinterestsinthePartnership.Article3:ProfitandLossDistribution3.1ThenetprofitsandlossesofthePartnershipshallbeallocatedamongthePartiesinproportiontotheirrespectiveequityinterests.3.2ThePartiesagreethattheyshallnotwithdrawordistributeanyprofitsorlossesfromthePartnershipuntilthePartnershiphasachievedacumulativenetprofitofatleast__________(__________________).Article4:ManagementandDecisionMaking4.1ThePartnershipshallbemanagedaBoardofDirectors,whichshallconsistoffourmembers,onefromeachParty.4.2TheBoardofDirectorsshallberesponsibleformakingstrategicdecisionsandoverseeingtheoperationsofthePartnership.4.3DecisionsshallbemadeamajorityvoteoftheBoardofDirectors,andeachPartyshallhaveonevote.Article5:DurationandTermination5.2ThisAgreementmaybeterminatedanyPartyuponwrittennoticetotheotherPartiesifanyofthefollowingeventsoccur:(a)ThePartiesagreetoterminatethisAgreementinwriting;(c)AnyPartyfailstoperformitsobligationsunderthisAgreementandfailstocuresuchdefaultwithin__________(__________________)daysafterreceiptofwrittennoticefromtheotherParties;or(d)AnyeventofforcemajeureoccursthatmakesitimpracticableorimpossibletoperformthisAgreement.Article6:Confidentiality6.1EachPartyshallmaintaintheconfidentialityofallconfidentialinformationdisclosedtoittheotherPartiesorthePartnership,excepttotheextentthatsuchinformationispubliclyavailableorrequiredtobedisclosedlaworregulation.6.2ThePartiesagreethatanyintellectualpropertyrightscreatedorarisingfromtheperformanceofthisAgreementshallbeownedthePartnership.Article7:GoverningLawandDisputeResolution7.1ThisAgreement一、附件列表：1.股東名冊2.資本出資證明3.業(yè)務(wù)許可證明4.商標注冊證明5.技術(shù)專利證明6.公司章程7.財務(wù)報表8.股東會決議9.董事會決議10.經(jīng)營計劃二、違約行為及認定：1.未按照約定時間出資2.未按照約定開展業(yè)務(wù)3.未保守商業(yè)秘密4.未履行管理職責5.未按照約定分配利潤6.提前終止合同7.違反法律法規(guī)三、法律名詞及解釋：1.股東：指合同中約定的各方，共同持有公司股權(quán)的當事人。2.股權(quán)：指股東對公司擁有的所有權(quán)份額。3.資本出資：指股東按照約定向公司投資的資金。4.業(yè)務(wù)許可：指公司開展業(yè)務(wù)所需的各類許可證。5.違約：指當事人未能履行合同約定的義務(wù)。四、執(zhí)行中遇到的問題及解決辦法：1.出資問題：若發(fā)現(xiàn)某股東未按約定時間出資，可先協(xié)商解決，若協(xié)商不成，可依法要求股東承擔違約責任。2.業(yè)務(wù)開展問題：若發(fā)現(xiàn)某股東未按約定開展業(yè)務(wù)，可先協(xié)商解決，若協(xié)商不成，可
