ement.TheteamshallbecomposedofrepresentativesfromPartyA,PartyB,andThirdParty,andshallmeetregularlytodiscussandcoordinatethecooperationmatters.3.2ThePartiesshallestablishaschedulefortheimplementationofthetrainingandeducationalprograms,whichshallbesubjecttothemutualagreementoftheParties.3.3ThePartiesshallberesponsiblefortheirownexpensesincurredinconnectionwiththecooperationunderthisAgreement,unlessotherwiseagreedbythePartiesinwriting.PrioritizationofPartyA’sInterests4.1PartyA’sinterestsshallbegivenpriorityinallaspectsofthecooperationunderthisAgreement.4.2PartyAshallhavetherighttoapproveanysignificantmattersrelatedtothecooperation,includingbutnotlimitedtotheappointmentofmembersofthejointcooperationteam,thedeterminationoftrainingandeducationalprograms,andtheallocationofresources.RightsandBenefitsofPartyA5.1PartyAshallhavetherighttoreceivecomprehensivereportsonthetrainingandeducationalprogramsprovidedbyPartyBandThirdParty,includingbutnotlimitedtoattendancerecords,performanceevaluations,andfeedbackfromparticipants.5.2PartyAshallhavetherighttorequestPartyBandThirdPartytoprovideadditionaltrainingandeducationalservices,ortomakemodificationstotheexistingprograms,inordertobettermeetPartyA’sneeds.5.3PartyAshallbeentitledtoreceiveadiscountonthefeeschargedforthetrainingandeducationalservicesprovidedbyPartyBandThirdParty,asagestureofprioritization.DefaultandRestrictionsonPartyBandThirdParty6.1PartyBandThirdPartyshallcomplywithallofPartyA’sreasonablerequestsandinstructionsinconnectionwiththecooperationunderthisAgreement.6.2PartyBandThirdPartyshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutPartyA’spriorwrittenconsent.6.3PartyBandThirdPartyshallbeliableforanybreachofthisAgreement,andshallindemnifyandholdharmlessPartyAagainstanyandalllosses,damages,liabilities,claims,andexpenses(includingreasonableattorney’sfees)arisingoutoforinconnectionwithsuchbreach.GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbynegotiationbetweentheParties.Ifthenegotiationfailstoresolvethedisputes,eitherPartymaysubmitthedisputestothe[insertnameofarbitrationinstitution]forarbitrationinaccordancewiththerulesofsuchinstitution.Miscellaneous8.1ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbyallParties.8.2ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.8.3ThisAgreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbeanoriginalandallofwhichtogethershallconstituteoneandthesameinstrument.ThirdParty’sRoleandSignificanceTheinclusionofThirdPartyinthisAgreementissignificantasitbringsadditionalexpertiseandresourcestothetable,enhancingthequalityanddiversityofthetrainingandeducationalservicesprovidedtoPartyA.ThirdParty’sroleistocomplementandsupportPartyA’sandPartyB’sobjectives,fosteringacollaborativeenvironmentthatpromotesmutualgrowthanddevelopment.PartyA’sDominantPositionandPurposePartyA’sdominantpositioninthisAgreementisreflectedintheprioritizationofitsinterestsandtheextensiverightsandbenefitsitenjoys.ThepurposeofPartyA’sdominanceistoensurethatitsspecifictrainingandeducationalneedsaremeteffectivelyandefficiently,whilealsopromotingtheoverallsuccessofthecooperation.ByfocusingonPartyA’spriorities,theAgreementaimstocreateawin-winsituationforallPart
