3.3otherRelatedFee

1)PartyBshallconstructtheHouseofExcellenceuniformly,whilePartyashall

burdenthefeeforthedesign,decorationandconstructionoftheirexhibitionarea(thevisualdisplaywall);

2)Thebasicadministrationfee(includingbutnotlimitedtothefeeforinternet,

electricity,waterandheatingsystemetc.)shallbeburdenbyPartya,theactualpaymentamountwouldcalculatedasthebillfromrelatedprovider

4.Taxes/Bankfees/currencies

Taxesarenotincludedintheservicefeesandcostsagreedinthisagreement.anybankfeesandtaxesoccurredwhenperformingthisagreementshallbepaidbythepayer.whenforeignexchangecontrolisconcerned,thepayerisresponsibleforsubmittingapplicationtotheadministrativedepartmentinchargeandgettingpaymentapprovalthereof.

5.Rightsandobligationsofbothparties

5.1Partya’sRightsandobligations

1)PartyashallwellpreparefortheExhibitionandwillinglycomplywithandcarry

outalltherequirementsinthedetailedRulesfortheExhibitionprovidedbyPartyB；

2)Partyashalltakemeasurestoavoidallthepropertieswhichwillbeusedforthe

Exhibition(includinganycommodities,equipmentandfittings,etc),spontaneouslycombustionandexplosionoranydestructionthatmayaffectthesafetyofthepropertiesnearbyafterdeliveredintothehall;

3)Partyashallcomplywithanywrittenrulesexpresslyspecifiedfortheexhibition

hall;otherwise,anylossarisingfromanybreachofsuchrulesshallbeassumedbyPartyaandhasnoconnectionwithPartyB.Partyashallnottakeanyflammable,explosiveortoxicarticlesoranyproductthatdoesnotcomplywiththosedeclaredfortheexhibitionintheexhibitionhall;otherwise,PartyBhastherighttoremovesucharticlesorproductoutoftheexhibitionhallwithoutrefundingthesecuritydeposit.

4)Partyashallsubmittedtheeffectdrawingforthearrangementofitsexhibition

areatoPartyB【45】daysbeforethearrangementoftheExhibitionforpreliminaryreview.otherwise,theorganizingcommitteehastherighttocancelsucharrangementandPartya’squalificationtoparticipateintheExhibition.

5)duringtheExhibition,whenPartyacarriesoutanyactivitiesintherangeofits

exhibition(includingbutnotlimitedtoexhibition,presentationandlottery),Party

ashallmaintaintheorderandsafetyonsite.otherwise,PartyashallassumefullliabilitiesforcompensatingforanylossestoPartyaitself,PartyBoranythirdpartyarisingtherefrom.

6)Partyashallnottransferitsexhibitionareaatitsowndiscretion.oncetookplace,

PartyBhastherightstoremovethetransfereeoutoftheexhibitionhallwithoutrefundingthesecuritydeposit.

5.2PartyB’sRightsandobligations

1)PartyBwarrantsthatitisthelawfulorganizeroftheExhibition.

2)PartyBshallbeliablefortheorganization,propaganda,invitationandexhibition

affairsduringtheExhibition,andmakingeffortstoguaranteethepropagandaeffectsoftheExhibition;

3)PartyBwarrantsthat,unlessagreedhereinorincertainstatutorycircumstances

(suchastheforcemajeure),theplaceortimeoftheExhibitionshallnotbealteredarbitrarilywithoutparticularreasons.wherethepositionandareaoftheexhibitionareaorderedbyPartyaisrequiredtobechangedduetoparticularreasons,PartyBshallnotifyPartyainwritinginadvance.ifPartyadoesnotraiseanywrittenobjectionwithin3daysuponthereceiptofthewrittennoticefromPartyB,itshallbedeemedthatPartyahasacceptedsuchchange.

4)ifPartyaproposestocancelitsparticipationintheExhibitionwithin30days

beforetheExhibitionstarts,PartyBhastherightstotransfertheexhibitionareatoanythirdparty,andtheparticipationfeeandsecuritydepositthatPartyapaidwillnotberefunded;anyallthelossestoPartyBanditsorganizingcommitteefromsuchcancellationshallbeassumedbyPartya.

5)wherePartyafailstopayrelevantcostsasagreedherein,PartyBhastherights

toexercisetherightoflienoveranyarticlesofPartyaintheexhibitionhall(includingbutnotlimitedtotheitemsondisplay,facilitiesandarticlesforarrangementoftheexhibition)aftertheExhibitionendsuntilPartyapaysrelevantcosts.meanwhile,theliabilitiesforanycostarisingfromPartyB’sexerciseoftherightoflienandpossibledisputes(includingbutnotlimitedtotheclaimofrightsoverthearticlesintherightoflienbyanythirdpersonoftheagreement)shallbefullyassumedbyPartya.

3.Rightsandobligationsofbothparties

3.1Partyashallbeliablefortheorganization,invitation,exhibitionaffairsduringtheExhibition;PartyBparticipatesintheExhibitionoutofitsfreewillandshallwellpreparefortheExhibitionandwillinglycomplywithandcarryoutalltherequirementsinthedetailedRulesfortheExhibitionprovidedbyPartya(later).

3.2Partyawarrantsthat,unlessagreedhereinorincertainstatutorycircumstances(suchastheforcemajeure),theplaceortimeoftheExhibitionshallnotbealteredarbitrarilywithoutparticularreasons.wherethepositionandareaoftheboothorderedbyPartyBisrequiredtobechangedduetoparticularreasons,PartyashallnotifyPartyBinwritinginadvance.ifPartyBdoesnotraiseanywrittenobjectionwithin3daysuponthereceiptofthewrittennoticefromPartya,itshallbedeemedthatPartyBhasacceptedsuchchange.

3.3PartyawarrantsthatitisthelawfulorganizeroftheExhibition.

3.4TheeffectdrawingforthearrangementofPartyB’sboothshallbesubmittedtoPartya15daysbeforethearrangementoftheExhibitionforpreliminaryreview.otherwise,theorganizingcommitteehastherighttocancelsuc(:英文展會合同范本)harrangementandPartyB’squalificationtoparticipateintheExhibition.

3.5Specialboothsshallbeconstructedincompliancewiththerulesconcerningfireprotectionandsafety(relevantprovisionsoftheExhibitionHallaswellaspublicsecurityandfire-fightingauthorities).wheretheboothisconstructedbyPartyB,suchboothshallbeconstructedtotheextentofspecifiedrangeandheight,andPartyBshallassumefullliabilitiesforthesafetyandqualityoftheconstruction.duringtheExhibition,Partyashallfulfillnecessaryobligationsinconnectionwithfireprotectionandsafety.inordertoguaranteethesmoothcooperationbetweenbothpartiesduringtheExhibition,avoidanycasualtiesorboothcollapseduetosafetyconcernsduringtheconstructionandtheExhibition,andreduceeconomiclosses,theconstructionunitsofPartyB’sspecialboothshallpurchaseinsurancefortheirworkingpersonnel,constructionpersonnel,articlesoftheboothoranyothervaluablesagainstanysecurity,theft,loss,destructionandfirerisk.

3.6duringthearrangementsandtheExhibition,PartyBshallcomplywithanywrittenrulesexpresslyspecifiedintheexhibitionhall;otherwise,anylossarisingfromanybreachofsuchrulesshallbeassumedbyPartyBandhasnoconnectionwithPartya.

3.7PartyBshalltakemeasurestoavoidallthepropertieswhichwillbeusedfortheExhibition(includinganycommodities,equipmentandfittings,etc),spontaneouslycombustionandexplosionoranydestructionthatmayaffectthesafetyofthepropertiesnearbyafterdeliveredintothehall.

3.8ifPartyBproposestocancelitsparticipationintheExhibitionwithin15daysbefore

theExhibitionstarts,Partyahastherightstotransfertheboothtoanythirdparty,.

4.Termsofpayment

4.2detailsoftheaccountdesignatedbyPartyaforcollectionofpayment:

Bothpartiesshallbeobligatedtokeeptheconfidentialityofthedetailsoftheagreementandanyandallthecommercialinformationoftheotherpartyknownorobtainedinthecourseoftheperformancehereof,unlessobviousevidenceshowsthatsuchinformationispubliclyknowninformationorwiththepriorwrittenauthorizationoftheotherparty.Suchconfidentialityobligationshallremaineffectiveaftertheagreementterminates.Eitherparty

thatcausesanylosstotheotherpartyduetobreachofsuchobligationshallcompensateforcorrespondinglossesoftheotherparty.

6.Liabilitiesforbreachoftheagreement

whereeitherpartythatbreachestheagreementfailstoorisunabletotakeanycorrectivemeasureswithin3daysaftertheobservantpartypointsoutsuchbreach,theobservantpartyhastherightstoterminatetheagreementatanytimeandclaimforanylossfromthebreachingparty;unlesstheunderstandingoftheotherpartyisobtainedandaunanimousopinioninwritingisreacheduponre-negotiation,theagreementshallbeterminateduponthedeliveryofthenoticeoftermination.

7.Forcemajeure

7.1“Forcemajeure”referredtohereinmeansanyunforeseeable,unavoidable,emergentandobjectiveeventssuchasnaturaldisastersincludingfire,floods,earthquakesandatrociousweather,majorepidemicsituations,politicalincidents,wars,anyact(effectiveorineffective)fromgovernmentsandtheirfunctionaldepartmentsincludingbans,measures,administrativecompulsoryexecution,etc.

7.2ForanypostponementorcancellationoranyotheralterationmadetotheExhibitionduetoforcemajeure,Partyashallnotassumeanyliabilitiesforbreachoftheagreementaftertheevidenceordocumentoftheoccurrenceofsuchforcemajeureissuedbyanyauthorityorauthoritativeinstitutionisobtained.However,PartyashallnotifyPartyBtimelyinwritingtoreducethelossthatmaybesufferedbyb
