8.1.SellerrepresentsandwarrantsthattheyhavefullpowerandauthoritytoenterintothisAgreementandselltheGoods.

8.2.BuyerrepresentsandwarrantsthattheyhavefullpowerandauthoritytoenterintothisAgreementandpurchasetheGoods.

9.Indemnification

9.1.SelleragreestoindemnifyandholdBuyerharmlessfromanyclaims,damages,losses,andexpensesarisingoutoforrelatedtotheGoods,includingbutnotlimitedtoproductliabilityclaims.

9.2.BuyeragreestoindemnifyandholdSellerharmlessfromanyclaims,damages,losses,andexpensesarisingoutoforrelatedtotheuseorresaleoftheGoods.

10.Confidentiality

10.1.BothPartiesagreetokeepallnon-publicinformationreceivedfromtheotherPartyconfidential,andnottodiscloseittoanythirdparty,exceptasrequiredbylaworwiththewrittenconsentoftheotherParty.

11.ForceMajeure

11.1.NeitherPartyshallbeliableforanyfailureordelayintheperformanceoftheirobligationsunderthisAgreementduetocircumstancesbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,fire,flood,naturaldisasters,orgovernmentalactions.

12.Termination

12.1.EitherPartymayterminatethisAgreementintheeventofamaterialbreachbytheotherParty.Noticeofthebreachmustbegiveninwriting,andthebreachingPartyshallhaveareasonableperiodoftimetocurethebreach.

12.2.Upontermination,theSellershallpromptlyrefundanydepositreceived,andanyfurtherobligationsunderthisAgreementshallcease.

13.AmendmentandWaiver

13.1.AnyamendmentormodificationofthisAgreementmustbeinwritingandsignedbybothParties.

13.2.AwaiverofanyprovisionofthisAgreementshallnotbevalidunlessinwriting,andthefailureofeitherPartytoenforceanyrightorprovisionofthisAgreementshallnotconstituteawaiverofsuchrightorprovision.

14.Severability

14.1.IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

15.Notices

15.1.AnynoticesorcommunicationsrequiredorpermittedunderthisAgreementshallbeinwritinganddeliveredeitherinpersonorbyregisteredmailtotheaddressesspecifiedabove.

16.Counterparts

16.1.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginalbutallofwhichtogethershallconstituteoneandthesameinstrument.
