標段劃分的原則——兼論菲迪克“CONS”“P&PB”和“EPCT”合同條件的適用范圍沈顯之項建設工程一旦進入實施階一段，建沒方首先面臨的三個重大決策就是劃分工程標段和選擇工程的管理模式并且相應決定采用何種建沒工程合同版本作為合同條件的基礎，這三項決策都對于工程建設效率乃至成敗有重大影響。本文分以下專題闡述影響上述決策的基本要素和決策過程中應遵循的基本原則，并在假定選用菲迪克合同條件的前提下分析菲迪克合同條件具體版本的適用范圍。一、工程標段和工程管理模式的概念（一）工程標段的概念建設工程標段指的是對一個整體工程按實施階段（勘察、設計、施工等）和工程范圍切割成工程段落并把上述段落或單個或組合起來進行招標的招標客體。廣義的工程標段可以分為三種。1（分期標段。有的大型、特大型建設工程由于資金供應、市場需求等方面的原因需要分期實施，并分期進行招標，這類按期進行招標的招標客體即“期”稱為分期標段。由于對大型、特大型工程分期實施的方案研究屬于項目立項可行性分析的范疇，因此不在本文闡述的范圍。2（工程標段。指的是把準備投入建設的某一整體工程或某一整體工程的某一期工程劃分為若干工程段落并或單個或組和起來進行招標的招標客體，是本文予以闡述的對象。3（分部分項標段。某一工程標段的總承包商在中標以后，根據總承包合同條件，可以把總包項下的工程分為若干工程部分，甚至在分部以后還劃分若干子項工程，然后把部分分部工程，子項工程通過招標的方式分包給相應的分包商，這類成為分包合同招標客體的分部工程、子項工程就稱為分部、分項標段。由于本文闡述的是建設方劃分工程標段的課題，而分部、分項標段涉及的是總承包方對標段的劃分，因此不在本文闡述的范圍。（二）管理模式的概念建設方對工程的管理模式指的是建設方對工程的管理方式和管理手段以及二者的結合形式。所謂管理方式，指的是采用自行管理還是委托管理，其中委托管理又可分工程師、管理總承包、代建制等多種形式;所謂管理手段指的是采用過程管理和結果管理并重的全面管理，還是采用以結果管理為主的控制手段;所謂二者的結合形式，指的是管理方式和管理手段的內在關系和（具體的組合形式。二、從菲迪克條款文本的演變看菲迪克對標段和管理模式選擇的理念變化菲迪克最初是根據工程的性質編制建設合同的通用條款的，其中紅皮書適用于土木工程施工工程，黃皮書適用于電氣和機械工程，以后對黃皮書和紅皮書的多次修訂都沿用了上述分類標志。直至1995年，橙皮書（設計，建造與交鑰匙工程合同條件）的出現標志著菲迪克突破了以工程性質編制相應的合同條件的框框，第一次以工程標段的范圍大小作為編制相應的合同條件的基本依據，上述突破反映了菲迪克對標段劃分的以下理念變化。1（認同和在一定條件下鼓勵把勘察、設計、設備采購、施工乃至試運行合并為一個標段發包的標段劃分方式。2（認為承包方承包范圍的大小決定了其應負責任的大小，而承包方的責任范圍非但決定了其應盡義務的范圍，并且根據權利、義務相一致的原則也決定了其應有權利的范圍。3（應該根據承包方責任范圍規范雇主與承包方之間的權利義務關系，所以按標段劃分方式編制相應的合同條件是進一步修訂菲迪克條款的必由之路。菲迪克于1999年完成了對菲迪克條款的系統修改，徹底拋棄了按工程性質制訂合同條件的做法，代之以按標段劃分方式編制相應的合同條件的做法，經修訂后，凡承包方基本上是按圖施工的（不排斥承包商承擔工程的部分設計任務），無論是何種性質的工程均適用于《施工合同條件》，簡稱“CONS'',凡由承包商既負責設計又負責提供設備和施工的，區別情況，可適用于《生產設備和設計一施工合同條件》，簡稱“P&PB”，也可適用于《設計采購施工（EPC）,交鑰匙工程合同條件》，簡稱〃EPCT〃°“EPCT〃合同條件采用由雇主自行管理的方式，不設工程師條款，“P&PB”采用山雇主委托工程師管理的方式，設有工程師條款。上述區分反映了菲迪克對管理模式選擇的如下理念變化。1（認同由雇主直接管理的方式。2（提出了雇主對工程的管理模式與承包商的責任范圍相一致的理念。菲迪克認為承包商的承包范圍愈大，其責任愈柞易明確，雇主管理與協調的任務相應也愈輕，反之，則雇主方管理與協調的任務愈重，因此雇主對工程的管理模式必須與承包商的責任范舊相一致。菲迪克對標段劃分和管理模式選擇的上述理念變化順應了世界范圍內建設工程標段劃分的趨勢，也反映了建沒方管理模式不斷創新的要求。自1999年菲迪克對非迪克條款全面修訂以后，在實踐中證明1999年版的菲迪克條款在明晰雇主與承包商之間的權利義務關系，分配工程已知和潛在的建設風險等方面均比舊版更為客觀和嚴密，因此在新版和舊版的非迪克條款同時并存的情況下，越來越多的雇主選用99年版的菲迪丸條款作為構建與承包商的合同關系的基礎，至今，世界銀行等同際金融組織已經明確在由其提供貸款的建設工程應該選用99版的菲迪克條款作為合同依據，充分證明了菲迪丸對標段劃分和管理模式的理念變化的科學性和前瞻性。三、建設方劃分工程標段和選擇工程管理模式的原則（一）建設方劃分工程標段的原則1（責任叫確。簡言之，標段是作為招標客體的工程段落，構成建設合同的標的。如果承包商在履行合同中，其責任與雇主或其它承包商的責任犬牙交錯難分難離，是無以客觀確定承包商的應盡義務和應有權利的，因此，責任明確是劃分標段的首要原則，包括質量責任明確，成本責任明確，工期責任明確，環保責任明確，知識產權責任明確，安全責仟明確等，其中質量、成本、工期是承包商的基本責任，承包商的上述基本職責在一個標段中能夠被明確地認定，是劃分標段正確與否的基本判定依據。現就對承包商質量、成本、工期三大基本責任的明確（與標段劃分的關系闡述如下。1）質量責任明確。承包商對所承包工程的質量責任是承包商的基本技術責任。質量責任可以劃分為設計責任和施工責任，如果一個承包商既負責工程的設計又負責工程的施工，其對所承包工程應負的質量責任比較明確;如果一個承包商僅負責工程的施工，則顯然其對圖紙的錯誤只能負告知義務而不能負相應的質量責任，所以一旦工程出現質量問題，首先必須分清是設計問題還是施工問題，相對而言，明確僅負責施工的承包商的質量責任的難度會大一些;如果一個工程由幾個承包商施工，則承包商的工作界面、質量責任更容易混淆，所以在劃分標段時應該更重視承包商的質量責任是否可以明確和如何進行明確的問題。基于不同工程的性質不同，其質量責任能夠予以明確的范圍也是各不相同的，能夠客觀地劃分承包商的質量責任或通過相應的條款約定在—定的條件下明確承包商的質量責任是標段劃分的重要前置條件之一。2）成本責任明確。承包商對所承包工程的成本責任是承包商的基本經濟責任。所謂成本責任明確，指的是承包商成本和費用的支付范圍明確，與標段劃分也有內在聯系。標段劃分愈細，將會在承包商之間產生愈多的共同成本和共同費用，如建筑工程的大型臨時設施等，標段劃分不當導致承包商之間對成本利費用的支付責任互相推諉的例子時有發生，所以能夠明確承包商的成本責任也是標段劃分的重要前置條件之一。3）工期責任明確。承包商對所承包工程的工期責任是承包商應負的與質量、成本并舉的三大責任之—。所謂工期責任明確，指的是承包商在工期上盡可能地不受設計人或其它承包商完成工作進度的影響和制約，對于工期責任具有完全的控制力，標段劃分愈細承包商在工期上受其它承包商的制約愈大，其工程責任亦愈難以確定。能夠明確承包商的工期責任當為標段劃分的重要前置條件。FIDIC在1999年全面修訂FIDIC條款中充分考慮了承包商責仟的明確與標段劃分的內在聯系，具體反映如下。久倡導每—個工程都能確定一個總承包商（以明確總責任人），無淪是施工總承包還是設計、施工一并總承包，FIDIC條款都沒有獨立分包（即由雇主直接和分包商簽訂合同）的定義和條款，表明FIDIC認為應該賦子總承包商對于總包項下工程完全的處置權，對于由雇主供應材料（甲供料）和指定分包的做法應取慎重態度，因為上述做法容易與總承包商的應負責任相混淆，不利于明確總承包商的責仟。B（賦予總承包商對雇主指定分包的反對權。99版菲迪克條款都保留了指定分包，（詳見〃CONS〃第5條，“P&DB”“EPCT''第4條第5款）但都賦予總承包商對雇主指定的分包商的反對權，除非雇主愿意承擔指定分包商違約的一切責任，雇主在總承包商的反對合理和有事實依據的情況下應該接受總承包商的反對。FIDIC的上述意見對于我們合理地劃分工程標段無疑是有益的。2（經濟高效。標段劃分得愈細，雇主對工程的直接控制權愈大，并且在大多數的情況下，雇主可以通過對價格競爭最大化的手段更經濟地發包工程。然而各個標段工程間的協調也愈難，協調風險相應愈大。同時，承包商的責任相對愈難以確定，所以標段細分比較容易取得相對經濟的發包價格，然不易取得工程建沒的高效率;采用設計施一并總承包的標段劃分方法則較容易取得工程建沒的高效率，但價格較高。所謂標段劃分中的經濟高效原則，就是指的要根據工程特點的自身條件平衡經濟與高效的關系，找到—個最佳的標段劃分方案，以合理地實施建設下工程，實現效率與經濟的統—。3（客觀務實。客觀務實指的是—切從實際出發，標段的劃分要充分考慮到被劃分工程的特殊性，包括潛在的競標對象的具體情況，建沒方的財力和管理能力等一切客觀的相關因素，從中找出決定標段劃分方式的主要因素。只有努力盡可能地做到主觀設想符合客觀的實際情況。這種沒想才可能達到預期的目標，因此客觀務實是劃分工程標段的一項基本原則，應該貫穿于劃分工程標段的全過程。4（便于操作。標段劃分后的可操作性是劃分標段必須遵循的又—基本原則。包括招標的可操作性，即劃分后的標段在職市場上有一定的競標對象，可以形成合理的價格競爭;建設方管理的可操作性，即建設方有相應的竹理力量或能委托有資質的咨詢工程師協調好各個標段承包商之間在工程界面及質量、工期、成本、安全、環保等方面的搭接關系;建設方確定標底的可操作性，即在設計圖紙尚未具備的情況下，建設方有能力和有客觀條件確定合理的標底，以控制工程的造價;以及使用知識產權方面的可操作性，資金供應上的可操作性等。綜上所述，建設方劃分標段應遵循的原則為:責任明確、經濟高效、客觀務實、便于操作。（二）選擇工程模式的原則1（對標段劃分形式的從屬原則。標段劃分形式決定了承包商（包括設計人）的責任范圍，承包商的責任范圍決定了建設方對工程的管理協調責任和由此派生的工作量，建設方所負的對工程的管理責任和實際的工作量直接決定了建設方對工程的管理模式。由此可見，根據標段劃分形式選擇相應的建設方對工程的管理模式是選擇工程管理模式的基本原則。2（經濟有效原則。在保證有效地管理建設工程的前提下，建設方應采取相對管理費用最少的工程管理模式，充分地利用好自身的管理資源，在標段設置形式和自身管理能力上都有條件由建設方直接管理的，擬采用直接管理的模式。因人設事和因事設人歷來是爭淪的課題，作者主張先行確定標段劃分形式并相應決定工程管理模式，再配備建設方必要的工程管理班子，堅決走因事設人的道路。因此，標段劃分形式和經濟有效是建設方選擇丁程管理模式應遵循的原則。四、影響工程標段劃分的因素建設方可以把設計施工合并為一個標段;也可以把設計、施工劃分為二個標段;還可以把設計劃分為數個標段，如勘察、設計各為一個標落，把施工劃分為若干標段，如把主體工程劃為一個標段，配套工程按專業劃分為相應的標段;在一個標段內，建設方也可以通過指定分包的方式滿足建設方對某些特定的分部、分項工程或生產設備的特殊要求。影響上述工程標段劃分形式選定的主要因素為:（一）工程的資金來源。如果建設工程的資金通過向承包商融資的方式解決，例如BOT項目，由承包商提供賣方信貸的項目等。菲迪克以BOT項目為例，認為把設計、施工合并為一個標段并采用EPC合同條件是合適的（見菲迪克合同指南第25頁）。作者認為凡由承包商提供資金，而且承包商收回投資或直接（如BOT項目）或間接（如BT項目等）建立在建設工程的運營效率上的項目止承包商在建設工程的設計仍至功能設定上有相應的活語權是公正的，這類項日擬采取把設計施工合并為一個標段的標段劃分形式，并采用EPCT合同形式。（二）工程的性質。一般地說，道路等基礎設施工程，電力等通用能源工程或其它通用工業工程，建沒方能夠得到專業的技術服務，具備準確全面地提出雇主要求，以規范承包商設計的客觀可能性，而且能夠根據工程的功能和現場施工條件客觀地制作標底，對于這樣的工程，可以采用把設計施工合并為一個標段的標段劃分形式，不具備上述條件的，擬采用把設計、施工分別劃分為一個標段的標段劃分形式。（三）工程的技術要求。凡對工程的各個部份都沒有特殊的技術要求且不涉及專利等知識產權的項目，在施工發包給總承包商的過程中或在施工發包給總承包商以后，都不宜通過建設方直接發包或指定分包的形式，把施工劃分為多個標段或過多地干預總承包商的履約行為，從而造成總承包商的職責難以分明的局面。只有對工程的特定部份（包括生產設備、配套設施）有特別要求的項目或工程的特定部份涉及專利、技術決竅等知識產權的項目，雇主可以采用把這些部分單獨劃分為標段或通過指定分包的方式滿足對這部份工程的特殊要求，然而也要在合問條款中特別明確承包商之間的責任范同。（四）對工程造價的期望。如果建設方希望以固定總價的方式鎖定工程的造價風險，宜采用把設計和施工合并為一個標段的標段劃分方式，在承包商同時負責設計的情況下，設計變更并不能構成其增加工程價格的理由，只有由建設方提起的變更才可調整工程價格，這樣就具備了采用固定總價的基本條件。如果建設方希望按實際發生的工程量支付工程價格，宜采用把設計和施工劃分為二個標段的方法。任何設計的變更都構成調整工程施工價款的依據，菲迪克施工合同條件采用固定單價或成本加合理利潤的定價方式。在實際的工程量或實際成本的基礎上結算工程價款。（五）對工期的期望。如果建沒方希望鎖工期風險，宜采取把設計和施工并為一個標段的標段劃分形式。在承包商同時負責設計的情況下，設計變更不能成為其延長工期的理由，因而合同工期相對于單純施工合同有更大的確定性，同時總承包商集設計和施工責任于—身，也更有利于其控制工期。（六）對質量的期望。如果建設方希望對工程的質量責任有較大的確定性，擬采用把沒計和施工合并為一個標段的標段劃分方式，因為承包商同時負責設計，共對工程的質量責任沒有推托的余地，同時，建設方也可以通過在雇主要求中明確工程功能指標的方式確保承包方對工程運行指標負有完全的責任。如果建設方對設計單位有特殊的要求，以確保工程的質量，擬采用把設計和施工劃分為二個標段的做法由建設方直接決定設計單位。（七）資金的充裕程度。如果建設方的資金相對充裕，而且現金的供應鏈不會斷裂，可采取把設計與施工合并為一個標毆的做法，因為一般情況下總承包商的責任越大，其要價會相應提高，而且一旦總合同生效，建設方的付款義務是不容斷裂的。如果建設方的資金較為緊張，或現金的供應有中斷的可能，需進行階段性的籌資，擬采取設計與施工分為二個標段的做法，這樣，施工部分的招標可與建設方資金實際到位的情況相匹配，同時，在已有圖紙的情況下，對標底的計算會更加準確，相對比較容易組織承包商的合理競價。以上是通用的影響標段劃分形成的因素，不同的工程還有其特殊的因素，就是上述通用的因素，應用到具體的工程中，各個因素應予以考慮的權重也是各不相同的，只有充分遵循上述標段劃分的原則，才能客觀地評價和平衡以上影響標段劃分的因素，以達到合理劃分工程標段的目的。五、標段劃分形式與菲迪克合同條件適用范圍的關系標段劃分形式決定了承包商的責任范圍，而承包商的責任范圍決定廠雇主與承包商之間的權利、義務關系。因此99版的菲迪克條款是根據工程標段的劃分形式制訂相應的版本的。“CONS”“P&OB”“EPCT”一般都儀適用于總承包合同。“CONS”適用于施工總承包，“P&OB”“EPCT”適用于沒計、施工總承包，其中對EPCT合同條件，菲迪克在菲迪克（FIDIC）合同指南中指出把較多的義務歸于承包商，相應雇主應支付較多的工程款，并采用雇主方直接管理的模式，賦予承包商在設計和施工上更多的自主權，以留出足夠的空間，給承包商施展聰明才鑼，履行好合同約定的較其他合同形式更重的責仟。對于過于依賴施工的物質條件的工程如隧道工程等，菲迪克建議以采用P&DB合同形式為宜。綜上所述，標段劃分形式決定了建設入對工程的管理模式，標段劃分形式和工程管理模式共同決定了采用何種建設工程合同版本作為合同條件的基礎。因此，上述三項決策的源頭是對標段劃分形式的決策。對標段劃分形式的策劃和論證涉及法律、經濟、技術等專業，作者認為整合社會資源，組織好上述對標段劃分的策劃和方案論證工作并相應決定合同數目和范圍，如菲迪克所言，對項H的最終成功可能至為重要（見非迪克合同指南第29頁）。由于建設方與承包商的責任范圍難以確定。承包商與承包商之間，的責任范圍混淆不清而導致糾紛并嚴重影響丁程的案例舉不勝舉，究其引起紛爭的源頭，無不關系到標段劃分上的問題。“工欲善其事，必先利其器”，合理的標段劃分是實現工程建設高效率的一個“利器”，我們切不可以看輕其作用。進一步重視對建設工程特別是大型、特大型建設工程的標段劃分的研究和論證工作，此其時也!愿本文能作為一塊引玉之磚，引起相關專業人士對標段劃分的進一步討論和研究。（英文版）Tworegulationspromulgatedforimplementationisinthepartyinpowerforalongtimeandtheruleoflawconditions,theimplementationofcomprehensivestrictlystrategicplan,implementationinaccordancewiththerulesanddisciplinetomanagetheparty,strengtheninner-partysupervisionofmajorinitiatives.Thetworegulationssupportingeachother,the<code>adheretoapositiveadvocate,focusingonmoralityisofPartymembersandPartyleadingcadrescansee,enoughtogetahighstandard;<rule>aroundthepartydiscipline,disciplinaryrulerrequirements,listedas"negativelist,focusingonverticalgauge,drawthepartyorganizationsandPartymembersdonottouchthe"bottomline".Here,themainfromfoursquarefacetwopartyrulesofinterpretation:thefirstpartintroducestwopartyRevisedregulationsthenecessityandtherevisionprocess;thesecondpartistheinterpretationofthetwofundamentalprinciplesoftherevisionoflawsandregulationsintheparty;thethirdpartintroducestwopartyregulationsmodifiedthemainchangesandneedstograspseveralkeyproblems;thefourthpartonhowtograsptheimplementationofthetworegulationsoftheparty.<code>and<Regulations>revisedthenecessityandrevisedhistoryoftheCPCCentralCommitteetheamendmenttotheChineseCommunistPartymembersandleadingcadreshonestpoliticsseveralguidelines>and<ChineseCommunistPartydisciplineandPunishmentRegulations>column1by2015tostrengthenpartylawsandregulationsfocus.TwopartyregulationsrevisionworklastedaYears,poolingthewisdomofthewholeparty,ideologicalconsensus,drawhistoricalexperience,respectforthewisdomofourpredecessors,whichreflectstheunityofinheritanceandinnovation;followthecorrectdirection,graspthelimitedgoals,adheretotheparty'sleadership,tosolvethemassesofthepeoplereflectafocusontheproblem.Thenewrevisionofthe<code>and<rule>,reflectstheparty's18andtheeighthsessionofthethird,thespiritofthefourthplenarysession,reflectingtheexperienceofstudyingandimplementingtheGeneralSecretaryXiJinpingseriesofimportantspeech,reflectstheparty'seighteenyearscomprehensivestrictlypractice.(a)revisedtworegulationsofthepartyneedof<theICACguidelines>in<in1997LeadersasmembersoftheCommunistPartyofChinacleanpoliticscertaincriteria(Trial)>basedonrevised,thepromulgationandimplementationofJanuary2010,tostrengthentheconstructionofthecontingentofleadingcadresplayanimportantrole.Butwiththepartytomanagethepartystrictlyadministeringthedeepening,hasnotbeenabletofullymeettheactualneeds.Contentistoocomplicated,"eightprohibition,52arenotallowedto"hardtoremember,andalsodifficulttoputintopractice;thesecondisconciselypositiveadvocatedbythelackofprohibitedprovisionsexcessive,noautonomyrequirements;thethirdisbannedtermsanddisciplinelaw,bothwiththepartydiscipline,disciplinaryregulationsrepeatandCriminallawandotherlawsandregulationsrepeat;thefourthisto"clean"thethemeisnotprominent,notfortheexistingproblems,andisnarrow,onlyneedleofcounty-levelleadingcadresabove.<rule>isin1997<ChineseCommunistPartydisciplinarycases(Trial)>basedonrevi
