由甲方提供能源節電技術產品，由乙方負責在奧地利進行推廣、銷售：PartyAshallprovideenergyresourceselectricitypowersaving/conservationtechnologyproductsandPartyBshallberesponsibleforthepromotionandsalesoftheproducts:a)甲方提供的產品，應適于在奧地利銷售，并由締約雙方書面確定；TheproductssuppliedbyPartyAshallbesuitableforthesalesinAustriaandshallbeconfirmedbybothpartiesheretoinwrittenform;b)甲方對由自己提供的產品的使用，負責為乙方進行人員培訓；PartyAshallberesponsibleforthetrainingofthepersonnelofPartyBfortheuseoftheproductssuppliedbyPartyA;c)甲方應在本合同規定的范圍內向奧地利WT或其指定的其它港口出口合作產品；PartyAshallexporttheproductstoWTorotherportsappointedbyitwithinthescopeasspecifiedinthiscontract;d)甲方應提供經乙方指定的優質可銷的能源節電技術產品；PartyAshallsupplytothemarketableresourceselectricitypowersaving/conservationtechnologyproductswithhighqualityasspecifiedbyPartyB;e))根據本合同合作的產品應采用專門的商標，由乙方在奧地利獨家經銷；TheproductstobemanufacturedunderthiscontractshallbespecificallybrandedasbeingproducedfortheexclusivedistributionbyPartyBinAustria;f生2/213/21 優先取舍權；PartyAshallhavetheexclusiverightstoproduceandsupplytheproductsunderthiscontracttoPartyBandPartyBshallhavetheexclusiverighttoreceivetheproductsmadebyPartyAunderthiscontract.PartyAshallnottransactanybusinesswithanyotherAustrianCompany,firmorindividualwithrespecttoproductscoveredbythisContractandshallgivePartyBtherightsofthefirstrefusalwithrespecttootherproductscontemplatedfortheAustrianmarketandPartyBshallnottransactbusinesswithanyotherChinesecompany,firmorindividualwithrespecttotheproductscoveredbythiscontractandshallgivePartyAtherightofthefirstrefusalwithrespecttotheproductionofotherproductsfromChina.g)乙方以自己的名義進行本合同規定的下列事項：PartyBshalluseitsnametodothefollowingunderthiscontract:hi關部門對產品進行注冊；RegistertheproductswiththerelevantauthoritiesinAustria;(ii)在奧地利進行產品銷售。MarkettheproductsinAustria第五條合同期限、首期采購任務、年度銷售任務及獎勵.Term,PurchaseTaskofFirstPhase,AnnualSalesTaskandRewardingThiscontractshallbevalidandinoperationforaperiodoffive(5)years,commencingon___andterminatedon___. 乙方在銷售中因甲方產品存在質量問題，均可向甲方申請保修、調換。Whereanyqualityproblemisfound,PartyBmayapplyformaintenanceorreplacementfromPartyA.第十條產品退、換貨政策ReplacementandRejectionofGoods1產品保修(換)期限Warranty(Replacement)Period甲方對正式備案的售出產品(以收到經銷商反饋的“甲方登記聯”為準)，自用戶購買之日起，提供為期兩年的免費產品保修服務以及終身有償維修服務。ForthesoldproductsformallyfiledbyPartyA(subjecttothe"PartyRegistration"sentbythedistributor),fromthedateonwhichtheproductsissold,PartyAshallprovidefreemaintenanceserviceoftwo(2)yearsandwhole-lifemaintenancewithcompensation.2產品保修(換)原則Warranty(Replacement)Policy為用戶提供返修或調換貨品服務。WithinthewarrantyperiodasspecifiedbyPartyA,onthepremiseofproperinstallation,useandmaintenanceaccordingtothespecificationoftheinstructionofproducts,wherethemalfunctionoftheproductsiscausedbythequalitythemselves,PartyAshallprovidefreereplacementorfreemaintenanceservice.licyofProducts對于以下符合產品保修(換)原則規定的質量問題產品，甲方只能提供原貨品返修服務(不可調換)：Forthefollowingproductswithqualityproblemmeetingtheregulationsofwarranty(replacement)principal,PartyAshallonlyprovidereworkingservice(withoutreplacement):1)為用戶特殊定做的大功率(非常規)型號產品。8/21 Largepower(unconventional)productsspeciallyproducedforusers.2)用戶購機安裝三個月后，發生質量問題，且可以進行修復的產品。Theproductswithqualityproblemthatmayberecoveredthreemonthslatersinceinstallation.Theproductswithqualityproblemthatmayberecoveredwithinthreemonthssinceinstallationbutwiththeapprovaloftheusersforreworking.第十一條價格調整及利益保障條款PriceAdjustmentandBenefitAssurance為充分保障廣大經銷商的利益，甲方在進行產品價格體系調整時，將嚴格遵守以下承諾：Tofullyensurethebenefitofthedistributors,wherePartyAmakesthepriceadjustment,PartyAshallstrictlyabidebythefollowingpromise:Withinseven(7)workingdaysbeforetheformaladjustmentofthepricesystem,PartyAshallnotifythedistributionoftherelevantadjustmentpriceinformation.2、對于甲方進行產品價格體系調整前(以甲方正式執行調整后的新價格體系日期為準)已經發生采購的行為，甲方不負責進行差價補償。PartyAshallnotberesponsibleforthepricedifferencecompensationforthepurchaseactivityoccurredbeforethepriceadjustment.第十二條雙方其他權利與義務OtherRightsandObligations1.1有建議和指導乙方實施甲方制訂的市場營銷方案的權利；9/21 PartyAshallhavetherighttodirectPartyBtoexecutethemarketingplandesignedbyPartyA;1.2有核定乙方特約經銷區域及特約經銷產品市場最低售價的權利；PartyAshallhavetherighttoexaminethespecificdistributionareaandthelowestmarketpriceofthedistributedproducts.1.3有審核、規范乙方進行產品廣告宣傳的權利；PartyAshallhavetherighttoexamineandstandardizetheadvertisementactivityofPartyB;AfterPartyBcompletesthepurchasetaskofthefirstphase,PartyAshallissuetheagentlicenseandcertificatetomaintainthelegalrightofPartyBasdistributor.2.2向乙方提供產品銷售時所需的營銷、技術和廣告宣傳資料及相關的產品認證證書。PartyAshallprovidetoPartyBthemarketing,technologyandadvertisingdataandrelevantproductioncertificaterequiredforthesalesoftheproducts.2.3乙方在本合同第二條約定區域范圍內進行其代理經銷產品的市場開拓與銷售工作時，為乙方提供必要的市場指導、技術支持、培訓支持等相關配套服務。WhenPartyBconductsthemarketingexploitationandsalesoftheproductsintheareaasspecifiedinthearticletwoofthiscontract,PartyAshallprovidenecessaryrelevantsupportingservicessuchasmarketguidance,technicalsupportandtrainingsupportforPartyB.2.4向乙方按時、按質、按量提供包裝完整的合格產品；PartyAshallsupplythewell-packedqualifiedproductstoPartyBonschedulebyqualityanduantity10/21 .5協助乙方做好貨物托運及調換工作；PartyAshallrenderassistancetoPartyBtomakegoodsconsignmentandreplacement..6采取有效措施調節和規范市場秩序；PartyAshalltakeeffectivemeasuretoadjustandstandardizethemarketorder.嚴守乙方的商業機密。PartyAshallnotdisclosethecommercialsecretetoanyotherthirdparty.3.1享有本合同第二條約定的特約經銷產品在產品特約區域的經銷權；PartyBshallhavetherighttoenjoythedistributionrightofthespecifiedproductsintheareaasspecifiedinArticletwoofthiscontract.3.2享有按《OA電能科技2004年度市場營銷方案》享受一切獎勵條款規定的權利；PartyBshallhavetherighttoenjoyalltherightsasspecifiedintherewardingclauseaccordingtothe2004MarketingPlanofGUANGZHOUOATECHNOLOGYCOMPANYLIMITED.4.1應向甲方提供營業執照等合法有效的經營證件，并嚴格遵守國家有關法律法規及行業規PartyBshallprovidethelegalandvalidbusinesslicensetoPartyAandstrictlyabidebytheindustrystandardandrelevantlawsandregulationsofthecountry,andoperateunderthelaws.4.2自覺維護甲方及其產品的形象和聲譽，在甲方指導下處理好特約經銷區域內產品終端用戶的投訴與相關服務請求，并做好有關部門監督檢查的配合工作；11/2112/21 PartyBshallmaintaintheimageandreputationofPartyAanditsproducts.WiththeguidanceofPartyA,PartyBshallmakegoodsettlementofthecomplaintandrelevantserviceapplicationofthefinalusersinthedistributionarea,andrendergoodcoordinationtorelevantdepartmentforsupervisionandinspection.4.3嚴格遵守甲方《OA電能科技2004年度市場營銷方案》中關于市場營銷秩序維護及經銷PartyBshallstrictlyabidebytherelevantregulationswithrespecttothemarketordermaintenanceandbindingontheactivityofthedistributorsasspecifiedinthe2004MarketingPlanofGUANGZHOUOATECHNOLOGYCOMPANYLIMITED.4.4不得擅自生產、偽造甲方之產品，并要協助甲方做好保護甲方專利、商標等知識產權的PartyBshallnotproduce,counterfeittheproductsofPartyA;PartyBshallrenderassistancetoprotecttheintellectualpropertysuchaspatentandtrademarkofPartyA.PartyBshallnotdisclosethecommercialsecretetoanyotherthirdparty.4.5乙方必須安裝專用的通訊設備，保持與甲方的持續溝通，及時反饋各種市場營銷信息；PartyBshallinstallspecialcommunicationequipmenttomaintainagoodcontactwithPartyAandfeedbackvariousmarketinginformationontime.4.6乙方印制各種針對甲方的宣傳資料前必須呈甲方審核，并經甲方書面許可后方能發布；PartyBshallsubmitalltheadvertisingdatainvolvingPartyAtoPartyAforexaminationandapproval;andtheadvertisingdatashallonlybeissuedwiththeapprovalofPartyA.4.7遵守甲方頒布的年度營銷方案、客戶服務方案，并積極支持配合甲方組織的各項活動；PartyBshallabidebytheannualmarketingplan,clientserviceplanandrenderactiveassistancetoPartyAtoorganizevariousactivities.13/21
