-10-SettlementAgreementandGeneralReleaseofAllClaims所有權轉讓協議核心提示：ThisSettlementAgreementandGeneralReleaseofAllClaims(hereinafterAgreement)ismadeandenteredintobyandbetween:_________(NAME)andhisheirs,administrators,agents,representatives,executors,successorsandassigns(hereinaftercolleThisSettlementAgreementandGeneralReleaseofAllClaims(hereinafterAgreement)ismadeandenteredintobyandbetween:_________(NAME)andhisheirs,administrators,agents,representatives,executors,successorsandassigns(hereinaftercollectivelyreferredtoasBaker);andAAACorporationandBBB,Inc.,andeachoftheircurrentandformerofficers,administrators,agents,representatives,shareholders,directors,employees,executors,successors,assigns,subsidiaries,parentcompanies,predecessororsuccessorcompanies,oranyotherindividualsorentitiesrelatedtheretoorpotentiallyliablewithrespecttoBaker’sclaims(hereinaftercollectivelyreferredtoastheCompanies).1.Baker’spositionasPresidentandCEOofBBB,Inc.andhisemploymentended_________,_________,_________(M/D/Y).2.PotentialdisputesmayarisebetweentheCompaniesandBakerrelatingtoBaker’semploymentrelationshipwiththeCompanies,thechangesinhisemploymentstatus,Baker’scompensation,theterminationoftheemploymentrelationshipbetweenhimandtheCompaniesandthecircumstancesattendantthereto.3.BakerandtheCompaniesdesirenowtosettlecompletelyandforalltimeanyandalldisputesordifferencesbetweenthemregardinganymatterwhicharosefromorwererelatedtoBaker’semploymentrelationshipwiththeCompanies,thechangesinhisemploymentstatus,Baker’scompensation,theterminationoftheemploymentrelationshipbetweenhimandtheCompaniesandthecircumstancesattendantthereto.4.Therefore,inconsiderationofthefollowingcovenantsandpromisesandforothervaluableconsideration,thisAgreementisenteredintobytheundersignedparties.5.ThisAgreement,andcompliancewiththisAgreement,shallnotbeconstruedasanadmissionofliabilityonthepartofeitherparty.Suchliabilitybeingexpresslydenied,theparties’intentinthisAgreementistoavoidlitigation.Bakerherebyrepresentsthathehasneitherfilednorcausedtobefiledanypendingcharges,suits,claims,grievancesorotheraction(hereinafterreferredtoasclaims)whichinanywayarisefromorrelatetohisemploymentrelationshipwiththeCompanies,thechangesinhisemploymentstatus,Baker’scompensation,theterminationoftheemploymentrelationshiporanyotherconductoftheCompaniesoccurringpriortotheexecutionofthisAgreement.Notwithstandingtheabove,Bakeragreesthatheshalldismissanyclaimswhichhavebeenfiled.6.Bakeragreesnottofile,pursueorcooperateinthefilingorpursuitbyanyoneelseofanyclaimswhichareagainstorinvolvetheCompaniesandwhichinanywayarisefromorrelatetoBaker’semploymentrelationshipwiththeCompanies,thechangesinhisemploymentstatus,Baker’scompensation,theterminationoftheemploymentrelationshipbetweenhimandtheCompaniesoranyotherconductoftheCompaniesoccurringpriortotheexecutionofthisAgreement.Bakeragreesthatshouldhelearnofanysuchclaimsbeingpursuedonhisbehalf,hewillusehisbesteffortstocausesuchclaimstobewithdrawn,dismissedorotherwiseterminatedwithprejudice.7.SevendaysfollowingBaker’sexecutionofthisAgreement,theCompaniesshalltransmittoBakeragrosslumpsumseverancepaymentof$_________(sixmonths’basesalary)lessordinarypayrolldeductionsincludingstate,federalandlocaltaxandlesscompensationreceivedbyBakerfortheperiod_________,_________,_________(M/D/Y)through_________,_________,_________(M/D/Y).Inaddition,BakershallreceivepaymentforallvacationaccruedduringhisemploymentatBBB,Inc.Bakeragreesthattheforegoingseverancepaymentconstitutesfull,completeandfinalsettlementofanyandallBaker’sclaims,includingbutnotlimitedtoanyclaimsarisingundertheAgeDiscriminationinEmploymentActof1967asamended,actualorpotential,knownorunknown,whichinanywayarisefromorarerelatedtoBaker’semploymentrelationshipwiththeCompanies,thechangesinhisemploymentstatus,Baker’scompensation,theterminationoftheemploymentrelationshipbetweenhimandtheCompaniesoranyotherconductoftheCompaniesoccurringpriortotheexecutionofthisAgreement.8.Bakeragreesandacknowledgesthatasof_________,_________,_________(M/D/Y),allunvestedstockoptionsgrantedtohimunderallAAACorporationincentivestockoptionsandnonqualifiedstockoptiongrants,includingbutnotlimitedtoAAAStockOptionGrantNos.002645,002646,002913,004417andallunvestedstockoptionsgrantedtoBakerundertheBBB,Inc._________(YEAR)StockOptionPlanwillceasetocontinuetovestinaccordancewiththetermsoftheapplicablestockoptionplansandtheunderlyingagreements.AllAAACorporationandBBB,Inc.stockoptionsnotvestedasof_________,_________,_________(M/D/Y)arecanceled.BakershallhavetherighttoexercisevestedAAACorporationandBBB,Inc.optionsatanytimeuptoandincludingthreemonthsafterhis_________,_________,_________(M/D/Y)terminationofemployment,butnotlaterthanthestockoptionexpirationdate.9.Baker’sinsurancecoverageformedicalanddentalcarebenefitsprovidedunderBBB,Inc.’semployeeinsuranceplansended_________,_________,_________(M/D/Y)unlessBakerelectsCOBRAcoveragewithinsixtydaysof_________,_________,_________(M/D/Y).IfBakerelectsCOBRA,BakerwillreceiveBBB,Inc.-sponsoredCOBRAcoverageforsixmonths,through_________,_________,_________(M/D/Y).Beginningon_________,_________,_________(M/D/Y),Bakerwillhavetheopportunity,underthetermsandconditionsofCOBRA,tocontinuemedicalinsuranceathisownexpense.10.BakeracknowledgeshiscontinuingobligationstotheCompanieswithrespecttotheProprietaryInformationAgreementshesignedwiththeCompanies.BakeragreestocontinueabidingbythetermsandconditionsoftheCompanies’ProprietaryInformationAgreements.BakeragreestocooperatewiththeCompaniestoeffectuatethemanagementtransitionandagreestorespondtoreasonablerequestsforrelatedinformation.11.BakervoluntarilywaivestheprovisionofSection1542oftheCaliforniaCivilCode,andanyotherstatuteorcommonlawdoctrineoflikeeffect,whichprovides:Ageneralreleasedoesnotextendtoclaimswhichthecreditordoesnotknoworsuspecttoexistinhisfavoratthetimeofexecutingtherelease,whichifknownbyhimmusthavemateriallyaffectedhissettlementwiththedebtor.BakerwarrantsthathehasreadandunderstandstheaforesaidSection1542andhehashadtheopportunitytoconsultwithandbeadvisedbycounselregardingitsmeaningandeffectandhevoluntarilywaivesitsprovisionsandthoseofanyotherstatuteorcommonlawdoctrineoflikeeffect.12.HavingsowaivedtheprovisionsofSection1542andthoseofanyotherstatuteorcommonlawdoctrineoflikeeffect,BakerreleasestheCompaniesfromanyandallclaimsofanykind,whetherknownorunknown,actualorpotential,whichhenowhasormayhaveatanytimewhichinanywayarosefromorrelatetoBaker’semploymentrelationshipwiththeCompanies,thechangesinhisemploymentstatus,Baker’scompensation,theterminationoftheemploymentrelationshipbetweentheCompaniesandBakerandanyotherconductoftheCompaniesoccurringpriortotheexecutionofthisAgreement.13.Bakerwarrantsthathehasnotassigned,transferrednorpurportedtoassignortransferanyclaimagainsttheCompaniesthatarosepriortotheexecutionofthisAgreementandthathewillnotassignortransferorpurporttoassignortransferhereafteranysuchclaim.14.Bakerwarrantsthatheisherebyadvisedtoandhashadtheopportunitytoberepresentedbylegalcounselregardinghisclaims,otherpotentialclaims,andthisAgreement.BakerfreelyandvoluntarilyenteredintothisAgreement.15.Eachpartyshallpayitsownattorneys’fees,ifany,incurredinconnectionwiththenegotiationanddraftingofthisAgreement.Eachpartyshallreleaseandforeverholdtheotherharmlessfromanyliabilitytotheirattorneysforpaymentofsuchfeespursuanttoanyagreementorunderstandingbetweeneac
