工程合同補充協議英文版?ThisSupplementaryAgreementtotheEngineeringContract(hereinafterreferredtoas"thisAgreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[CompanyNameofPartyA]RegisteredAddress:[RegisteredAddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]ContactInformation:[ContactDetailsofPartyA]PartyB:Name:[CompanyNameofPartyB]RegisteredAddress:[RegisteredAddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]ContactInformation:[ContactDetailsofPartyB]I.SubjectMatterandScopeoftheProject1.ProjectDescriptionTheoriginalEngineeringContract(hereinafterreferredtoas"theOriginalContract")wasforthe[descriptionoftheoriginalproject].UnderthisSupplementaryAgreement,thescopeoftheprojectshallbefurthersupplementedandclarifiedasfollows:[Listspecificadditionalworkitemsormodifications,e.g.,additionalconstructionofacertainbuildingarea,installationofspecificequipment,oradjustmentoftheprojectschedule].[Providedetailedtechnicalspecificationsandqualityrequirementsfortheadditionalwork,ifapplicable].2.CompletionTimeBasedontheOriginalContractandthisSupplementaryAgreement,thepletiontimeoftheentireprojectshallbeextended/advancedto[newpletiondate].PartyBshallberesponsibleforformulatingadetailedconstructionplaninaccordancewiththisnewscheduleandshallensurethattheprojectispletedontime.Anydelayinpletionshallbesubjecttotheprovisionsofthefollowingparagraphsregardingliquidateddamages.II.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PaymentObligationsPartyAshallpayPartyBtheprojectpaymentinaccordancewiththepaymenttermsspecifiedinthisSupplementaryAgreementandtheOriginalContract.ThetotalprojectpaymentunderthisSupplementaryAgreementis[amountinwordsandfigures],whichshallbepaidinthefollowinginstallments:[Describethefirstinstallmentpayment,includingtheamount,paymentdate,andconditionsforpayment].[Describesubsequentinstallmentpayments,ifany].PartyAshallhavetherighttorequestPartyBtoprovideinvoicesforeachpaymentreceivedinatimelymanner.PartyBshallissuevalidinvoiceswithin[numberofdays]afterreceivingeachpaymentnoticefromPartyA.2.InspectionandSupervisionRightsPartyAshallhavetherighttoinspecttheprogress,quality,andsafetyoftheprojectatanytime.PartyBshallcooperatefullywithPartyA'sinspectionandprovideallnecessaryinformationandassistance.IfPartyAdiscoversanyproblemsordefectsduringtheinspection,itshallhavetherighttorequirePartyBtomakecorrectionswithinaspecifiedtimelimit.PartyBshallberesponsibleforrectifyingtheproblemsatitsownexpenseandensuringthattheprojectmeetstherequirementsofthecontract.3.ChangeOrderApprovalRightsIntheeventthatPartyBrequestsachangetotheprojectscope,design,orconstructionplan,itshallsubmitawrittenchangeorderapplicationtoPartyA.PartyAshallreviewandapprovethechangeorderwithin[numberofdays]afterreceivingtheapplication.WithoutPartyA'spriorwrittenapproval,PartyBshallnot擅自實施anychangestotheproject.AnyunauthorizedchangesshallbeatPartyB'sownrisk,andPartyAshallhavetherighttorequirePartyBtorestoretheprojecttoitsoriginalstateatPartyB'sexpense.B.RightsandObligationsofPartyB1.ConstructionObligationsPartyBshallorganizeandcarryouttheconstructionworkinstrictaccordancewiththerelevantlaws,regulations,andindustrystandards,aswellasthetermsandconditionsofthisSupplementaryAgreementandtheOriginalContract.PartyBshallberesponsibleforprovidingallnecessaryconstructionmaterials,equipment,labor,andmanagementservicesrequiredfortheproject.Allmaterialsandequipmentusedintheprojectshallmeetthequalitystandardsspecifiedinthecontractandshallbeapaniedbyrelevantqualitycertificates.PartyBshallestablishasoundqualitycontrolsystemfortheprojectandshallconductregularselfinspectionstoensurethattheconstructionqualitymeetstherequirements.PartyBshallberesponsibleforthequalityoftheprojectduringthewarrantyperiodandshallpromptlyrepairorreplaceanydefectivepartsorponentsatitsownexpense.2.ProjectManagementObligationsPartyBshallappointaprofessionalprojectmanagertoberesponsiblefortheoverallmanagementoftheproject.Theprojectmanagershallhavethenecessaryqualificationsandexperienceandshallberesponsibleforcoordinatingallaspectsoftheproject,includingbutnotlimitedtoconstructionprogress,qualitycontrol,safetymanagement,andmunicationwithPartyA.PartyBshallsubmitadetailedprojectprogressreporttoPartyAonaregularbasis,atleast[frequency,e.g.,weeklyormonthly].Thereportshallincludetheprogressoftheproject,theproblemsencountered,andthesolutionsproposed.PartyBshallalsonotifyPartyAinatimelymannerofanypotentialdelaysorrisksthatmayaffecttheprojectschedule.3.SafetyandEnvironmentalProtectionObligationsPartyBshallberesponsibleforensuringthesafetyoftheconstructionsiteandallpersonnelinvolvedintheproject.PartyBshallestablishandimplementaprehensivesafetymanagementsystem,includingsafetytraining,safetyinspections,andsafetymeasurestopreventaccidents.PartyBshallplywithallrelevantenvironmentalprotectionlaws,regulations,andstandardsduringtheconstructionprocess.PartyBshalltakenecessarymeasurestoreduceenvironmentalpollutionandnoise,andshallproperlydisposeofconstructionwasteandwastewater.III.LiquidatedDamages1.DelayinCompletionIfPartyBfailstopletetheprojectontimeasspecifiedinthisSupplementaryAgreementandtheOriginalContract,itshallpayliquidateddamagestoPartyAattherateof[liquidateddamagesrate]ofthetotalprojectpaymentforeachdayofdelay.Theliquidateddamagesshallbecalculatedfromtheoriginalpletiondateuntiltheactualpletiondate.Inadditiontopayingliquidateddamages,PartyBshallalsoberesponsibleforpensatingPartyAforanylossescausedbythedelay,includingbutnotlimitedtolostprofits,additionalexpensesincurred,anddamagetoPartyA'sreputation.2.QualityDefectsIftheprojectfailstomeetthequalitystandardsspecifiedinthecontractduringthewarrantyperiod,PartyBshallberesponsibleforrectifyingthedefectsatitsownexpensewithinaspecifiedtimelimit.IfPartyBfailstorectifythedefectsinatimelymanner,PartyAhastherighttohireathirdpartytorepairthedefects,andthecostsincurredshallbebornebyPartyB.Inaddition,PartyBshallpayliquidateddamagestoPartyAattherateof[liquidateddamagesrate]ofthetotalprojectpaymentforthequalitydefects.IV.DisputeResolution1.NegotiationIntheeventofanydisputesarisingfromthisSupplementaryAgreementortheperformanceoftheOriginalContract,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.Thepartiesshallmeetanddiscusstheissuesingoodfaithwithin[numberofdays]aftereitherpartynotifiestheotherpartyoftheexistenceofadispute.2.ArbitrationorLitigationIfthepartiesareunabletoresolvethedisputesthroughnegotiationwithinthespecifiedtimelimit,eitherpartymaychoosetosubmitthedisputesto[arbitrationinstitutionorcourt]forarbitrationorlitigation.Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.Iflitigationischosen,thecaseshallbeunderthejurisdictionof[court].Thejudgmentofthecourtshallbefinalandbindingonbothparties.V.MiscellaneousProvisions1.EntireAgreementThisSupplementaryAgreement,togetherwiththeOriginalContract,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Anyprioragreementsorunderstandingsbetweenthepartiesrelatingtothesamesubjectmatterareherebysuperseded.2.AmendmentsandSupplementsNoamendment,supplement,ormodificationtothisSupplement
