.NonInfringementPartyAwarrantsthatthe[subjectmatterorservice]provideddoesnotinfringeontheintellectualpropertyrightsofanythirdparty.Incaseofanyclaimofintellectualpropertyinfringementrelatedtothe[subjectmatterorservice],PartyAshallberesponsibleforhandlingthematterandindemnifyingPartyBagainstanylosses,damages,orliabilitiesarisingtherefrom.VII.TermandTerminationA.TermoftheAgreementThisAgreementshallbeeffectiveasofthedateofsigningandshallremaininforcefor[numberofyears/months].B.Termination1.ThisAgreementmaybeterminatedunderthefollowingcircumstances:Bymutualwrittenagreementoftheparties;IfeitherpartymateriallybreachesthisAgreementandfailstocurethebreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherparty;IncaseofforcemajeureeventsthatrendertheperformanceofthisAgreementimpossibleorimpracticableforanextendedperiodoftime,providedthatthepartyaffectedbytheforcemajeureeventnotifiestheotherpartyinwritingwithin[numberofdays]daysandtakesallreasonablemeasurestominimizetheimpact.2.Intheeventoftermination,thepartiesshallperformtheirrespectiveobligationsregardingsettlementofaccounts,deliveryofgoodsorservicesinprogress,andprotectionofconfidentialinformationasrequiredbylawandthisAgreement.VIII.LiabilityandIndemnificationA.Liability1.EachpartyshallbeliableforitsownbreachofthisAgreementandshallindemnifytheotherpartyforanylosses,damages,orliabilitiescausedthereby.2.IncaseofjointliabilityarisingfromtheperformanceofthisAgreement,thepartiesshallbeartheliabilityinproportiontotheirrespectivefaultsorasotherwiseagreed.B.Indemnification1.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees)arisingoutoforinconnectionwithPartyA'sbreachofthisAgreement,the[subjectmatterorservice]providednotmeetingthequalitystandards,orPartyA'sinfringementofanythirdpartyrights.2.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees)arisingoutoforinconnectionwithPartyB'sbreachofthisAgreementorPartyB'simproperuseofthe[subjectmatterorservice].Ix.DisputeResolutionA.NegotiationIncaseofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftereitherpartynotifiestheotherpartyoftheexistenceofthedispute.B.ArbitrationorLitigation1.Ifthepartiesfailtoreachanagreementthroughnegotiation,thedisputeshallberesolvedeitherbyarbitrationorbylitigationinaccordancewiththefollowingprovisions:Arbitration:Thedisputeshallbesubmittedto[nameofarbitrationinstitution]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.Litigation:Thedisputeshallbebroughtbeforethe[nameofthepetentcourt]withjurisdictionoverthematter.2.Thepartiesshallabidebythedecisionofthearbitrationtribunalorthejudgmentofthecourt.x.MiscellaneousA.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.B.AmendmentsandSupplementsNoamendment,modification,orsupplementtothisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.C.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinno
