?ThisSalesAgencyAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

Principal:

Agent:

I.Appointment

1.ThePrincipalherebyappointstheAgentasitsnonexclusivesalesagentforthepurposeofpromotingandsellingthefollowingproducts/services(the"SubjectMatter")intheterritoryof[territory](the"Territory"):

2.TheAgentacceptssuchappointmentandagreestoperformthedutiesandobligationsassetforthinthisAgreement.

II.RightsandObligationsoftheAgent

A.Rights

1.TheAgentshallhavetherighttousethePrincipal'strademarks,logos,andothermarketingmaterialsinaccordancewiththePrincipal'sinstructionsandrelevantlawsforthepurposeofpromotingandsellingtheSubjectMatterwithintheTerritory.

2.TheAgentshallbeentitledtoreceivemissionasprovidedinArticleIIIofthisAgreementforallsalesmadewithintheTerritoryinaccordancewiththetermsandconditionsherein.

B.Obligations

1.TheAgentshalluseitsbesteffortstopromoteandselltheSubjectMatterwithintheTerritory.Thisshallincludebutnotbelimitedto:

ConductingmarketresearchtoidentifypotentialcustomersandmarkettrendsrelatedtotheSubjectMatterintheTerritory.

Developingandimplementingmarketingandsalesstrategies,suchasorganizingpromotionalevents,participatingintradeshows,andadvertisingtheSubjectMatterthroughvariouschannels,includingonlineandofflinemedia.

Maintainingaprofessionalandwelltrainedsalesteamtohandleinquiriesfromcustomers,provideproductinformation,andclosesalesdeals.

2.TheAgentshallkeepthePrincipalinformedofallsignificantdevelopmentsinthesalesactivitieswithintheTerritory,includingbutnotlimitedtocustomerfeedback,petitoractivities,andemergingmarketopportunitiesorthreats.

3.TheAgentshallonlyselltheSubjectMattertocustomerswithintheTerritoryandshallnotexporttheSubjectMattertoanyotherterritorywithoutthepriorwrittenconsentofthePrincipal.

4.TheAgentshallensurethatallsalestransactionsareconductedinpliancewithallapplicablelawsandregulationsintheTerritory,includingbutnotlimitedtoconsumerprotectionlaws,taxlaws,andtraderegulations.

5.TheAgentshallmaintainaccurateanduptodaterecordsofallsalesactivities,includingcustomercontacts,salescontracts,andpaymentreceipts,andshallmakesuchrecordsavailabletothePrincipaluponrequest.

6.TheAgentshallnotmakeanyrepresentationsorwarrantiesonbehalfofthePrincipalotherthanthoseexpresslyauthorizedinwritingbythePrincipal.AnyunauthorizedrepresentationorwarrantyshallbethesoleresponsibilityoftheAgent,andthePrincipalshallnotbeliableforanyconsequencesarisingtherefrom.

III.Commission

1.ThePrincipalshallpaytheAgentamissiononallsalesoftheSubjectMattermadewithintheTerritory.Themissionrateshallbe[x]%ofthenetsalesamount(netofanydiscounts,returns,andtaxes).

2.Commissionpaymentsshallbemadeona[paymentfrequency]basis.TheAgentshallsubmitadetailedsalesreporttothePrincipalwithin[numberofdays]daysaftertheendofeach[reportingperiod].Uponreceiptandverificationoftheaccuratesalesreport,thePrincipalshallpaythemissiontotheAgentwithin[numberofdays]days.

3.IntheeventofareturnoftheSubjectMatterbyacustomer,themissionpreviouslypaidinrespectofsuchreturnedproductshallbedeductedfromthenextmissionpaymenttotheAgent.

IV.RightsandObligationsofthePrincipal

A.Rights

1.ThePrincipalshallhavetherighttoreviewandapproveallmarketingandsalesmaterialspreparedorusedbytheAgenttoensurepliancewiththePrincipal'sbrandimage,productpolicies,andapplicablelaws.

2.ThePrincipalshallhavetherighttoterminatethisAgreementinaccordancewiththeprovisionshereinintheeventofamaterialbreachbytheAgent.

B.Obligations

1.ThePrincipalshallsupplytheAgentwithsufficientquantitiesoftheSubjectMatterinatimelymannertomeetthereasonabledemandsofthemarketwithintheTerritory.ThePrincipalshallensurethatthequalityoftheSubjectMatterplieswithallapplicablestandardsandregulations.

2.ThePrincipalshallprovidetheAgentwithnecessaryproducttraining,technicalsupport,andmarketingassistancetoenabletheAgenttoeffectivelypromoteandselltheSubjectMatterwithintheTerritory.

3.ThePrincipalshallberesponsibleforhandlingallproductwarrantiesandaftersalesservicesinaccordancewiththetermsandconditionsoftheproductwarrantypolicy,exceptasotherwiseagreeduponbetweenthepartiesinwriting.

4.ThePrincipalshallindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththePrincipal'sbreachofthisAgreement,includingbutnotlimitedtointellectualpropertyinfringementclaimsrelatedtotheSubjectMatter.

V.Confidentiality

1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty,includingbutnotlimitedtoproductdesigns,customerlists,marketingstrategies,andfinancialinformation.

2.Eachpartyshallkeepconfidentialallsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.

VI.IntellectualProperty

1.ThePrincipalshallretainallintellectualpropertyrightsintheSubjectMatter,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

2.TheAgentshallnottakeanyactionthatmayinfringeuponthePrincipal'sintellectualpropertyrights.TheAgentshallassistthePrincipalinprotectingitsintellectualpropertyrightsintheTerritory,includingbutnotlimitedtoreportinganysuspectedinfringementtothePrincipalandcooperatingwiththePrincipalinanylegalactionstakenagainstinfringers.

VII.TermandTermination

1.ThisAgreementshallmenceonthedateofexecutionandshallcontinueforaperiodof[numberofyears]years(the"InitialTerm").

2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartythatremainsuncuredafter[numberofdays]days'writtennoticeofsuchbreach.

3.IntheeventofterminationofthisAgreement:

TheAgentshallimmediatelyceaseallactivitiesonbehalfofthePrincipal,returnallmarketingmaterialsandconfidentialinformationofthePrincipalinitspossession,andaccountforallsalesandmissionsreceiveduptothedateoftermination.

ThePrincipalshallpaytheAgentanyaccruedandunpaidmissionsforsalesmadeuptothedateofterminationinaccordancewiththetermsofthisAgreement.

SectionsV(Confidentiality),VI(IntellectualProperty),andanyotherprovisionsthatareintendedtosurviveterminationshallcontinuetobeenforceable.

VIII.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[city/county],[country/state].

Ix.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AnymodificationsoramendmentstothisAgreementshallbemadeinwritingandsignedbybothparties.

x.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

INWITNESSWHEREOF,thepartieshaveexecutedthisSalesAgencyAgreementasofthedatefirstabovewritten.
