2.QualityoftheGoods
ThequalityoftheGoodsshallcomplywiththerelevantnationalstandardsorthequalityrequirementsagreeduponbytheparties.TheSuppliershallensurethattheGoodsarefreefromdefectsandmeetthequalitystandardsspecifiedinthisContract.
3.QuantityoftheGoods
ThequantityoftheGoodsshallbeasspecifiedintheattachedlistofgoods(hereinafterreferredtoas"theattachedlist").TheBuyershallacceptthequantityoftheGoodsasspecifiedintheattachedlist.
4.DeliveryoftheGoods
TheSuppliershalldelivertheGoodstotheBuyer'sdesignatedaddresswithinthedeliveryperiodagreeduponbytheparties.ThedeliveryperiodshallbecountedfromthedateoftheContract'sexecution.
5.PriceandPaymentTerms
ThepriceoftheGoodsshallbe[Price]Yuanperunit,andthetotalamountshallbe[TotalAmount]Yuan.Thepaymenttermsareasfollows:
a.TheBuyershallpay[Percentage]ofthetotalamountupontheexecutionofthisContract.

6.InspectionandAcceptance

7.LiabilityforBreachofContract
IfeitherpartyfailstoperformitsobligationsunderthisContract,thebreachingpartyshallcompensatetheinjuredpartyforthedirectandindirectlossescausedbythebreach.
8.DisputeResolution
IncaseofanydisputesarisingfromtheexecutionofthisContract,thepartiesshallfirsttrytoresolvethedisputesthroughfriendlynegotiation.Ifthedisputescannotberesolvedthroughnegotiation,thepartiesmaysubmitthedisputestothePeople'sCourtof[City]forarbitration.
9.ValidityandTermination
ThisContractshallbevalidfor[Number]yearsfromthedateofitsexecution.EitherpartymayterminatethisContractbywrittennoticetotheotherpartyiftheotherpartyfailstoperformitsobligationsunderthisContract.

2.QualityoftheGoods
ThequalityoftheGoodsshallcomplywiththerelevantnationalstandardsorthequalityrequirementsagreeduponbytheparties.TheSuppliershallensurethattheGoodsarefreefromdefectsandmeetthequalitystandardsspecifiedinthisContract.TheThirdPartyshallberesponsibleforinspectingthequalityoftheGoodsbeforedeliverytotheBuyer.
3.QuantityoftheGoods
ThequantityoftheGoodsshallbeasspecifiedintheattachedlistofgoods(hereinafterreferredtoas"theattachedlist").TheBuyershallacceptthequantityoftheGoodsasspecifiedintheattachedlist.
4.DeliveryoftheGoods
TheSuppliershalldelivertheGoodstotheBuyer'sdesignatedaddresswithinthedeliveryperiodagreeduponbytheparties.ThedeliveryperiodshallbecountedfromthedateoftheContract'sexecution.TheThirdPartyshallensurethetimelydeliveryoftheGoodstotheBuyer.
5.IntermediationServices
TheThirdPartyshallprovideintermediationservices,includingbutnotlimitedto,coordinatingwiththeSupplierfortheprocurementprocess,ensuringcompliancewiththeContract,andresolvinganydisputesthatmayarise.TheThirdPartyshallbeentitledtoreceiveacommissionforitsservices.
6.PriceandPaymentTerms
ThepriceoftheGoodsshallbe[Price]Yuanperunit,andthetotalamountshallbe[TotalAmount]Yuan.Thepaymenttermsareasfollows:

d.TheBuyerhastherighttoclaimdamagesfromtheSupplierortheThirdPartyincaseofanybreachofthisContract.
9.RightsandObligationsoftheSupplier
a.TheSuppliershallprovidetheGoodsasspecifiedinthisContractandensuretheirqualityanddeliverywithintheagreedtimeframe.

12.LimitationsandRestrictionsontheThirdParty
a.TheThirdPartyshallnotdiscloseanyconfidentialinformationobtainedfromtheBuyerortheSuppliertoanythirdparties.
b.TheThirdPartyshallnotengageinanyactivitiesthatmayaffecttheexecutionofthisContract.
13.DisputeResolution
IncaseofanydisputesarisingfromtheexecutionofthisContract,thepartiesshallfirsttrytoresolvethedisputesthroughfriendlynegotiation.Ifthedisputescannotberesolvedthroughnegotiation,thepartiesmaysubmitthedisputestothePeople'sCourtof[City]forarbitration.
14.ValidityandTermination

13.DisputeResolution
