1.2TheAgentrepresentsandwarrantsthatitisalegallyincorporatedentityoranindividualwithfulllegalcapacitytoenterintothisAgreement.
1.3ThePrincipalfurtherrepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementonitsownbehalforonbehalfofanythirdparty.
1.4TheAgentfurtherrepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementonitsownbehalforonbehalfofanythirdparty.
OBLIGATIONS:
2.1TheAgentshallactasthePrincipal'sexclusiveagentforthepurposeofassistingintheprocessofregisteringthePrincipal'scompanyorentityforthepurposeofobtainingabusinesslicensein[Principal'sCountry].
2.2TheAgentshalluseitsbesteffortstoensurethatthePrincipal'scompanyorentityisregisteredandlicensedinatimelyandefficientmanner.
2.3TheAgentshallprovidethePrincipalwithallnecessaryinformation,documentation,andsupporttofacilitatetheregistrationandlicensingprocess.
2.4ThePrincipalshallprovidetheAgentwithallnecessaryinformation,documentation,andsupporttofacilitatetheregistrationandlicensingprocess.
2.5TheAgentshallnotengageinanyactivitythatmaycauseharmtothePrincipal'sreputationorlegalstanding.
2.6ThePrincipalshallnotengageinanyactivitythatmaycauseharmtotheAgent'sreputationorlegalstanding.
TERMANDTERMINATION:
3.1ThisAgreementshallbeeffectiveuponthedateofitsexecutionandshallremaininfullforceandeffectforaperiodof[TermDuration]fromtheEffectiveDate,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
3.2EitherpartymayterminatethisAgreementatanytimebyprovidingwrittennoticetotheotherparty,providedthatsuchterminationshallbeeffectiveuponthereceiptofsuchnoticebytheotherparty.
3.3UponterminationofthisAgreement,thepartiesshallfulfilltheirrespectiveobligationsuntilthecompletionofthecurrenttransactionorproject,asapplicable.
3.4UponterminationofthisAgreement,thepartiesshallreturnallconfidentialinformationandpropertytotheotherparty.
CONFIDENTIALITY:
4.1ThepartiesagreetokeepallconfidentialinformationreceivedfromtheotherpartyduringthetermofthisAgreementstrictlyconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.
4.2Confidentialinformationshallinclude,butnotbelimitedto,businessplans,financialinformation,tradesecrets,andanyotherinformationthatismarkedasconfidentialorthatthereceivingpartyreasonablyshouldconsidertobeconfidential.
5.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
5.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothparties.
5.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].
5.4Thepartiesherebyirrevocablysubmittotheexclusivejurisdictionofthecourtsof[ApplicableJurisdiction]foranydisputearisingoutoforinconnectionwiththisAgreement.

RIGHTSANDINTERESTSOFTHEPRINCIPAL:
3.1ThePrincipalhastherighttoapproveorrejectanyactiontakenbytheAgentortheThirdPartyonitsbehalf.
3.2ThePrincipalhastherighttoreceiveregularupdatesontheprogressoftheregistrationandlicensingprocess.
3.3ThePrincipalhastherighttorequesttheAgentortheThirdPartytoprovideadditionalsupportorresourcesasnecessary.
3.4ThePrincipalhastherighttoterminatethisAgreementatanytimeforanyreasonuponwrittennoticetotheAgentandtheThirdParty.
RIGHTSANDINTERESTSOFTHEAGENT:

4.2TheAgenthastherighttoseekassistancefromtheThirdPartytofulfillitsobligationsunderthisAgreement.
4.3TheAgenthastherighttobereimbursedforanyexpensesincurredintheperformanceofitsdutiesunderthisAgreement.
RIGHTSANDINTERESTSOFTHETHIRDPARTY:
5.1TheThirdPartyhastherighttoreceivecompensationforitsservicesasagreeduponinExhibitC.
5.2TheThirdPartyhastherighttoseekassistancefromtheAgenttofulfillitsobligationsunderthisAgreement.
5.3TheThirdPartyhastherighttobereimbursedforanyexpensesincurredintheperformanceofitsdutiesunderthisAgreement.
LIABILITYANDLIMITATIONSOFLIABILITY:
6.1TheAgentandtheThirdPartyshallbeliableforanydamagesarisingfromtheirnegligenceorwillfulmisconductintheperformanceoftheirobligationsunderthisAgreement.
6.2ThePrincipalshallnotbeliableforanydamagesarisingfromtheactionsorinactionsoftheAgentortheThirdPartyunlesssuchdamagesresultfromthePrincipal'sownnegligenceorwillfulmisconduct.
6.3TheAgentandtheThirdPartyshallindemnifyandholdthePrincipalharmlessfromanythird-partyclaimsarisingfromtheirbreachofthisAgreement.
TERMINATIONANDCONSEQUENCES:
7.1ThisAgreementmaybeterminatedbyanypartyuponwrittennoticetotheotherparties,providedthatsuchterminationshallbeeffectiveuponthereceiptofsuchnotice.
7.2UponterminationofthisAgreement,thepartiesshallfulfilltheirrespectiveobligationsuntilthecompletionofthecurrenttransactionorproject,asapplicable.
7.3UponterminationofthisAgreement,thepartiesshallreturnallconfidentialinformationandpropertytotheotherparty.
CONSIDERATION:
8.1TheconsiderationforthisAgreementisthemutualobligationsandpromisesofthepartiesassetforthherein.

LIABILITYANDLIMITATIONSOFLIABILITY:
5.1ThePrincipalshallbeliableforanydamagesarisingfromitsbreachofthisAgreement.
5.2TheAgentandtheThirdPartyshallnotbeliableforanydamagesarisingfromthePrincipal'sinvestmentdecisionsormarketconditionsbeyondtheircontrol.
5.3TheAgentandtheThirdPartyshallindemnifyandholdthePrincipalharmlessfromanythird-partyclaimsarisingfromtheirperformanceunderthisAgreement.
TERMINATIONANDCONSEQUENCES:
