underthissectionshallsurvivetheterminationorexpirationofthisContract.6.ThirdPartyContractsandAgreementsa.PartyAandPartyBmayenterintoseparatecontractsoragreementswithThirdPartiesfortheprovisionofservicesorgoodsrelatedtothisContract.SuchcontractsoragreementsshallbegovernedthetermsandconditionsofthisContracttotheextentnotinconsistentwiththetermsofsuchcontractsoragreements.b.PartyAandPartyBshallensurethatanyThirdPartycontractsoragreementsincludeappropriateprovisionsforindemnification,liabilitylimitation,andconfidentiality.7.ThirdPartyPerformanceandQualityControla.PartyAandPartyBshallhavetherighttoinspectandapprovetheworkperformedanyThirdPartyatanyreasonabletimeduringtheperformanceofthisContract.b.IftheworkperformedaThirdPartydoesnotmeettheagreeduponspecificationsorqualitystandards,PartyAorPartyB,asapplicable,shallhavetherighttorequiretheThirdPartytocorrectthedeficienciesatitsownexpense.8.ThirdPartyTerminationa.PartyAorPartyBmayterminatetheengagementofaThirdPartyatanytimeuponwrittennoticetotheThirdParty,providedthatsuchterminationisforcause,includingbutnotlimitedto:i.FailureoftheThirdPartytoperformitsobligationsunderthisContractoranyseparatecontractoragreement;ii.BreachofanytermorconditionofthisContractoranyseparatecontractoragreement;iii.InsolvencyorbankruptcyoftheThirdParty.9.ThirdPartyReplacementa.IfaThirdPartyfailstoperformitsobligationsunderthisContractoranyseparatecontractoragreement,PartyAorPartyBmay,atitssolediscretion,replacetheThirdPartywithanotherThirdParty.b.PartyAorPartyBshallprovidetheotherpartywithwrittennoticeofanyreplacementofaThirdPartyandshallensurethatthenewThirdPartyiscapableofperformingtherequiredservices.10.ThirdPartyIntegrationandCoordinationa.PartyAandPartyBshallcoordinatetheactivitiesofanyThirdPartytoensurethattheservicesprovidedtheThirdPartyareintegratedwiththeworkofPartyAandPartyBinamannerthatmeetstheobjectivesofthisContract.b.PartyAandPartyBshallprovidethenecessarysupportandresourcestoenableanyThirdPartytoperformitsserviceseffectively.11.ThirdPartyConfidentialitya.EachThirdPartyshallberequiredtoagreetoaconfidentialityagreementthatcontainstermsatleastasprotectiveasthosecontainedinthisContract.b.ThirdPartiesshallmaintaintheconfidentialityofallinformationdisclosedtothemPartyAorPartyBandshallnotusesuchinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisContract.12.ThirdPartyDisputeResolutiona.AnydisputesarisingoutoforinconnectionwiththeengagementofaThirdPartyshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisContract.b.Ifadisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothejurisdictionofthecourtsof________________(Jurisdiction).ENDOFSECONDPART第三部分：其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一：附件列表：1.ScopeofWorkAttachment:DetaileddescriptionoftheservicestobeprovidedPartyA,includingtechnicalspecifications,qualitystandards,andtimelines.2.PaymentScheduleAttachment:Detailedbreakdownofthepaymentschedule,includingdates,amounts,andanyconditionsprecedenttopayment.3.ThirdPartyEngagementList:ListofallThirdPartiesengagedeitherPartyAorPartyB,includingtheirnames,contactinformation,andscopeofwork.4.IntellectualPropertyRightsAssignmentAgreement:DocumentoutliningtheownershipandtransferofintellectualpropertyrightsbetweenPartyA,PartyB,andanyThirdParties.5.ConfidentialityAgreement:AgreemententeredintowithanyThirdPartytoprotecttheconfidentialityofinformationsharedinconnectionwiththisContract.6.InsuranceCertificate:CertificateofinsurancefromeachThirdParty,demonstratingthattheyhaveappropriatecoveragefortheirworkunderthisContract.8.DisputeResolutionProcedure:DetailedoutlineofthestepstobefollowedintheeventofadisputearisingunderthisContract.9.ChangeOrder:DocumentdetailinganychangestotheScopeofWork,paymentterms,orothertermsofthisContract.說(shuō)明二：違約行為及責(zé)任認(rèn)定：1.FailuretoPerform:FailureeitherPartytoperformitsobligationsunderthisContracttheagreedupondateorinaccordancewiththeagreeduponspecifications.Responsibility:Thepartyinbreachshallbeliableforliquidateddamagesequaltotheamountofthecontractpricemultipliedthepercentageoftheworkorgoodsnotperformed.Example:IfPartyAisresponsibleforprovidingequipmentandfailstodeliverontime,resultinginadelayoftwomonths,PartyAshallpayPartyBliquidateddamagesequalto10%ofthecontractpriceforthetwomonthsofdelay.Responsibility:Thebreachingpartyshallbeliableforanydirectdamagessufferedthenonbreachingparty,includingcostsassociatedwithcorrectingthebreach.Example:IfPartyBfailstomeetenvironmentalstandardsasrequiredtheContract,resultinginfinesfromregulatoryauthorities,PartyBshallberesponsibleforthefinesandanycostsincurredPartyAincorrectingtheissue.3.NonPayment:FailureeitherPartytomakepaymentsasrequiredtheContract.Responsibility:Thepartyinbreachshallbeliableforinterestontheunpaidamountattherateof________________(InterestRate)perannum,andmaybesubjecttoaddi
