1.**DefinitionofConfidentialInformation**

ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeanallnon-publicinformation,including,butnotlimitedto,technical,financial,operational,business,marketing,andotherinformationdisclosedbyeitherPartytotheother,eitherdirectlyorindirectly,inwriting,orally,orbyinspectionoftangibleobjects.

2.**ObligationsoftheParties**

a.**ObligationtoMaintainConfidentiality**

EachPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottouseitforanypurposeotherthanascontemplatedbythisAgreement.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

b.**ExclusionsfromConfidentialInformation**

Theobligationsofconfidentialityshallnotapplytoinformationwhich:

i.IsorbecomespubliclyknownandmadegenerallyavailableinthepublicdomainthroughnoactionorinactionofeitherParty;

ii.IsalreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;

iii.IsobtainedbythereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;

iv.IsindependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheConfidentialInformation;or

v.IsdisclosedbythedisclosingPartytoathirdpartywithoutrestrictiononsuchthirdparty'suseordisclosureoftheConfidentialInformation.

3.**ReturnofConfidentialInformation**

UpontheterminationorexpirationofthisAgreement,oruponthedisclosingParty'swrittenrequest,thereceivingPartyshallreturnallcopiesofConfidentialInformationtothedisclosingPartyorcertify,ifrequested,thedestructionofsuchcopies.

4.**NoLicenseorRightsGranted**

NothinginthisAgreementshallbeconstruedasgrantingeitherPartyanylicense,interest,orrightsinortoanyConfidentialInformationoftheotherParty.

5.**RemediesforBreach**

ThepartiesacknowledgethatanyviolationorthreatenedviolationofthisAgreementmaycauseirreparableinjurytotheotherParty,entitlingtheinjuredPartytoseekinjunctivereliefinadditiontoalllegalremedies.

6.**GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.**Amendments**

ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothParties.

8.**EntireAgreement**

a.**DirectingPartyC**

PartyBagreestodirectPartyCtocomplywiththeconfidentialityobligationsofthisAgreement.

b.**Indemnification**

PartyBshallindemnify,defend,andholdharmlessPartyAandPartyCagainstanyloss,damage,orliabilityarisingfromPartyC'sbreachofthisAgreement.

4.**ObligationsofPartyA**

a.**Confidentiality**

PartyAagreestomaintaintheconfidentialityofanyConfidentialInformationprovidedtoPartyCandshallnotusesuchinformationforanypurposeotherthanascontemplatedbythisAgreement.

b.**AuthorizationtoDisclose**

PartyAmayauthorizethedisclosureofConfidentialInformationtoPartyCtotheextentnecessaryfortheperformanceofthisAgreement.

5.**ExclusionsfromConfidentialInformation**

Theobligationsofconfidentialityshallnotapplytoinformationwhichis:

i.PubliclyknownandmadegenerallyavailableinthepublicdomainthroughnoactionorinactionofanyoftheParties;

ii.AlreadyinthepossessionofthereceivingPartyatthetimeofdisclosure;

iii.ObtainedbythereceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;

iv.IndependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheConfidentialInformation;or

v.DisclosedbythedisclosingPartytoathirdpartywithoutrestrictiononsuchthirdparty'suseordisclosureoftheConfidentialInformation.

6.**ReturnofConfidentialInformation**

UpontheterminationorexpirationofthisAgreement,oruponPartyA'swrittenrequest,PartyCshallreturnallcopiesofConfidentialInformationtoPartyAorcertify,ifrequested,thedestructionofsuchcopies.

7.**NoLicenseorRightsGranted**

NothinginthisAgreementshallbeconstruedasgrantinganyPartyanylicense,interest,orrightsinortoanyConfidentialInformationoftheotherParty.

8.**RemediesforBreach**

ThePartiesacknowledgethatanyviolationorthreatenedviolationofthisAgreementmaycauseirreparableinjurytoPartyA,entitlingPartyAtoseekinjunctivereliefinadditiontoalllegalremedies.

9.**GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

10.**Amendments**

13.**ConsequencesofBreach**

a.Seekimmediateinjunctiverelief;

b.TerminatethisAgreementuponwrittennoticetoPartyC;

c.PursuealllegalremediesavailabletoPartyAunderthisAgreementoratlaw.

14.**LimitationonLiability**

PartyBandPartyCshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement,regardlessofwhethersuchdamageswereforeseeable.

15.**PurposeandSignificanceofThird-PartyInvolvement**

TheinvolvementofPartyCisessentialtotheexecutionofthebusinessrelationshipbetweenPartyAandPartyB.PartyC'sroleasasubcontractororthird-partyproviderisnecessaryfortheefficientandeffectiveperformanceoftheagreement.TheinclusionofPartyCinthisAgreementensuresthatPartyA'sconfidentialinformationisprotectedandthatPartyCisfullyawareofitsobligationsinrelationtotheConfidentialInformation.

16.**PurposeandSignificanceofPartyA'sDominance**

PartyA'srightsandinterestsareparamountinthisAgreement.TheinclusionofspecificrightsandremediesforPartyAservestoprotectitsproprietaryinformationandtoensuretheintegrityofitsbusinessoperations.ByhavingPartyBandPartyCagreetotheseterms,PartyAcanrelyontheircompliancetosafeguarditsConfidentialInformation.
